CONTRIBUTION AGREEMENT
THIS AGREEMENT, ENTERED INTO EFFECTiVE ON
is between the STATE OF CALIFORNIA, acting by and through its Department of
Transportation; referred to herein as "STATE", and
CITY OF SANTA ANA, a
charter city existing and
organized under the laws
of the State of California,
referred to herein as
"CITY".

RECITALS
Pursuant to Section 14526.5 of the Government Code, and pursuant to the California
Transportation Commission Resolution # G-98-20, STATE has an approved State
Highway Operation and Protection Program (SHOPP) for the expenditure of
transportation funds for major capital improvements. Included in this SHOPP is the
Transportation Enhancement Activities (TEA) Program consisting of transportation
improvement projects.
One of these TEA projects proposes the acquisition and construction of Patricia Lane
Scenic Enhancements, near Interstate 5 in the City of Santa Ana that is outside of State
right of way, referred to herein as "PROJECT", see Exhibit A, attached to and made a part
of this Agreement.
CITY desires to perform the right of way acquisition and prepare the contract documents,
advertise, award and administer the construction contract for PROJECT.
STATE desires to provide funds up to 88.53% of the eligible PROJECT costs, not to
exceed the amount of $533,000 to CITY from the STATE-managed TEA funds, see
Exhibit B.
5. PROJECT is included in the approved Orange County Transportation Authority Federal
Transportation Improvement Plan (FTIP).
6. The parties hereto intend to define herein the terms and conditions under which PROJECT
is to be constructed, financed, and maintained.
.SECTION I
CITY AGREES:
To perform all, including but not limited to preliminary engineering, environmental
documentation and certification (both CEQA and NEPA, if applicable), plans and
specifications preparation, utility identification and location, engineering and
documentation necessary to advertise and award the construction PROJECT, and all
necessary construction engineering services for PROJECT.
To bear all actual costs of PROJECT, including all capital and support costs, in excess of
STATE's $533,000 contribution. Estimated costs of PROJECT are shown on Exhibit B,
attached and made a part of this Agreement.
To submit invoices to STATE for reimbursement of PROJECT expenses incurred by
CITY. In no event shall STATE's share toward PROJECT exceed the amount of
$533,000, including land acquisition. Invoices shall be submitted on CITY letterhead to

STATE Project Manager. Invoices will be prepared in the manner as described in Chapter
5, Accounting/Invoices, of the Local Assistance Procedures Manual.
To retain or cause to be retained for audit by STATE or other government auditors for a
period of three (3) years from date of Federal Highway Administration (FHWA) payment
of final voucher, or four (4) years from date of final payment under the contract,
whichever is longer, all records and accounts relating to PROJECT.
Upon completion of PROJECT, to assume ownership, maintenance and liability
responsibility for all portions of PROJECT.
That this PROJECT includes the acquisition of STATE right of way and an Agreement
Declaring Restrictive Covenants approved by STATE will be recorded against the title of
all Real Property purchased with or paid for by any type of Federal or State Funds.
SECTION II
STATE AGREES:
1. Upon receipt of detailed invoices from CITY, to reimburse CITY for eligible costs
incurred under this Agreement up to the amount of $533,000, which figure represents
STATE's sole and only contribution towards costs of PROJECT. Invoices will be paid
within 60 days of receipt.
STATE's contribution of the PROJECT expense shall be up to 88.53% of eligible
PROJECT costs, not to exceed $533,000 for right of way acquisition, design and
construction cost, as shown on Exhibit B, attached to and made a part of this Agreement.
SECTION
IT IS MUTUALLY AGREED:
All obligations of STATE under the terms of this Agreement are subject to the ap-
propriation of the resources by the Legislature and the allocation of resources by the
California Transportation Commission.
Should CITY acquire property for PROJECT or perform any work or advertise a contract
for PROJECT prior to the allocation of resources by the Califomia Transportation
Commission and prior to Federal Highway Administration approval for Federal
participation, there is no guarantee of STATE's and/or Federal participation and CITY
shall assume all risks thereof.
3. All applicable procedures and policies relating to the use of Federal Funds or STATE gas
tax funds shall apply notwithstanding other provisions of this Agreement.

Federal Funding will be used to finance this project. Therefore, all documentation,
environmental documentation, right of way certification, design and construction shall
follow the Federal guidelines as established in current Local Assistance procedures.
Prior to award of the construction contract for PROJECT, STATE may terminate this
Agreement by providing the CITY with thirty (30) days written notice, provided that
STATE pays CITY for all PROJECT-related costs incurred by CITY prior to termination.
Prior to award of the construction contract for PROJECT, CITY may terminate this
Agreement by written notice. If CITY terminates this Agreement, CITY shall bear all
PROJECT-related costs incurred by CITY prior to termination and reimburse to STATE,
within 90 days, any funds which may have been advanced or paid to CITY.
7. Nothing in the provisions of this Agreement is intended to create duties or obligations to
or rights in third parties to this Agreement or affect the legal liability of either party to the
Agreement by imposing any standard of care with respect to the maintenance of State
highways different from the standard care imposed by law.
8. Any changes to PROJECT, before, during or after PROJECT acquisition and/or
construction, that does not comply with or is in conflict with the TEA Program
requirements may result in CITY being required to reimburse STATE the entire amount of
TEA funds contributed to the project or the value of the TEA fund contribution, based
upon the fair market value of the acquisition and/or construction, at the time the conflict
and/or non-compliance is determined, whichever is greater.
9. Neither STATE nor any officer or employee thereof is responsible for any damage or
liability occurring by reason of anything done or omitted to be done by CITY under or in
connection with any work, authority or jurisdiction delegated to CITY under this
Agreement. It is understood and agreed that, pursuant to Government Code Section 895.4,
CITY shall fully defend, indemnify and save harmless STATE and all its officers and
employees from all claims, suits or actions of every name, kind and description brought
for or on account of injury (as defined in Government Code Section 810.8) occurring by
reason of anything done or omitted to be done by CITY under or in connection with any
work, authority or jurisdiction delegated to CITY under this Agreement.
10. Neither CITY nor any officer or employee thereof is responsible for any damage or
liability occurring by reason of anything done or omitted to be done by STATE under or in
connection with any work, authority or jurisdiction delegated to STATE under this
Agreement. It is understood and agreed that, pursuant to Government Code Section 895.4,
STATE shall fully defend, indemnify and save harmless CITY from all claims, suits or

11. This Agreement may be terminated or provisions contained herein may be altered,
changed, or amended by mutual consent of the parties hereto.

12. No alteration or variation of the terms of this Agreement shall be valid unless made in
writing and signed by the parties hereto, and no oral understanding or agreement not
incorporated herein shall be binding on any of the parties hereto.
13. This Agreement shall terminate upon completion of construction of PROJECT and upon
final payment to CITY by STATE, pursuant to Section II, Article 2 of this Agreement, or
on December 31, 2005, whichever is earlier in time; however the ownership, maintenance,
liability, claims and Section III, Provision 8 shall remain in effect until terminated or
modified in writing by mutual agreement.

WHEREAS, the United Slate Congress in June 1998 enacted the Transportation
Efficiency Act of 1991 which make funds available to the Orange County Transportation
Authority (OCTA) for Iran~porta ion enhancement ac ~vities; and
WHELLEAS~'OCTA has established the procedures and criteria for reviewing proposals;
and
WHEREAS, Public Works Agency (PWA) o£ the City of Santa Ann possesses authority
to nominate transportation en. haneement activhies and to finance, acquire,.e-~d cormLrucl l!he
proposed projects; and ..
WHEREAS, formal action of the City Council or ~e City of Santa Ann .autherlzcs ihe
nomination o[' projects listed on the attached project list, including .all'understafi~.'.g ,and
assurances contained therein, and authorizes The Executive D~rector of t.he'..PW~.5'to, acttm

WHEREAS, the PWA will malntaln and operate the properly acquired, developed,
rehabilitated, or restored for the life of the resultant facility(ins) or activity; and

and OCTA, the PWA or its successors in interest in the pro.hefty may transfer the responsiNh y

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SANTA ANA AS FOLLOWS:
1. The Executive Director of the PWA is hereby authorized to apply for the
Tranaportation Enhancement Activity Program under the Transportation Equity Act for the 2 [ ST
Century for projects listed on the project list, Exhibit "A," anaehed hereto and incorpoiated
herein by reference.
2. The City of Santa Ann ngrc~ to fund its share of the project costs and any
additional costs over the identified programmed amount. This action is in conformance v.4th the
OCTA TransportatiOn Enhancement Activity Program guidelines and does not exceed seventy.
five (75) percent of the total eligible costs.

TRANSPORTATION ENHANCEMENT ACTI~rY PROGIL4bI
Santa Ann R.egional Transportation Center (S.4.RTC) Art Panel Pro joel -The project
consist of tM construct[on ora cinderbloek wall adjacent to the existing railroad tracks just
east of the 8ARTC railroad platform. The wall w~ll shield the County maintenance yard
from view and also function as a backdrop upon which art panels will be mounted.
Patricla Lane Pa rlc- This project requires the acquisition and development of a 1-acre
neighborhood park ~ite from nine remmmt properties that resulted from Santa Ann free~y
widening project.
SARTC Landscape Enhancement Plan - Pedestrian cut through Imffic has badly damaged
shrubbery that borders existing surface parking lots at the SARTC. The project would
remove shrubbery and replace with grass luff areas. Additionally, accent trees and
axchitectural lighting would be provided to enhance the visual aesthetics at the facility.
