L RESOLUTION NO. 74-16 A RESOLUTION OF THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA APPROVING A MODIFICATION OF THAT CERTAIN AGREEMENT BETWEEN THE COMMUNITY REDEVELOPMENT AGENCY AND LARRY SMITH AND COMPANY, INC., FOR ECONOMIC STUDIES AND SERVICES WHEREAS, the Community Redevelopment Agency of the City of Santa Ana desires to continue retaining the consulting services of Larry Smith and Company, Inc., to prepare further economic studies on the Redevelopment Project; and WHEREAS, Larry Smith and Company, Inc., represent that they are authorized and qualified to provide such services to the Agency. NOW, THEREFORE, BE IT RESOLVED that the Community Redevelopment Agency of the City of Santa Ana hereby approves that certain modification of agreement with Larry Smith and Company, Inc., for economic studies and services which agreement is attached hereto and referred to as Exhibit nAn and authorizes the Chairman of the Agency to execute said Agreement on behalf of the Agency. THIS AGREEMENT, entered into this 9th day of ,1974, by and between the COMMUNITY REDEVELOPMENT AGENCY o¡,' THE CITY OF SANTA ANA, a public body, October corporate and politic, (hereinafter referred to as "Agency") . 20 Civic Center Plaza, Santa Ana, Califoria, and LARRY SMITH AND COMPANY, INC., a California corporation, (hereinafter referred to as the "contractor"), One Maritime Plaza, San Francisco, California 94111. WHEREAS, Agency and Contractor entered into an agreement on April 1,1974, and additional services will be required by Agency¡ and WHEREAS, the Agency desires to continue retaining the consulting services of the Contractor to prepare further economic study on the Redevelopment project¡ and WHEREAS, the Contractor represents that he is authorized and qualified to provide such services to the Agency¡ and WHEREAS, Contractor promises to prepare revisions to the downtown economics report previously prépared by Larry Smith and Company and to provide disposition consulting on an as- rí~eded basis. NOW, THEREFORE, IT IS MUTUALLY AGREED BETWEEN THE PARTIES AS FOLLOWS: 1. By adding thereto a section following §116 to be numbered §117 and to read as follows: §1l7. Contractor shall revise the downtown economic report previously prepared by Larry Smith and Company. 1) . 2) 3) These revisions shall include: Economic evaluation of the proposed amendment to the redevelopment boundary. Economic evaluation of the impact on the downtown of the proposed shopping center in the northern part of the city and the subsequent required changes in the downtown plan. preliminary economic market potential for the new proposed shopping center site. B. By adding thereto a section following §117 to be numbered §118 and to read as follows: Contractor shall perform disposition con- §1l8. suIting on an as-needed basis. Contractor shall render consultation and advice to Agency on economic, financial, marketing and appraisal matters necessary to the imple- mentation of the City's redevelopment projects. Consult, assist and advise Agency with respect to marketing, financial and dis- position problems including the financial testing of land use and development concepts proposed by, or to be presented to, prospec- tive developers. The intent of contractor's services will be to assist Agency in identifying and implementing specific development packages which can be undertaken within the private sector. Contractor shall make the City of Santa Ana as knowledgeable as the developer so that disposition negotiations as they arise can proceed with as equal a knowledge as possible on both sides. contractor's role shall be to take the primary responsibility in guiding the Agency in the necessary effort to get the projects implemented, but at a fair price for the Agency. -2- , " , 2) . ~~ . . . Undertake detailed economic/financial analysis. The purpose of this task will be to establish a program which both solves the identifiable publ'ic costs and the finan- cial criteria of individual developers. Spe- cific work items shall include: Item Services Public Revenue and Public Costs Determine the prelim- inary feasibility in terms of public revenues and public costs ex- panding the redevelop- ment boundaries. Evaluate Private Developer Financial Packages Undertake pro forma financial analysis to insure that development packages meet the fi- nancial constraints of the private market- place. Public and Private Costs Contractor shall review estimated public and private costs, including site costs. The costs will be broken down so that various cost ele- ments may be shifted from public to private and vice versa. These cost items will be pro- 0 vided to the Contractor . for review by the Agency of other consultants, as appropriate. " 5) Assist in public education and information as to the program and the specifics that would be involved in all aspects of redevelopment pertaining to our expertise. 6) Following 'the initial detailed p1anningjfinanci;Ü analysis, advise and consult with developers' architects, as appropriate, and others who will be involved in alternate planning and architectural responses to the various projects. Such advice shall be in terms of their feasibility as these neeærelate to the ability to secure the necessary commitment from key tenants and to be economically feasible, both from the standpoint of private developers and the community's ability to finance the project. . c. By adding thereto a section following 5301 to be numbered §302 to read as follows: 5302. All services required pursuant to 5117 shall commence when and as directed by Agency and shall be completed by no later than thirty (30) calendar days thereafter. D. By adding thereto a section following §302 to be numbered 5303 to read as follows: 5303. All services required pursuant to §118 '. shall commence when and as directed by Agency on an as- needed basis upon specific request. E. By adding thereto a section following 5403 to be numbered 5404 to read as follows: §404. The total compensation for all services performed in accordance with &117 above and benefits / provided pursuant thereto shall be the lump sum; not to exceed Two Thousand ($2,000.00) Dollars payable on completion. F. By adding thereto a section following §404 to be . numbered §405 to read as follows: . §405. The total compensation for all services v performed in 'accordance with §118 above and benefits provided pursuant thereto,shal1 not exceed Eight Thousand ($8,000.00) Dollars and shall be on a time-billed basis in accordance with the following billing rates: -4- r:. (b) Travel expenses including air fares, hotels and motels, meals, car rentals, taxis and telephone calls shall be reimbursed to Con- tractor at cost. . (c) Electronic data processing shall be billed to client at standard billing rates for equipment utilized. (d) Printing costs for printing of reports in excess of ten (10) copies shall be invoiced at cost to Agency. (e) Compensation and reimbursement shall be in U.S. dollars without discount. 2. Except as herein provided, all provisions of that certain agreement dated April 1,1974, and hereinbefore referred to shall remain in full force and effect. Where there is a conflict between the modified agreement and the original agree- ment, the modifications shall prevail.'
