HomeMy WebLinkAbout1974-06 CRA - . ~ · RESOLUTION NO. 74-6 A RESOLUTION OF THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA APPROVING AND AUTHORIZING EXECUTION OF AN AGREEMENT WITH KENNARD, DELAHOUSIE, AND GAULT, ARCHITECTURE AND PLANNING, FOR THE PREPARATION OF A PLANNING STUDY FOR THE REDEVELOPMENT PROJECT AREA WHEREAS, the Community Redevelopment Agency of the City of Santa Ana (hereinafter referred to as "Agency"), has undertaken activities necessary for the planning and execution of the Re- development Project in the Project Area pursuant to the California Community Redevelopment Law; and WHEREAS, the Agency desires to retain the services of a contractor to prepare a planning study on the Redevelopment Project, within the boundaries of the Project Area; and WHEREAS, the Agency has solicited and received proposals to undertake a planning study of the redevelopment project for the redevelopment project area; and WHEREAS, Kennard, De1ahousie, and Gault, Architecture and Planning, a California general partnership, represents that they are authorized and qualified to provide such services for an economic study for the Agency; NOW, THEREFORE, BE IT RESOLVED that the Community Redevelopment Agency of the City of Santa Ana hereby approves the Agreement for Planning Studies services with Kennard, De1ahousie, and Gault, Architecture and Planning, which agreement is attached hereto and referred to as Exhibit "A", and authorizes the chairman of the Agency to execute said Agreement on behalf of the Agency, APPROVED AND ADOPTED this ~ day of April , 1974. COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA, CALIFORNIA, AGREEMENT FOR PLANNING STUDIES SERVICES WITH KENNARD, DELAHOUSIE, AND GAULT, ARCHITECTURE AND PLANNING THIS AGREEMENT, entered into this 1st day of, April 1974, by and between the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA, a public body, corporate and politic, (herein~ after referred to as the "Agency"), and KENNARD, DELAHOUSIE, AND GAULT, ARCHITECTURE AND PLANNING, a California general partner- ship, whose address is 5605 West Washington Boulevard, Los Angeles, California, 900l6, (hereinafter referred to as the "Contractor"), , WIT N E SSE T H: WHEREAS, the Agency desires to retain the services of the Contractor to prepare a planning study for the Redevelopment Project within the boundaries of the Project Area which are described on the map attached hereto as Exhibit "I", and which boundaries are hereinafter referred to as the "Project Area"; and WHEREAS, the Contractor represents that he iz authorized and qualified to provide such services for the Agency. NOW, THEREFORE, it is mutually agreed between the parties as follows: (SlOO) SCOPE OF SERVICES Cpntractor shall perform all necessary services provided hereunder in connection with and respecting the said Project Area which encompasses approximately 320 acres. Contractor, the design and planning consultant, shall coor- dinate the following services with Larry Smith and Company, Inc., LSC, hereafter referred to as economic consultant. Task 1 - Urban Systems Inventory An inventory shall be conducted of all the urban systems and infrastructure that affect physical planning in the Project Area. The Contractor shall compile all available background material and shall reorganize as appropriate into a format suitable J J "LJh F)(ni~,.1- n ~v2A- -5 " , ' " ' , , ,', ',' " " II for analysis and evaluation. Jhe following factors shall be collected as basic data requirements: a. Land Use - Distribution and Density b. Zoning Ordinance and other regulatory controls c. General plan d. Circulation - system capacities, volumes and modes . e. f. g. h. L j. k. L Utility Systems - capacities, volumes, and deficiencies Public Transportation and appropriate mode analysis, i.e., buses, MRT, PRT !, ;1 I I ,. Public Facilities and Servlces: i.e., parks, civic center Community Goals and Objectives Social Indicators - such as crime, fire, health hazards i I Building Conditions Environmental Deficiencies . I I , Development Proposals - current and anticipated major activities Task 2 - Analysis of constraints and Opportunities Upon completion of the Urban Systems Inventory in Task 1, all data will be mapped on reproducible maps in a form suitable for comparative analysis. The Contractor shall analyze all factors influencing future development of the project Area, identify major design features, and identify opportunity locations for future development based on physical planning data. Sites that should be preserved and/or enhanced Prominent view and vistas Areas suitable for rehabilitation Areas suitable for clearance and redevelopment Major physical and/or environmental barriers Land use ,compatibility and suitability Major transportation corridors The Contractor shall prepare maps that define major develop- ment. opportunities and factors that influence design of the Project Area. Task 3 - Economic Input The Contractor shall receive from LSC on an ongoing basis all progress reports and findings on a task basis as agreed and coordinated by the Agency staff. Task 4 - Summary Phase I This phase will culminate in the identification of all significant and relevant characteristics influencing redevelop- ment in the Project Area. The consolidation of these planning and economic efforts will result in a detailed and objective understanding of the physical constraints, opportunities, and economic realities as a basis for development of alternative land use proposals. ~ Task 5 - Alternative Development Plan Proposals Based on the data compiled and evaluated in Tasks l, 2 and 3, the Contractor shall prepare several concepts for the Project Area. The Contractor shall explore innovative solutions to the Santa Ana situation and shall refine the exploratory concepts into three development plans concepts for presentation to the Agency. The three development plan concepts shall respond to the following factors: . a. Community goals and objectives b. Major environmental factors influencing design Existing and proposed development with and surrounding the Project Area c. -3- ~tP-~ , . d. Areas suitable for rehabilitation or clearance and redevelopment e. Existing and anticipated circulation f. Existing and anticipated utility corridors g. Estimated market demand including floor area require- ments by land use category . h. Service area requirements including parking, service and access points, open space, parks The preliminary concepts shall consider the c~ose ~oor~~ation betw~en the planning and the execution of economic activities, as well as the involvement of the Santa Ana Redevelopment Agency, Re- development Commission and Project Area Committee. The preliminary concepts showing promise based on the assessment of the Contractor, the Agency and LSC shall be refined into three development plan solutions to be presented to the Redevelopment Agency and other community and city entities and organizations. ' Each development plan concept shall be completed to a level of detail to permit "rough" environmental and financial testing. The following elements shall be included: a. Land Use - acreage and floor area requirements b. Circulation - major arterials, access points, pedestrian systems c.Utilities Task 6 - Economic Input Contractor shall receive from LSC more specific and defined information regarding marketability and land use potential in preliminary form. In calculating each alternative, the Agency Will have an indication of resource requirements and costs. Hence, in conjunc- tion with the economic consultant, contractor will assist in identifying the probable costs, such as relocation, street improve- ments, and closures, and the resources refined and available, such as capitol improvement programs. Task 7 - Final Development Plan Based on the concept alternative mutually selected by the Contractor, Agency and LSC, the Contractor shall prepare a final . -4- ~-~ '. '. ' development plan. The plan shall be a guide for the orderly development of land within the project Area and shall be a state- ment of Agency and community goals. . In close coordination with the Agency, the Contractor shall review the existing Redevelopment Plan for the Project Area in light of the infor~ation revelated in the previous tasks and shall indicate recommended changes in the Redevelopment Plan as appro- priate. In the event changes are required, the Contractor with the Agency shall prepare a revised Redevelopment Plan consistent with State Redevelopment Law. The Plan for the entire 320 acres shall include recommended land use by category, circulation system including vehicular, bicycle, pedestrian and public, and utilities by type. Task 8 - Economic Input Contractor shall receive from LSC a report on all final findings. Task 9 - Illustrative Design Guide Along with the development plan and possible revisions to the Redevelopment Plan to be approved by the Agency, the Contrac- tor shall prepare accompanying data to be called the Illustrative Design Guide. The Guide is not intended to be a legally adopted report but rather is intended to serve as the Contractor's re- commendation regarding design and planning in the Project Area. The Guide shall show the interrelationships between different uses and users in the Project Area and shall show site locations for each land use as well as a comprehensive circulation system. , The opportunity areas selected in Task 2 shall be more closely studied and formulated into definitive urban design concepts which will illustrate the recommended aesthetic image for the projec Area. Illustrative site planning shall focus on the arrange- ment, placement and treatement of buildings and spaces in relation to each other and the surrounding environment. The following ele- ments shall be prepared: building forms and orientation, building height, intensities of development, building location, location and direction of vehicular and pedestrian linkages, parking and service areas. The illustrative work shall describe the recommended architectural character and special design features for the selected opportunity areas. In addition to the illustrative concepts for the selected opportunity areas, the Contractor shall prepare overall design controls pertinent to the development of the entire 320 acre Project Area. . -5- ltCl- ~ <( ., ' Task lO - Program for Action Along with LSC, Contractor shall prepare a preliminary outline of basic implementation strategies and mechanisms. The Contractor and LSC with the assistance of Agency shall identify the priorities for public and private action, prepare a recom- mended program schedule, outline a capital requirements program, and recommend techniques and methods for establishing contact with potential developers, investors and operators. . Task II - Report and Maps Contractor shall compile all pertinent data, analysis and recommendations into a final report. Contractor shall provide Agency one original "print-ready" typewritten copy plus ten addition copies of the report consisting of type wr1tten text and reproducible graphics at original scale" in "black & white" media. In the event additional copies are requested by the Agency, contractor shall bill Agency for the additional costs. The Contractor will prepare the following maps and submit originals to Agency by time of f,inal report. In the event Agency requests addition public presentations, Contractor shall bill Agency for additional costs as mutually agreed upon by Agency and Contractor. (S300) CONTRACTOR PERSONNEL The Contractor agrees to assign the 'following personnel to this Contract: l. Partner in charge, Jeffrey M. Gault, sha-l spend 30 percent of his total working hours based on a 40 hour week or fraction thereof, during the term of this Agreement in per- forming services to the Agency pursuant to this Agreement; 2. Senior Planner, Thomas G. Lewis, shall spend 65 percent of his total working hours based on a 40 hour week for each week or fraction thereof during the term of this Agreement in perform- ing services to the Agency pursuant to this agreement; 3. Traffic Consultants - Crommelin Pringle Association . (S400) REPORTS The Contractor shall submit a monthly written report describing the progress of the work performed and shall further submit an oral weekly report to the Agency staff. (S500) TIME OF PERFORMANCE (S50l) All services required pursuant to (SlOO) of this Agreement shall commence when and as directed by the Agency and shall be -7- UU}-s f. :," '., . . completed no later than 90 calendar days thereafter. (5600) COMPENSATION AND METHOD OF PAYMENT (560l) Maximum Compensation ~he total compensation for all services performed and benefits provided pursuant to this Agreement shall be the lump sum of Twenty Thousand ($20,nOO.00) Dollars payable in monthly installments, provided each progress billing is consistent with the percentage of work actually completed. It is estimated that the method of payment will be as follows: End of 30 60 90 $5,500.00 7,500.0.0 7,000.00 II days II " " (5602) Expenses There shall be no additional reimbursement over and above the $20,000 "not to exceed" figure in 54.0l for travel, subsis- tence or other incidental expenses incurred by Contractor or his associates in connection with the performance of the services required hereunder. (5603) Method of payment Upon completion delivery and acceptance of the services, Contractor shall submit a requisition to the Agency specifying the amount due for services per~ormed by the Contractor's staff and describe the services performed. Such requisition for pay- ment shall contain a certification by a principal member of the Contractor's team specifying payment requested is for work per- formed in accordance with the provisions of this Agreement. Upon approval of the requisition, the Agency will pay Contractor up to any agreed upon maximum. The Agency shall make payment on approved requisition by approximately the l5th of a given month if the requisition is submitted to the Agency no later than the 1st of said given month. ' - _.~ (5700) GENERAL PRQ~ISIONS (5701) 'Staff of the Agency -Nothing in the Contract, shall preclude the Agency from performing with its own staff, any of the services herein re- ,qui red of,~he Contract()r. (5702) Ownership of Materials and Documents . ~- Any and all sketches, drawings, tracings, field survey notes, computations, detail and other materials and documents prepared by the Contractor shall be the property of the Agency from the moment of their preparation and the Contractor shall deliver such materials and documents to the Agency whenever requested to do so by the Agency. However, the Contractor shall have the right to make duplicate copies of such materials and documents for his own file, or other purposes as may be authorized in writing by the Agency. The Agency shall not without the contractor's written consent associate the Contractor's name with any material not the exclusive produce of the Contractor. (5703) Non-Disclosure The designs, plans, reports, investigations, materials and documents prepared or acquired by the Contractor pursuant to this Contract (including any duplicate copies kept by the Contractor) shall not be shown to any other public or private person or entity except as authorized in writing by the Agency. The Contractor shall not disclose to any other public or pri- vate person or entity any information regarding the activities of the Agency, except as authorized in writing by the Agency. (5704) Conflict of Interest ~For the duration of this Contract, the Contractor will not act as consultant or perform services of any kind for any person or entity other than the Agency or the City of Santa Ana in regard to the Project Area without the prior written consent of the Agency. (5705) Contractor's Liability The Contractor shall be responsible for all physical injuries to persons and for all physical damage to property of the Agency or others caused by or resulting from the negligence of itself, its employees, or its agents during the progress of or connected with the rendition of services hereunder, and shall defend and hold harmless and indemnify the Agency, the City of Santa Ana, and all officers and employees of both public agencies from all costs and claims for physical damages or injuries, how- ever caused arising out of the Contractor's performance of work under this Contract. - -9- eP-~ '.1. ~, . (5706) Correction of Work . The performance of services by the Contractor shall not relieve the Contractor from any obligation to correct any incomplete, inaccurate, or defective work at no further cost to the Agency, when such inaccuracies are due to the negligence of the Contractor provided such work has not been accepted in writing by the Agency. (S707) Equal Employment Opportunity During the performance of this Contract, the Contractor agrees as follows: ,-,,'~,.- . a) The Contractor will not discriminate against any employee or applicant for employment because of race, color, reli- gion, sex, or national origin. Th~ Contractor will take affirma- tive action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, sex, or national origin. Such action shall include, but not be limited to the following: employment, upgrading, demotion, or transfer: recruitment or recruitment advertising: layoff or termination: rates of payor other forms of compensation: and selection for training, including apprentice- ship. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the Agency setting forth the provisions of this non-discrimination clause. b) The Contractor will, in all solicitations or advertise- ments for employees placed by or on behalf of the Contractor state that all qualified applicants will receive consideration for employment without regard to race, color, religion or sex, or national origin. c) The Contractor will cause the foregoing provisions to be inserted in all subcontracts for any work covered by this Contract so that such provisions will be binding upon each sub- contractor, provided that the foregoing provisions shall not apply to contract or subcontracts for standard commercial supplies' or raw materials. (5708) Employment of Residents The Contractor is encouraged by the Agency to employ qualified people, when available, from the Project Area to assist in providing the services contracted for in this Agreement. . #. -10- - tjLft -S ~ I, -, .:1 . /It" -,. .,..,. .. ., (5709) Cost Records . In accordance with generally accepted accounting principles, the Contractor shall maintain full and complete records of the cost of services performed under this Agreement. Such records shall be open to the inspection of the Agency and its employees at all reasonable times. (57l0) Subcontracting None of the services covered by this Contract shall be subcontracted without the prior written consent of the Agency. The Contractor shall be as fully responsible to the Agency for the acts and omissions of his subcontractors, and of persons .either directly or indirectly employed by them, as he is for the acts and omissions of persons directly employed by him. The Contractor shall insert in each subcontract appropriate provi- sions requiring compliance with the labor standards provis;,ons of this contract. (57ll) Assignability The Contractor shall not assign any interest in this Contract, and shall not transfer any interest in the same (whether by assignment or novation) without prior written approval of the Agency; provided however, that claims for money due or to become dur the Contractor from the Agency under this Contract may be assigned to a bank, trust company, or other financial institutions, or to a Trustee in Bankruptcy, without such approval. Notice of any such assignment or transfer shall be furnished promptly to the Agency. (5712) Notices Notices to the parties shall, unless otherwise requested in writing, be sent to the Agency at 20 Civic Center Plaza, Santa Ana, California, 92701, and to the Contractor at 5605 West Washing- ton Boulevard, Los Angeles, California, 900l6. (5713) Changes The Agency may, from time to time, request changes in the Scope of Services of the Contract to be performed hereunder. Such changes, including any increase or decrease in the amount of the Contractor's compensation, which are mutually agreed upon by and between the Agency and the Contractor shall be incorporated in written amendments to this Contract. -11- l~A--S .. . I.. '. . . '. :i ,'" ~~ . - ~. . , (S7141 . Te'rmination This Agreement may be terminated by either party on thirty (30) days written notice to the other. The effective date of cancellation being the 30th day of said written notice with no further action by either party.
