CONSULTANT AGREEMENT
THIS AGREEMENT made and entered into this ;;;.o-r-- day of ~e.. , 2005 by
and between Tetra Tech, Inc., a Delaware corporation (hereinafter "Consultant"), and the City of
Santa Ana, a charter city and municipal corporation organized and existing under the
Constitution and laws of the State of California (hereinafter "City").

A. The City desires to retain a consultant having special skill and knowledge in the field of
engineering, to prepare Plans, Specifications and Cost Estimates for the San Lorenzo
Sewer Lift Station.
B. Consultant represents that Consultant is able and willing to provide such services to the
City.
C. In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Consultant shall prepare plans, specifications and cost estimates, and provide
construction support services for improvements to the City's sewer lift station, as set forth in
Consultant's Proposal, attached as Exhibit A to this Agreement.
2. COMPENSATION
a. City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit B. The sum to be expended under this Agreement
shall not exceed $220,000.00. The parties anticipate additional services may be required and
have included a contingency to cover additional services in a total amount of $25,000.00. The
total sum, including additional services, to be expended under this Agreement shall not exceed
$245,000.00 during the term of this Agreement.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.

3. TERM
This Agreement shall commence on the date first written above and terminate on June 30,
2007, unless terminated earlier in accordance with Section 12, below. The term of this
Agreement may be extended upon a writing executed by the Executive Director of Public Works
and the City Attorney.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer-employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Consultant performs the services which are the subject matter of this Agreement; however, the
services to be provided by Consultant shall be provided in a manner consistent with all
applicable standards and regulations governing such services. Consultant shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. DELIVERY OF WORK PRODUCT
Upon completion of services, Consultant shall deliver to City all work-product, including
all drawings and documents, which results from the services provided. Said work-product shall
be submitted in a hard copy and produced in a form compatible with City's computer system, as
agreed between the Project Manager and Consultant, and shall become the property of the City.
6. INSURANCE
Prior to undertaking performance of work under this Agreement, Consultant shall
maintain and shall require its subcontractors, if any, to obtain and maintain insurance as
described below:
a. Commercial General Liability Insurance. Consultant shall maintain commercial
general liability insurance naming the City, its officers, employees, agents, volunteers and
representatives as additional insured(s) and shall include, but not be limited to protection against
claims arising from bodily and personal injury, including death resulting therefrom and damage
to property, resulting from any act or occurrence arising out of Consultant's operations in the
performance of this Agreement, including, without limitation, acts involving vehicles. The
amounts of insurance shall be not less than the following: single limit coverage applying to
bodily and personal injury, including death resulting therefrom, and property damage, in the total
amount of $1 ,000,000 per occurrence. Consultant shall supply City with a fully executed
additional insured endorsement in substantially the form attached hereto as Exhibit C upon
execution of this Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non-owned automobiles.

c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against
liability for worker's compensation or to undertake self-insurance. Prior to commencing the
performance of the work under this Agreement, Consultant agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.
d. Professional liability (errors and omissions) insurance, with a combined single limit of
not less than $1,000,000 per claim.
e. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:
(i) Consultant shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
f. If Consultant fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its
time and materials expended prior to notification of termination. Consultant waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.
7. INDEMNIFICATION
Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special counsel, and representatives from liability: (1) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims
for personal injury, including health, and claims for property damage, which may arise from the
direct or indirect operations of the Consultant or its contractors, subcontractors, agents,
employees, or other persons acting on their behalf which relates to the services described in
section 1 of this Agreement; and (2) from any claim that personal injury, damages, just
compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects
arising from this Agreement. This indemnity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to
have been suffered, by reason of the events referred to in this Section or by reason of the terms
of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold
harmless, and pay all costs for the defense of the City, including fees and costs for special
counsel to be selected by the City, regarding any action by a third party challenging the validity
of this Agreement, or asserting that personal injury, damages, just compensation, restitution,

judicial or equitable relief due to personal or property rights arises by reason of the terms of, or
effects arising from this Agreement. City may make all reasonable decisions with respect to its
representation in any legal proceeding.
8. CONFIDENTIALITY
If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees
that it shall not use or disclose such information except in the performance of this Agreement,
and further agrees to exercise the same degree of care it uses to protect its own information of
like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Confidential information disclosed to either party by any subsidiary and/or agent of the other
party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is,
through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful
possession of the Consultant without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or ( e) is independently developed by the Consultant without
reference to information disclosed by the City.
9. CONFLICT OF INTEREST CLAUSE
Consultant covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.
10. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any communication shall be addressed and transmitted to the new address. If sent by mail,
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsimile, communication shall be effective or
deemed to have been given twenty-four (24) hours after the time set forth on the transmission
report issued by the transmitting facsimile machine, addressed as set forth above. For purposes
of calculating these time frames, weekends, federal, state, County or City holidays shall be
excluded.
11. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Consultant. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor
the City. Each party to this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which are not embodied herein.
12. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior

written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other consultants retained by City.
13. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of termination,
subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Consultant to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited by law, and Consultant consents to the City's use thereof
for such purposes as the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
14. DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Consultant affirms that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
15. JURISDICTION - VENUE
This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
16. PROFESSIONAL LICENSES
Consultant shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
hereunder and required by the laws and regulations of the United States, the State of California,
the City of Santa Ana and all other governmental agencies. Consultant shall notify the City
immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals,
waivers, and exemptions. Said inability shall be cause for termination of this Agreement.

17. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement the date and year

WORK PLAN
In preparation for this proposal, Tetra Tech, Inc. has reviewed the project description and scope of
work contained in your Request for Proposal (RFP), reviewed existing construction plans, visited the
project site and discussed the project with City staff. Based on this information and our experience
with similar proj ects, we propose the following scope of work.
TASK A - Meetings and Presentations
1. Project kick-off meeting to review scope, schedule, budget and work plan.
2. Preliminary design meeting to discuss hydraulic capacity of the station.
3. Preliminary design meeting to discuss wet well sizing, dry pit layout, and pump selection.
4. Preliminary design meeting to discuss lift station siting and gravity/force main sewer main
alignments.
5. Design meeting to discuss electrical and control system design.
6. Final design meetings at 50%, 90% and 100% completion stages to review City's comments.
TASK B - Research and Data Collection
1. Tetra Tech will research and locate all existing utilities and improvements within the project
area. We will contact Underground Services Alert (USA) for a computer printout of all utilities
registered within the project limits. We will send andlor deliver preliminary notice to each
utility advising them of the project and requesting utility information. We will obtain the
following data from the City: survey records, design criteria, street, water, sewer, and storm
drain plans. Based on the information shown on these plans, we will prepare base maps for the
project. Tetra Tech will request the City perform an Underground Services Alert (USA)
notification requesting utility markings at several different locations of the pipe alignment. We
will verify the field markings to confirm the location of utilities shown on the latest construction
drawings.
2. Tetra Tech will perform sewer flow monitoring at the top of the force main where it goes to
gravity to establish accurate flow readings. The flow monitoring shall occur over a 7-day period
of time with IS-minute sampling periods showing depth, flow and velocity. Two copies of the
report prepared by MGD Teclmologies, Inc. will be provided to the City. The report will
include one 3.5-inch diskette or CD/DVD containing the files representing the data recorded.
In addition, Tetra Tech will perform the following services to confirm the hydraulic capacity of
the station:
a. Confirm with flow data obtained from existing meters located on the CSDOC trunk main.
b. Using City's sectional maps and typical flow generation rates, estimate the dry weather
average and peale flow rates.
c. Use CSDOC's 1999 Strategic Plan to estimate the peak wet weather flow to the station.
3. Tetra Tech will perform a feasibility study of the new station. The study will address, but not be
limited to, the following:

Weare proposing to summarize the maj or design issues in memorandums for submittal to City
for review and comments. Currently, we are proposing memorandums for the following issues:
wet well sizing; dry pit layout and pump selection; lift station siting; and alignment alternatives.
We will meet with the City staff to discuss the memorandums and formulate the final design.
TASK C - Plans and Specifications
1. Tetra Tech will prepare construction plans, technical specifications and cost estimates for the
project All plans and specifications shall be prepared in accordance with the applicable
provisions of: Standard Specifications for Public Works Construction (Green Book); National
Electric Code; Uniform Building Code; and City of Santa Ana Standard Plans and
Specifications.
2. The City shall provide the contract documents and <'boilerplate" portion of the Specifications.
Tetra Tech will provide the technical specifications portion of the special provisions and a list of
Bid Items. Specifications will be prepared in Microsoft Word format. Final submittal to the
City shall include a computer disc, as well as a hard copy of the Specifications.
3. Plans will be CAD generated and the final plans will be provided in Micro Station format. Final
submittal to the City shall include Mylar Plan sheets as well as electronic copies of the CAD
files. All plans shall be drawn at a minimum of scale of 1" = 20' unless otherwise approved by
the City.
4. The Plans and Specifications will address, but not be limited to, the following items of work:
a. Excavation, construction and backfill for the below ground portion of the station (wet well
and dry pit). Design parameters will be established for wet well volume, pump cycling,
solid disposition, pump suction configuration and submergence. Odor and grease control
systems will be provided for the wet well.
b. Three new booster pumps and motors equipped with VFD will be provided. The control
system shall be designed to operate with the City's existing SCADA system. Installation
and programming of the new PLC. will be included in our scope of work. An in-line
grinder shall be installed upstream of the pumps to disintegrate rags, solids, and other
foreign objects that would clog or foul the pumps.
c. All new electrical equipment, controls and wiring will be designed. Equipment failure
and intrusion alarms will be provided. Tetra Tech will provide an interface with City's
SCADA system. Schematics and ladder diagrams will be provided for all electrical
systems and instrumentation. All electrical requirements will be coordinated with SCE.

d. Tetra Tech will evaluate the feasibility of relocating the back-up generator from the
existing site to the new lift station. We will also reView the capacity of the existing
generator to ensure it will be able to operate the new station.
e. Tetra Tech will prepare plans for a masonry block building (estimate at 15 feet by 15 feet)
to house the electrical panels.
f. Tetra Tech will design a stairway access to the dry pit. The design wi.Il take into account
the historic street flooding in the area. We will address the recommended improvements
to prevent flooding of the building and dry pit. Tetra Tech will prepare architectural
renderings of the building exterior and landscaping for Planning Department approval.
g. Tetra Tech will provide landscape, irrigation and street improvement plans for the end of
San Lorenzo Avenue (including street trees, shrubs, sidewalk, curb and gutter, and other
improvements as necessary).
h. Tetra Tech will design the new IS-inch to IS-inch VCP sewer gravity main and the
corresponding force main. It is assumed the City will provide all pothole information for
depths of existing utilities.
1. Tetra Tech has assumed that no traffic control plans will be prepared. The Specifications
will require the Contractor to prepare the traffic control plans for City review and
approval.
J. Tetra Tech will prepare a demolition plan to remove and salvage equipment from the
existing lift station. This demolition work will include demolishing the old sewer lift
station, backfilling voids, and restoring street improvements.
Based on our understanding of the project, we envision the following construction plan sheets:

TASK D - Survey
The City will provide all necessary field survey for the design of the subject improvements.
TASK E - Geotechnical Investigation
The Geotechnical sub consultant will review available files and information for the surrounding area.
They will also review published information in their files or available at the US Geologic Survey and
California Geological Survey web site regarding local site conditions.
The Geotechnical sub consultant will drill, log and sample one exploratory boring with hollow-stem
auger drilling equipment to a maximum depth of approximately 50 feet or refusal at the lift station site.
An additional 25-foot boring will be drilled along the proposed sewer line. Bulk and relatively
undisturbed ring soil samples will be obtained for visual classification and laboratory testing, Borings
will be backfilled with soil cuttings. Cold asphalt patch will be utilized at the ground surface wherever
pavement is penetrated.
Tbis proposal specifically excludes the assessment of environmental characteristics, particularly those
involving hazardous substances at the site.
Laboratory testing on the sampled soils will be performed: moisture content and dry densities; grain
size analysis test; Atterberg Limits test; expansion index test; compaction test; one R-value test on
existing materials for pavement design; direct shear test for evaluating shear strength of soil;
consolidation test to evaluate compressibility of the native soil for detailed settlement analysis; and
one soil pH, sulfate and chloride contents and resistivity.
A report will be prepare to provide recommendations for the site earthwork, building foundations,
shoring requirements, slabs-on-grade and pavements. The report will also discuss the regional
seismicity.

TASK F - Plan Check and Permits
Tetra Tech will coordinate, administer and apply for all necessary permits. We have included within
our proposal provisions for plan revisions, clarifications, meetings and time constraints necessary to
obtain the Building and Electrical Permit from the City of Santa Ana. The City will be responsible for
all permit fees and will assist in processing plans for the issued City permits.
TASK G - OCSD Coordination
Since the lift station will discharge into OCSD trunk sewer in Bristol Street, Tetra Tech will
coordinate the requirements and obtain the necessary approval from OCSD.
CONSTRUCTION PHASE SUPPORT
TASK A - Bid Period
Tetra Tech will respond to questions on the Plans and Specifications during the bid period.
TASK B - Pre-Construction Meeting
Tetra Tech will attend a pre-construction meeting.
TASK C - Shop Drawings
Tetra Tech will review shop drawings, equipment specifications, samples and other submittals for
compliance with the Plans and Specifications. For this proposal, we have assumed a total of forty (40)
submittals and included budget for a second review of each shop drawing submittal if necessary.
TASKD-RFIs
Tetra Tech will respond to Contractor's Requests for Information (RFI) and provide clarifications of
the Plans and Specifications during the construction process. For this proposal, we have assumed a
total of ten (10) RFIs will need to be responded to.
TASK E - Change Orders
Tetra Tech will evaluate and respond to Contractor's request for change orders. For this proposal, we
have assumed a total offive (5) change orders will need our attention.
TASK F - Periodic Site Visits
Tetra Tech will perform periodic site visits during construction to review progress and attend
construction meetings. For this proposal, we have assumed that a total of three (3) site visits to resolve
issues will be required. In addition, we have assumed that we will be requested to attend one meeting
per month for a duration of six months for a total of six (6) meetings.

MANPOWER
Although overall frrm credentials and experience are important, the key to a successful project is the
caliber and depth of experience of the specific individuals assigned to the project team. Tetra Tech's
approach for your project has been to assess the technical and management skills required and then
match Tetra Tech and subconsultant staff members to address the needs. This careful teaming
approach - drawing from a large technical resource base - enables Tetra Tech to deliver the most
effective project team that can quickly and efficiently focus on your project issues. This section
presents our project organization and introduces the members of the proposed project team. Within
Appendix A, we have provided tailored resumes of the key team members.
Project Manager - Leading the overall organization is an experienced Senior Project Manager who
will be an active participant on the Tetra Tech team. We are committing Mr. Tom Epperson, P.E. as
Project Manager for this project. Tom has over 20 years experience devoted entirely to wastewater,
water and recycled water facility projects and has been responsible for the design of over ten (10) lift
stations during his career. Recently, Mr. Epperson has been the Project Manager for the Technical
Evaluation of South Coast Water District Lift Stations and the design of seven (7) lift station upgrades
for MNWD. Tom will be responsible for the overall project direction and coordination, technical
oversight, quality management and provide all day-to-day contact with the City staff.
Quality Review Team - The Quality Review Team will provide technical guidance and quality control
at key project milestones. In addition, Mr. Tom Epperson will also draw from their experience at any
time to help address the complex challenges of your project. The quality review team consists of Mr.
Bruce Burris and Mr. Steven Agor. It should be noted that Mr. Burris was the Engineer of Record
on the previous Bristol Pump Station Rehabilitation Work.
Project Engineer - Mr. Epperson will be assisted by Mr. Mark Bush, P .E. Mr. Bush has eight years
of engineering experience, including being the Project Engineer for the Technical Evaluation of South
Coast Water District Lift Stations and for the design of several lift station projects throughout
Southern California. Mark also was the Project Engineer for the two 5.0 MG John Garthe Reservoirs
for the City so he has an intimate understanding of the City and the steps necessary to obtain Building
and Electrical Permits.
Technical Support - Mr. Bush will be assisted by Mr. Matt Collings, P.E. Mr. Collings has five
years of engineering experience, including the design of several lift station projects throughout
Southern California. These projects have include the seven (7) lift station upgrades for :MNWD and
two lift stations for Irvine Ranch Water District. Mr. Victor Ramirez, S.E. will lead the structural
and Mr. James Park, P.E. the electrical portions of the project. Both of them were intimately
involved with the John Garthe Reservoirs and will be able to incorporate this experience into this
project.

1. The City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California
92701; its officers, employees, agents, volunteers and representatives are named as
additional insureds ("additional insureds") with regard to liability and defense of suits
arising from the operations and uses performed by or on behalf of the named insured.
2. With respect to claims arising out of the operations and uses performed by
or on behalf of the named insured, such insurance as is afforded by tIns policy is primary
and is not additional to or contributing with any other insurance can-ied by or for the
benefit of the additional insureds.
3. This insurance applies sepamtely to each insured against whom claim is
made or suit is brought except with respect to the company's limits of liability. The
