FIRST AMENDMENT TO
CONSUL T ANT AGREEMENT
THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into
on May 2, 2005, by and between Occupational Safety Training Systems, Inc., a
California corporation ("Consultant") and the City of Santa Ana, a charter city and
municipal corporation ofthe State of California ("City").
Recitals:
A. The parties entered into Consultant Agreement N-2005-042, dated April 20, 2005,
(hereinafter "said Agreement") by which Consultant has provided safety certification
for Public Crane Operators.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
increase the compensation to pay for additional services provided by Consultant.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with
the following:
"Consultant shall provide a Certification of Crane Operators Preparation class to
prepare City employees who operate a crane to take the mandatory written and practical
tests for crane operators, as set forth in Exhibit A, attached to said Agreement."
2. Section 2.a., COMPENSA nON, shall be deleted in its entirety and replaced with the
following:
"a. City agrees to pay, and Consultant agrees to accept as total payment for its
services, the rates and charges identified in Exhibit A. The total sum to be expended
under this Agreement shall not exceed $13,234.00 during the term of this Agreement."
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.

Consultant Agreement on the date and year first written above.

CCO Preparation, Written Exam & Practical Exam Certification
Operator certification per the National Commission for the Certification of Crane
Operators (NCCCO) requirement is a two-part process.
Part one: Written Exam
Part two: Practical Exam
All candidates are required to pass both the written and practical examinations in order to be
certified. Part one, operators are required to pass a written, technical exam. To
accomplish this we offer the following:
CCO Preparation Class
Operators should attend this 2-day prep class that is designed to teach candidates the
information needed to pass the written exam. Even the most experienced operators have a better
chance to pass if they attend a prep class. (Prep days could be extended to 3,4, or 5 days
depending on the number of Specialties).

PASMA Member Discount*
. $6,300.00 2-Day Prep class up to 15 Operators
Practical Examination (Phase I)
. $3,234.00
Re-Training & Re-Testing
Candidates not passing any of the Written portions of the exams be it the Core or
Specialties can attend a future OSTS 2-day Prep class at no additional charge
(Attendance based on seating availability). Re-testing charges are paid directly to LA!.
OSTS will coordinate any and all re-testing applications at no additional charge.

Amendment to Consultant Agreements - OSTS, Inc.

Attached you'll find three original First Amendment to Consultant Agreements for
Occupational Safety Training Systems.
As of June 1,.2005 all crane operators who operate a mobile crane must be certified by this
date. This requires our City crane operators to have a certification by means of a written
exam and a practical exam. Occupational Safety Training Systems, Inc. (OSTS) submitted
staff with a proposal (Phase I) in the amount of $9,534.00 to provide a prep course and an
on-site City written exam. An agreement was prepared for the prep course and written exam.
Following this activity, the practical exam (hands-on equipment) is required. OSTS will
provide the practical exam in the amount of $3,234.00 not to exceed this amount. This will
exceed the limit agreement of $1 0,000.00
