CONTRACTOR AGREEMENT

THIS AGREEMENT, made and entered into this I st day of August, 2005 by and between
Econolite Traffic Engineering and Maintenance, Inc., a California corporation (hereinafter
"Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and
existing under the Constitution and laws of the State of California (hereinafter "City").
RECITALS
A. The City desires to retain a Contractor having special skill and knowledge in the field of
preventive and extraordinary maintenance of traffic signal systems, advanced traffic
management systems and street lighting systems.
B. Contractor represents that Contractor is able and willing to provide such services to the
City.
C. In undertaking the performance of this Agreement, Contractor represents that it is
knowledgeable in its field and that any services performed by Contractor under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Contractor shall perform those services as set forth in City's Request for Proposal dated
May 16,2005, attached hereto as Exhibit A-I and Contractor's Proposal, dated June 10,2005,
attached hereto as Exhibit A-2.
2. COMPENSATION
a. City agrees to pay, and Contractor agrees to accept as total payment for its services,
the rates and charges identified in Contractor's Fee Proposal, attached hereto as Exhibit B. The
total sum to be expended under this Agreement shall not exceed $650,000.00, per fiscal year,
during the term of this Agreement.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.

3. TERM
This Agreement shall commence on September I, 2005 and terminate on August 31,
2008, unless terminated earlier in accordance with Section 12, below. The term ofthis
Agreement may be extended for two successive one-year terms, upon the mutual written
agreement of the parties. The maximum rate increase for each successive term shall be I.) the
percentage increase which occurred in the Consumer Price Index (CPI) (All Items, Base 1982-
84= 100) as published by the United States Department of Labor Bureau of Labor Statistics, for
All Consumers for the Los Angeles, Riverside, Orange County, CA Metropolitan Statistical Area
during the preceding two (2) year period, or 2.) five percent (5%), whichever is lowest.
4. INDEPENDENT CONTRACTOR
Contractor shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer-employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Contractor performs the services which are the subject matter of this Agreement; however, the
services to be provided by Contractor shall be provided in a manner consistent with all
applicable standards and regulations governing such services. Contractor shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. PERFORMANCE PROVISIONS
If Contractor should neglect to prosecute the work properly, or fail to perform any
provisions of this Agreement, three (3) days after delivery of written notice to the Contractor,
City may, without prejudice to any other remedy it may have, make good such deficiencies and
may deduct the cost thereof from the payment then or thereafter due the Contractor; provided,
however, that the Executive Director of the Public Works Agency shall approve such action and
certify the amount thereof to be charged to the Contractor.
6. LABOR STRIKE
It is the responsibility of the Contractor to provide continuous maintenance services under
this Agreement, without interruption, of traffic signal, street lighting and communication facilities in
the City. In case of any labor strikes, the Contractor shall provide other means, at its own costs, to
provide comparable continuous services as if there were no strike. Failing to do so will cause the
City to take whatever action is deemed necessary to provide such service and the cost will be borne
by the Contractor.
7. INSURANCE
Prior to undertaking performance of work under this Agreement, Contractor shall
maintain and shall require its subcontractors, if any, to obtain and maintain insurance as
described below:

a. Commercial General Liability Insurance. Contractor shall maintain commercial
general liability insurance naming the City, its officers, employees, agents, volunteers and
representatives as additional insured(s) and shall include, but not be limited to protection against
claims arising from bodily and personal injury, including death resulting therefrom and damage
to property, resulting from any act or occurrence arising out of Contractor's operations in the
performance of this Agreement, including, without limitation, acts involving vehicles. The
amounts of insurance shall be not less than the following: single limit coverage applying to
bodily and personal injury, including death resulting therefrom, and property damage, in the total
amount of $1 ,000,000 per occurrence. Contractor shall supply City with a fully executed
additional insured endorsement in substantially the form attached hereto as Exhibit C upon
execution of this Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non-owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, Contractor, if Contractor has any employees, is required to be insured against
liability for worker's compensation or to undertake self-insurance. Prior to commencing the
performance of the work under this Agreement, Contractor agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.
d. If Contractor is or employs a licensed professional such as an architect or engineer:
Professional liability (errors and omissions) insurance, with a combined single limit of not less
than $1,000,000 per claim.
e. The following requirements apply to the insurance to be provided by Contractor
pursuant to this section:
(i) Contractor shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
f. If Contractor fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not effect Contractor's right to be paid for its
time and materials expended prior to notification of termination. Contractor waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.

8. INDEMNIFICATION
Contractor agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, Contractors, special counsel, and representatives from liability: (I) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims
for personal injury, including health, and claims for property damage, which may arise from the
direct or indirect operations of the Contractor or its contractors, subcontractors, agents,
employees, or other persons acting on their behalf which relates to the services described in
section I of this Agreement; and (2) from any claim that personal injury, damages, just
compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects
arising from this Agreement. This indemnity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to
have been suffered, by reason of the events referred to in this Section or by reason of the terms
of, or effects, arising from this Agreement. The Contractor further agrees to indemnify, hold
harmless, and pay all costs for the defense of the City, including fees and costs for special
counsel to be selected by the City, regarding any action by a third party challenging the validity
of this Agreement, or asserting that personal injury, damages, just compensation, restitution,
judicial or equitable relief due to personal or property rights arises by reason of the terms of, or
effects arising from this Agreement. City may make all reasonable decisions with respect to its
representation in any legal proceeding.
9. CONFIDENTIALITY
If Contractor receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Contractor agrees that
it shall not use or disclose such information except in the performance of this Agreement, and
further agrees to exercise the same degree of care it uses to protect its own information of like
importance, but in no event less than reasonable care. "Confidential Information" shall include
all nonpublic information. Confidential information includes not only written information, but
also information transferred orally, visually, electronically, or by other means. Confidential
information disclosed to either party by any subsidiary and/or agent of the other party is covered
by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to
any information that (a) has been disclosed in publicly available sources; (b) is, through no fault
of the Contractor disclosed in a publicly available source; (c) is in rightful possession of the
Contractor without an obligation of confidentiality; (d) is required to be disclosed by operation of
law; or (e) is independently developed by the Contractor without reference to information
disclosed by the City.
10. CONFLICT OF INTEREST CLAUSE
Contractor covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.

11. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any notice, tender, demand, delivery, or other communication shall be addressed and transmitted
to the new address. If sent by mail, communication shall be effective or deemed to have been
given three (3) days after it has been deposited in the United States mail, duly registered or
certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile,
communication shall be effective or deemed to have been given twenty-four (24) hours after the
time set forth on the transmission report issued by the transmitting facsimile machine, addressed
as set forth above. For purposes of calculating these time frames, weekends, federal, state,
County or City holidays shall be excluded.

12. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Contractor, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Contractor. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, the terms and conditions hereof, shall not bind or obligate Contractor nor
the City. Each party to this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which are not embodied herein.
13. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Contractor,
Contractor may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other Contractors retained by City.
14. TERMINATION
a. In the event that any of the provisions ofthis Agreement are violated by the
Contractor, the City may terminate the Agreement by serving written notice upon the Contractor
of its intent to terminate such Agreement and, unless within ten (10) days after the serving of
such notice, such violation shall cease, the Agreement shall, upon the expiration of said ten (10)
days, cease and terminate. In the event of any such termination for the reason mentioned above,
the City may take over the work and prosecute the same to completion by contract or otherwise
for the account and at the expense of the Contractor, and the Contractor and his sureties shall be
liable to the City for any excess cost occasioned in the event of any such termination. This
clause shall not be construed to prevent the termination, for other causes, authorized by law or
other provisions of this Agreeement.
b. This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Contractor shall be entitled to receive and the City shall pay Contractor
compensation for all services performed by Contractor prior to receipt of such notice of termination,
subject to the following conditions:
I. As a condition of such payment, the Executive Director may require Contractor to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited by law, and Contractor consents to the City's use thereof
for such purposes as the City deems appropriate.

2. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
15. DISCRIMINATION
Contractor shall not discriminate because ofrace, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Contractor affirms that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
16. JURISDICTION - VENUE
This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
17. PROFESSIONAL LICENSES
Contractor shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
hereunder and required by the laws and regulations of the United States, the State of California,
the City of Santa Ana and all other governmental agencies. Contractor shall notify the City
immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals,
waivers, and exemptions. Said inability shall be cause for termination of this Agreement.
18. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.

1 PURPOSE
The purpose of this Request for Proposal (RFP) is to obtain a prime contractor to enter into a
contract with the City to perform preventive and extraordinary maintenance on the citywide traffic
signal system, advanced traffic management system, and street light system.
2 REQUIREMENTS
2.01 TRAFFlC SIGNAL MAINTENANCE
2.01.01 Scope of Work
The Contractor shall furnish all tools, equipment, apparatus, facilities, labors, services, training and
materials to perform all work necessary to maintain all traffic signal facilities in a good and worker-
like manner according to the proposal submitted and in accordance with these specifications.
The traffic signal maintenance portion of this contract does not cover safety light maintenance,
except damage to the combination of traffic signal and safety light pole due to malicious
mischief, traffic collision or nature causes. Maintenance of the traffic signal control system
located at the City's Traffic Management Center will be done as part of extraordinary
maintenance only.
2.01.02
List of Signalized Intersections
See Appendix "A" for the list oftraffic signals, flashing beacons, and flashing crosswalks.
2.01.03
Additions to Svstem
The Contractor shall maintain additional traffic signals and appurtenant devices as they are
installed, or become a part of the maintenance requirements of the City, at the same unit price.
In the event that notification is made of a new installation at other than the beginning of a
monthly period, the unit cost of routine maintenance will be pro-rated from the day the
Contractor is notified.
2.01.04 Routine Maintenance
The Contractor shall perform a complete inspection and service of each signalized intersection
once a month, not less than 25 days or more than 35 days apart, for safety, operation and
cleanliness.
The price bid for routine maintenance shall include but not be limited to the following services:
A. Monthlv Inspection and Service:
1. The Contractor shall clean the cabinets thoroughly on the inside, including all
components.
2. The Contractor shall replace air filters every 90 days and mark the installation date on the
top ofthe filter.
3. The Contractor shall check controller timing and timer schedule against the timing sheet
and notifY the City on any deviation.

4. The Contractor shall check all equipment (detector amplifiers, safety monitor, etc.) in the
cabinet for proper operation and determine all indicator lights are functional.
5. The Contractor shall tune or replace vehicle detector amplifiers as necessary. The
Contractor shall meter loops individually when troubleshooting loop for operation.
4. The Contractor shall check all pedestrian pads, microwave detections, and video
detections for proper operation. If necessary, The Contractor shall repair or replace the
device as an extraordinary maintenance item.
5. The Contractor shall check all pedestrian push buttons for proper operation. If necessary,
The Contractor shall repair or replace the pedestrian push button as an extraordinary
maintenance item.
6. The Contractor shall clean the solar panels for flashing beacons and flashing crosswalks
per manufacturer's specifications to remove all dust and particulate without any damage
to the panel.
7. The Contractor shall check all vehicle and pedestrian signal heads for proper operation.
The Contractor shall replace all burnout LED modules via City furnished LED traffic
signal modules and/or Neon pedestrian modules from the City and return burnout LED
modules to the City.
8. The Contractor shall inspect in-pavement flashing device to ensure that they all remain
securely in-place and properly activate from various directions with similar brightness.
9. The Contractor shall check all poles and standards. The Contractor shall log any
noteworthy conditions and notifY the City.
10. The Contractor shall place signal in pinned standby or forced standby while servicing the
intersection.
II. The Contractor shall notify the City on any graffiti that is on the signal equipment. It is
not the Contractor's responsibility to remove the graffiti.
12. The Contractor shall clean all vehicle and pedestrian signal face once a year.
13. The Contractor shall maintain a record log in each controller cabinet showing the date
and time of any service. It shall consist of three sheets.
a. Routine Maintenance
b. Extraordinary Maintenance
c. Extraordinary Conditions - Items of damage reports not readily repaired.
All records shall be legiblv written or printed.
14. The Contractor shall organize the cabinet record files as follow (front to rear):

b. Routine Maintenance
c. Extraordinary Maintenance
d. Extraordinary Condition
e. Cabinet Print
Any other documentation shall be given to the City. Such documentation shall indicate
location of origins.

B. City shall not be responsible for the cost of replacement of parts to the control mechanisms
for maintenance performed under Section 2.0L04A, herein. When total controller
mechanisms become obsolete or deteriorated to the point of being beyond repair, the
Contractor shall report such conditions to City, and demonstrate or provide evidence that
replacement is necessary. The Contractor shall prepare and submit estimates, including the
breakdown of material and labor costs, for replacement of control mechanisms to the City.
C. Repair. Replacement and Storage
The Contractor shall replace or repair all defective parts of the signal system that cause signal
failure or malfunction, such as the signal controller, flashers, sensing units, :wiring systems,
all kinds of burnout, etc., unless the failure or malfunction falls in the category of
extraordinary maintenance as defined in Section 2.06 of these Specifications,
Replacement of pedestrian head modules, LED traffic signals, detector loops, illuminated
street name signs (ISNS) and reflective street name sign (RSNS) will fall into the category of
extraordinary maintenance per Section 2.01.05. Storage of equipment and/or materials in
cabinet shall require City's prior approval. All repairs shall be done per the latest Caltrans
Standard Specifications and Standard Plans.
D. LED Vehicle I Pedestrian Signal Module Replacement and Cleaning
The Contractor shall replace burnout LED vehicle and pedestrian signal modules with City
furnished LED signal modules. In case the Contractor was not able to replenish the supply
with the City supplied LED signal modules in time to replace the burnout ones, the
Contractor may use their own to replace burnout LED modules. The Contractor shall replace
vehicle and pedestrian signal modules with Gelcore brand LED signal modules listed in
Caltrans QPL only, and burnout LED PV lamp with Electro-Tech brand LED modules listed
in Caltrans QPL only. When Contractor used their own LED modules to replace the burnout,
the City will pay for the installation and reimburse the Contractor with same type of LED
signal modules used.
E. Emergencv Service
The Contractor shall provide emergency service to the City twenty-four hours a day, seven
days a week upon City's request(s) with a response time of less than thirty (30) minutes
under normal circumstances. In no instance shall the response time to an emergency call
exceed one (I) hour from the time of notification.
The Contractor shall make immediate or temporary repairs to damaged or malfunctioned
signal equipment due to traffic accidents, nature causes, malicious damage, burned out
lamps, controller malfunctions or any other damage creating a public hazard, in order to
return such affected equipment to service. Permanent repair shall be done within three (3)
working days when approved by the City.
Burned-out lamps need not be replaced on an emergency service call basis if there are at least
two signal indicators still operating for each direction of travel at the particular intersection.
Such replacement shall be handled as soon thereafter as possible, but in any event, no later
than 24 hours after knowledge of such burnout.
The Contractor shall maintain and make available to City a local telephone number where it
can be reached 24 hours per day, including weekends and holidays. This number shall be
made available to all persons designated by City.

F. Quarterly meetings to be held with the Contractor, including personnel routinely assigned to
work in Santa Ana.
2.01.05
Extraordinarv Maintenance
A. The failure or malfunction of the traffic signal system, including signal interconnect,
internally illuminated and reflectorized street name sign, may be considered as extraordinary
maintenance ifit is mainly caused by any of the following:
1. Nature causes
2. Civil disorder
3. Vehicle collision
4. Vandals
5. Excavation or resurfacing of the street
6. Power failures
7. Underground wiring damage
B. Any upgrading work or installation, as directed by the City, shall be 'extraordinary work. The
Contractor shall confirm each of City's extraordinary maintenance requests in writing,
accompanied with a cost estimate within three (3) working days. The Contractor shall
commence the work within three (3) working days and completed the work within five (5)
working days after the City's approval.
The Contractor shall notify the Traffic Engineer one working day in advance prior to
commence any extraordinary work.
C. The Contractor shall notify the Traffic Engineer or his representative in writing, including the
cost estimate, regarding any extraordinary maintenance work and get prior approval before
the work is scheduled. The Contractor shall commence the work within three (3) working
days and completed the work within five (5) working days after the City's approval.
The Contractor shall notify the Traffic Engineer 24 hours in advance prior to commence any
extraordinary work.
This sub-section shall not apply to emergency repairs.
D. For intersections with power outages, The Contractor shall use the following procedure:
1. The Contractor shall dispatch qualified personnel and equipment to reach the site within
30 minutes under normal circumstances. Upon arrival, The Contractor shall place
controller cabinet setting to flashing operation and turn off the controller until power has
been restored.
2. The Contractor shall setup temporary stop signs at all approaches upon arrival at the sites
if no police officer is present. The Contractor may set up more traffic warning and
control devices, if deemed necessary, and proceed to repair the signal.
3. If a police officer is at the site when the Contractor arrives, the Contractor shall quickly
examine the signal, evaluate the situation and discuss it with the police officer. If repair
will take only a few moments, the police officer may stay to continue to direct traffic
while the Contractor repairs the signal. If the repair will take longer than the officer can
wait, The Contractor shall immediately set up temporary stop signs and all other
necessary warning devices and relieve the police officer.

4. The Contractor shall remove all temporary traffic control devices and return those
devices owned by the City to location specified by the City after the signal is back in
operation.
E. City shall pay for such repairs required beyond the scope of routine maintenance as follows:
I. Materials: The City shall pay the Contractor for materials used in extraordinary
maintenance, the Contractor's cost from the supplier plus the percentage specified in the
Contractor's bid proposal. All materials and parts shall be new or have the approval of
the Traffic Engineer.
The Contractor shall use only the rigid galvanized steel conduits and polymer concrete
reinforced with heavy-weave fiberglass pull boxes unless specified otherwise by the
Traffic Engineer.
The City has the right to inspect the Contractor's records to verify any material costs used
in extraordinary maintenance.
2. Direct Labor: The Contractor shall present with his monthly .invoice a record of hours
spent in extraordinary maintenance of traffic signals and appurtenances per intersection.
City shall pay the Contractor for such hours of extraordinary maintenance at the rates
specified on the Contractor's bid proposal. Said hourly rates shall be the total cost to
City. Rates shall include all compensation for wages, profit, overhead, any fringe
benefits such as employer payments to, or on behalf of, work for health and welfare,
insurance, worker's compensation, pension, vacation, sick leave or any local, state,
federal, or union tax or assessment.
3. Equipment: City shall pay the Contractor for equipment used in extraordinary
maintenance on a job-trip basis rate as specified in the Contractor's bid proposal.
The Contractor's job-trip equipment rates shall constitute the rates to be paid by the City
when the specified equipment is used for the extraordinary maintenance. As used herein,
job-trip shall mean the furnishing of the required equipment at the site of extraordinary
maintenance work for the duration of the work. No additional compensation shall be
paid for transporting equipment to or from the job site.
2.01.05 Tvpes of Sil!nals
The bid prices for both the routine and extraordinary maintenance shall apply to all types of
signal controllers, video imaging detection systems, illuminated street name signs (ISNS),
reflectorized street name signs (RSNS), accessories and systems as may exist in the City now or
that may be installed during the life ofthe Contract.
2.02 ATMS EQUIPMENT MAINTENANCE
2.02.01 Scope of Work
Advanced Traffic Management System (ATMS) includes the Closed Circuit Television (CCTV),
Changeable Message Sign (CMS), Trailblazer Signs (TBS), Highway Advisory Radio (HAR),
Tl communication system, and fiber optic communication system.
The Contractor shall furnish all tools, equipment, apparatus, facilities, labor, services and
materials to perform all work necessary to maintain ATMS equipment and facilities, and trouble

shooting problems according to the proposal submitted and III accordance with these
specifications.
2.02.02 List of ATMS Equipment Locations
See Appendix "B" for CCTV, CMS, and HAR location listing.
2.02.03 Additions to System
The Contractor shall maintain additional ATMS equipment and appurtenant devices as they are
installed, or become a part of the maintenance requirements of the City, at the same unit price.
In the event that notification is made of a new installation at other than the beginning of a
monthly period, the unit cost of routine maintenance will be prorated from the day the Contractor
is notified.
2.02.04 Service Personnel
The Contractor shall provide qualified service personnel to maintain and to service all ATMS
equipment described in Section 3. Personnel shall have at least a year of experience maintaining
and trouble shooting ATMS equipment. '
The Contractor shall include the ATMS maintenance personnel's qualifications in the bid. The
City will notifY the Contractor in the City's sole opinion, personnel proposed for any ATMS
maintenance are not qualified to work on these systems. Within thirty (30) days after City makes
the determination the Contractor shall hire qualified Sub-Contractor(s) specialized in ATMS
equipment troubleshooting and repair to handle both routine and extraordinary maintenance
without any additional compensation from the City.
2.02.05 Equipment
The Contractor shall provide a liftlboom truck with a minimum of 50-foot reach capability to
access cameras, pan/tilt units and changeable message signs for routine maintenance.
The Contractor shall equip the ATMS Maintenance Technician with a laptop/portable computer
loaded with CCTV, CMS and AutoScope 2004 manufacturer's diagnostic and programming
software, a portable video monitor with video input and other accessory equipment to do both
routine maintenance and extraordinary maintenance. The Contractor shall submit a list of
equipment that will be used for trouble shooting and maintaining the ATMS equipment to the
City within 30 calendar days after the contract has been awarded.
2.02.06 Closed Circuit Television (CCTV)
A General
The camera & environmental housing are manufactured by Cohu Inc. 5755 Kearney Villa Road,
San Diego, CA 92186-5623, Tel 619-277-6700. Many cameras are located on top of 45-foot
poles at signalized intersections. The pan/tilt units are manufactured by Pelco Industries. A
Cohu camera control receiver, except where there is i-dome camera, an Optelecom VideolData
Fiber Optic Transmitter, an Enerdyne T1 Video/Data Encoder, or Comet Tl Video/Data Encoder
is inside of a type 334 cabinet at each CCTV site.
S. Routine Maintenance
Routine maintenance at each CCTV sites shall be conducted once every three months. The
Contractor shall inspect and service all CCTV during January, April, July, and October. The

Contractor shalI notify the Traffic Engineer 24 hours in advance as when and where routine
maintenance will take place.
Routine inspection and service shalI include the following activities:
I. Wipe lens as directed by manufacturer.
2. Check system operation at CCTV Cabinet.
3. Clean and vacuum the CCTV Cabinet.
4. Clean the camera housing and glass.
5. Replace the cabinet filter quarterly and mark the instalIation date on the top.
7. Check camera housing's pressure. Recharge the pressure minimum once a year and as
often as necessary per manufacturer's procedure.
8. Remove equipment, when necessary during inspection and instalI standby equipment if
available.
9. Lubrication of gears and adjust looseness of chains per manufacturer's operation
procedure.
10. The Contractor shalI maintain a record log in each control cabinet.
I I. Pan camera to face the north at the end of routine inspection and service.
2.02.07 ChaDeeable Messaee SleD (CMS)
A. General
Two-line changeable message signs are LEDSTAR Model SR55-CMSI7, manufactured by
Ledstar, Inc., 315 Flint Road, Downsview Ontario M3J 2J2, tel. (416) 663-8500. Each two-line
Changeable Message Sign site includes the sign mounted on pole at approximately 17 feet above
ground cantilever into traffic lane and the CMS Control Cabinet with the Ledstar LM-21
controller, and the ControlIer Interface Assembly (CIA).
B. Routine Maintenance
Routine maintenance at each CMS or TBS site shall be conducted once every three months. The
Contractor shalI inspect and service ail CMS during January, April, July, and October. The
Contractor shalI notify the Traffic Engineer 24 hours in advance as when and where routine
maintenance wilI take place.
Routine inspection shalI include the folIowing activities:
I. Check system operation at Control Cabinet.
2. Coordinate with the City to test remote control functions.
3. Clean and vacuum Control Cabinet.
4. Replace the filters in the cabinet and in the matrix area quarterly and mark the instalIation
date on the top.
5. Remove equipment, when necessary during inspection and instalI standby equipment if
available.
6. Inspect Exhaust Fan.
7. Inspect Ledstar Pixels.
8. Clean Lexan Doors.
9. The Contractor shall maintain a record log in each control cabinet.
10. Put message number one on the sign at the end of routine maintenance. Contact City for
verification of communication and sign message at the Santa Ana Traffic Management
Center.

2.02.08 Hig:hwav Advisory Radio (HAR)
A. General
Highway Advisory Radio Transmitters are manufachrred by fuformation Station Specialists,

B. Routine Maintenance
The Contractor shall maintain HAR transmitters once every three months. The Contractor shall
inspect and service HAR during January, April, July, and October. The Contractor shall notifY
the Traffic Engineer 24 hours in advance as when the routine maintenance will take place.
Routine maintenance activities shall include the following: .
I. Check system operation at control cabinet.
2. Clean and vacuum control cabinet
3. Replace batteries with Alkaline CC cells annually and when necessary.
4. The Contractor shall maintain a record log in the control cabinet pursuant to Section
2.05A.
5. Replace the cabinet filter quarterly and mark the installation date on the top.
The Contractor shall document performance of each transmitter using a Field futensity Meter and
an Audible Test once a year. The Contractor shall report to the City the results of the test.
2.02.09 Extraordinary Maintenance and Pavment
All extraordinary maintenance shall be conducted only when authorized by the Traffic Engineer.
The Contractor shall promptly notify City of any damage to the ATMS equipment. City reserves
the right to defer any extraordinary maintenance to the next regularly scheduled routine
maintenance interval.
The Contractor shall troubleshoot and repair CCTV, CMS, TBS, VIDS, fiber optic
communication system, and any other A TMS related equipment as authorized by the City and as
required to maintain operable communication systems. The Contractor shall furnish all necessary
tools and test equipment and no additional compensation will be allowed.
The provisions of Section 2.06 shall apply to payment for extraordinary maintenance activities
required beyond the scope of routine maintenance for all items addressed in Section 4 of these
provIsIOns.
2.03 STREET LIGHT SYSTEM MAINTENANCE
2.03.01 Scope Of Work
Contractor shall furnish all tools, equipment, apparatus, facilities, labor, services and materials,
and perform all work necessary to maintain street lighting facilities in a good and professional
manner in accordance with the specifications contained herein. All said labor, services,
materials, and equipment shall be furnished and said work performed and completed by the
Contractor as an independent contractor, subiect to the inspection and approval of the City's
Executive Director of Public Works Agency, or inspectors or their representatives.
2.03.02 Service Personnel

The Contractor shall provide qualified service personnel to maintain and to service all series
street lights and equipment described in Section 3. Work on the City's series street lighting
circuits shall be supervised and performed by a lead street light technician with a minimum of
five (5) years experience as a high voltage technician. The technician shall troubleshoot,
diagnose and perform all electrical connections.
The Contractor shall include series street lighting maintenance personnel's qualifications in the
bid. During the term of the contract the City will notifY the Contractor, in the City's sole
opinion, if personnel proposed for any series high voltage maintenance are not qualified to work
on these systems. Within thirty (30) days after the City makes the determination the Contractor
shall hire qualified Sub-Contractor(s) specialized in series high voltage equipment
troubleshooting and repair to handle both routine and extraordinary maintenance without any
additional compensation from the City.
2.03.03 List of Street Lil!htinl! Systems

2.03.04 Modifications to System
Contractor shall maintain additional or fewer street lights and appurtenant devices as they are
installed or become a part of the maintenance requirements of the City, at the bid unit price. In
the event that notification is made of a new installation at other than the beginning of a monthly
period, the unit cost of routine maintenance will be prorated from the day the Contractor is
notified.
2.03.05 Routine Maintenance
A. Monthly Inspection and Reporting
I. Contractor shall perform a monthly drive by inspection by the end of the first week of the
month and do necessary repairs of all series street lights within 24 hours of the night
drive. A map report to the Enterprise Management Section on the results of the
inspection shall be submitted the following day. The inspection shall be conducted
during night time hours.
2. Contractor shall clean the cabinet and test all disconnect and by-pass switches for series
lighting once every month and provide a report to the Enterprise Management Section on
the results of the inspection. Contractor shall maintain a record log at each disconnect
and bypass switch cabinet showing initials of service technician, date and time of service.
3. Contractor shall perform a monthly drive by inspection of all City-owned multiple street
lights and safety lights by the end of the first week of the month and provide a map report

to the Enterprise Management Section on the results of the inspection the following day.
The inspection shall be conducted during night time hours.
4. Contractor shall submit monthly reports, in a format approved by Enterprise
Management, and shall be submitted on a 3.5" disk (in addition to hard copy). Format to
be MS Windows Excel spreadsheet. Reports shall include dates of repairs and address of
the repairs, types of repair made, and all materials and equipment used. Monthly reports
shall be submitted by the 15th day of the following month. Separate reports shall be
provided for extraordinary maintenance.
B. Repair and Replacement Requests
Contractor shall replace any and all burned out lamps and cut out disks within 24 hours of the
request by the City.
C. Lamp Replacement
Contractor shall replace ail lamps and cut out disks in ail series street lights once per year.
Within thirty (30) days of the award, the Contractor shall provide the City with a lamp
replacement schedule. At least 25% of ail lamps shall be relamped per quarter during the
course of this contract. Contractor shall use only the following lamp types; 2500 lumen type
250066G; 6000 lumen type 6M66G. Contractor shall provide the City with a monthly report
and map showing the number of lamps that have been replaced, the type of lamp, and the
address for each lamp. The City has the right to inspect the Contractors records to verifY any
material costs used in lamp replacement Contractor shall have the option of replacing all lamps
at the same time in a group re-Iamping each year.
D. Globe Replacement
Contractor shall clean all globes at the time the lamps are replaced. At this time, all broken
or deteriorated parts shall be replaced, by the contractor, or changed as necessary. Contractor
shall use only the Santa Ana Acorn globe manufactured by J & J Roto-Plastics, 2308 S.
Anne Street, Santa Ana, California 92704, phone (714) 557-1171, or approved equal.
Submit to the City for approval.
E. Emergency Services
Twenty-four hours per day, seven days per week, emergency service shall be provided by
Contractor upon City's call with a response time of less than two hours under normal
circumstances, to make immediate or temporary repairs to City owned series and multiple
street light pole or service knock downs or damage caused by vehicle collision, acts of God,
vandals, or as required because of a public safety hazard. The Contractor shall respond to
emergency calls when directed by the City and dispatch high voltage technician and
equipment. The Contractor shall so conduct his operations as to cause the least possible
obstruction and inconvenience to public traffic. Contractor shall maintain and make
available to the City, a local telephone number where Contractor can be contacted twenty-
four hours per day.
2.03.06 Extraordinary Maintenance
A. The failure or malfunction of street lights may be considered extraordinary maintenance if it
is caused mainly by any ofthe following:
1. Acts of God

2. Civic Disorder
3. Vehicle Collision
4. Vandals
5. Excavation or re-surfacing of the street
6. Power failures
7. Underground wiring damage
B. Any upgrading, repair work, or any installation solicited by the City, shall be considered as
extraordinary. Any extraordinary maintenance reqnests from the City shall be confirmed by
the Contractor as to the time of and number of personnel dispatched. The Contractor shall
contact the Enterprise Management Section regarding any extraordinary maintenance work
found to be beyond requested repairs and seek prior approval before the work is scheduled.
Contractor shall notify Public Works Agency (PWA) Dispatch Office at 647-3380 each
day prior to crews being dispatched by Contractor.
I. No underground work shall be performed prior to completion of Underground Service
Alert (USA) markings.
2. An electrical permit shall be obtained from the City's Planning & Building Department
prior to any additions to the City's street light or other electrical system.
3. All extraordinary work completed by Contractor shall be invoiced time and material as
specified on Contractor's bid proposal.
C. Contractor shall respond to requests by City for extraordinary work within 24 hours of the
request. Work shall start in a timely manner. Contractor shall dispatch personnel, materials
and equipment on a daily basis until work is completed unless conditions do not allow work
to be performed.
D. City shall pay for such extra ordinary repairs required as follows:
I. Materials. The City shall pay to the Contractor for auy materials used in
extraordinary maintenance at Contractor's cost from the snpplier plus the
percentage specified in the Contractor's bid proposal. All materials and parts shall be
new or have the approval of the Enterprise Management Section if otherwise. The City
has the right to inspect the Contractor's records to verifY any material costs used in
extraordinary maintenance. The City may provide replacement poles and fixtures.
2. Direct Labor. Contractor shall furnish a monthly report of hours spent in extraordinary
maintenance of street light and appurtenances per address. City shall pay the Contractor
for such hours of extraordinary maintenance performed at the iob site address at the rates
specified on the Contractor's bid proposal. Crews shall be dispatched so as to maximize
work performed. Said hourly rates shall be the total cost to the City. Rates shall include
all compensation for wages, profit, overhead, any fringe benefits such as employer
payments to, or on behalf of worker for health and welfare, insurance, worker's
compensation, pension, vacation, sick leave or any local, State, Federal or union tax or
assessment.
3. Equipment. City shall pay Contractor for equipment used in extraordinary maintenance
on a per day basis rate as specified in the Contractor's bid proposal. Equipment shall be
dispatched so as to maximize work performed.

The Contractor's listing of per day equipment rates shall constitute total rates to be paid
by City when specified equipment is used.
As used herein per day shall mean the furnishing at the site of extraordinary maintenance
work the equipment specified. The per day rate shall be independent of the length of time
the equipment is in the City.
No additional compensation shall be paid for transporting the equipment to or from the
job site.
E. The Contractor shall submit weekly reports, when repairs are in progress, in a format
approved by Enterprise Management, and shall be submitted on a 3.5" disk- (in addition to
hard copy). Format to be MS Windows Excel spreadsheet. Weekly reports shall include
arrival and departure times, dates and addresses of the repairs, service personnel dispatched,
types of repairs made, and all materials and equipment used for each day worked. Weekly
reports shall be submitted by Monday the following week.
F. The Contractor shall provide to the Enterprise Management Section As-Built Maps of all
work performed on a form approved by the City. As Builts shall indicate the address and
description of all repairs made including installation of pull boxes, splices and connections,
etc. As Builts shall be submitted following each davs work performed.
2.04 STANDARD SPECIFICATIONS

The Standard Specifications set forth above will control the general provisions, construction materials,
and construction methods for this contract, except as amended by the Plans, Special Provisions, or
other contract documents. The following Special Provisions are supplementary and in addition to the

2.04.03 Time of Completion

representative.
2.04.04 Liquidated Dama2es
The liquidated damage amount shall be as specified III Subsection 6-9 of the Standard
Specifications per calendar day.

2.04.05 Emer2encv Information
The names, addresses and telephone numbers of the Contractor and Subcontractors, or their
representatives, shall be filed with the Engineer and the City Police and Fire Departments before
beginning work.
2.04.06 Plans and Specifications
This section shall conform to Section 2-5 of the Standard Specifications and these Special
Provisions.
The Contractor shall maintain a control set of plans and specifications on the project site at all
times. As approved by the Engineer, all final locations determined in the field and any deviations
from the plans and specifications shall be marked in red on this control set to show the as-built
conditions. Upon completion of all work, the Contractor shall submit the control set to the
Engineer. Final payment will not be made until this requirement is met.
2.04.07 Works bv A2encv Forces Because Of Nonperformance bv Contractor
Should the Contractor fail to correct deficiencies or public nuisances that have been created
because of hislher operation, then these will be considered to be of an emergency nature, and will
call for the AGENCY to move in on the project to take corrective action. Such work will be done
on a force account basis with an additional callout charge. There is a minimum two-hour charge
for labor on any callout plus an additional callout charge of$75.
2.04.08 Labor Standards Provision
In accordance with Section 1776 of the California Labor Code, not less than the general prevailing
rate of per diem wages for each craft or type of worker and mechanic needed to execute the contract
in the locality in which the work is to be performed, and not less than the general prevailing rate of
per diem wages for holiday and overtime works as determined by the Director of Industrial
Relations of the State of California, shall be paid to all workers employed.
A copy of the prevailing rate of per diem wages is on file in the Public Works Agency,
Construction Section, City of Santa Ana and is available to any interested party on request. The
Contractor shall post at the job site a copy of said minimum wages.
The Contractor and all Subcontractors shall submit certified payrolls weekly to the Agency.

2.04.09 Apprenticeship Standards
The Prime Contractor and all subcontractors on this project shall comply with apprenticeship
standards as established by Section 1777.5 ofthe California State Labor Code.
2.04.10 Utilities
This section shall conform to Section 5 of the Standard Specifications and these Special Provisions.
All existing utility access frames and covers, both private and public, shall be located and marked
with paint on the pavement surface by the Contractor.
Upon completion of the project, the Contractor shall remove all painted utility markings done by
him or the respective utility owners from the surfaces of sidewalks, driveway approaches, curbs and
gutters using the removal method acceptable to the Engineer. Any damage to sidewalks, driveway
approaches, curbs and gutters due to the Contractor's removal operation shall be repaired at the
Contractor's expense and to the satisfaction of the Engineer. Payment for removing utility
markings shall be included in other items of work, and no additional compensation will be allowed
therefore. .
If utility construction work within the area is required during the construction of this project, the
Contractor is directed to cooperate with the utility company(s) and their workers to assure proper
installation of the utilities with a minimum of conflict.
The last paragraph of Section 5- I shall be revised to read as follows:
"The Contractor shall determine the location and depth of all utilities including service connections,
which may affect or be affected by its operation."
2.04.11 Working Dav
This section shall conform to Subsection 6-7.2 of the Standard Specifications and these Special
Provisions.
The Contractor's activities shall be confined to the following hours:
· From 7:00 a.m. to 5:00 p.m., Monday through Friday, within work areas having either no lane
closures or having continuous lane closures, i.e. 24-hour closures lasting more than one day.
. From 9:00 a.m. to 3:00 p.m., Monday through Friday, for work requiring temporary lane
closures, i.e. those having less than a 24-hour duration, and for work at major intersections. As
an alternative, construction at major intersections may be permitted at night or on weekends.
Deviation from these hours/days shall not be permitted without the prior consent of the Engineer,
except in emergencies involving immediate hazard to be persons or property, or as specified
otherwise.
2.04.12
Contractor's Equipment and Facilities
This section shall conform to Subsection 7-1 of the Standard Specifications and these Special
Provisions.
The Contractor shall comply with all local sound control and noise level rules, regulations and
ordinances which apply to any work performed pursuant to the contract. Each internal combustion
engine, used for any purpose on the job or related to the job, shall be equipped with a muffler of a
type recommended by the Manufacturer. The noise level from the Contractor's operations shall not

exceed 95 dBA at a distance of 50 feet. This requirement in no way relieves the Contractor from
responsibility for complying with local ordinances regulating noise level.
The said noise level requirements shall apply to all equipment on the job or related to the job,
including but not limited to trucks, transit mixers, or transient equipment that mayor may not be
owned the Contractor. The use of loud signals shall be avoided in favor of light warnings, except
those required by safety laws for the protection of personnel.
Pursuant to the authority contained in Section 591 of the Vehicle Code, the Department has
determined that, such areas as are within the limits of the project and are open to public traffic, the
Contractor shall comply with all the requirements set forth in Divisions II, 12, 13, ~4 and 15 of the
Vehicle Code. Attention is directed to the statement in Section 591 that this Section shall not
relieve him or any person from the duty of exercising due care. The Contractor shall take all
necessary precautions for safe operation of hislher equipment and the protection of the public from
injury and damage from such equipment.
Full compensation for conforming to the requirements of this Section shall be considered as
included in the prices paid for the various contract items of work involved, and no additional
compensation will be allowed therefore.
2.04.13
State Division of Industrial Safety Permits
In accordance with Section 6500 of the State Labor Code, permits are required for all excavations
which are five feet or deeper or for all structures being built or demolished which are more than
three stories high.
2.04.14 Licenses & Permits
This section shall conform to Subsection 7-5 of the Standard Specifications and these Special
Provisions.
a. Business License. Each prime contractor and subcontractor shall obtain and pay for a Santa
Ana Business License. Detailed information concerning business license may be obtained from
the Finance and Management Services Agency, (714) 647-5447, City Hall.
b. Construction Water Permit. Each prime contractor or subcontractor which desires to obtain
water from AGENCY-owned fire hydrants for construction or any other purpose shall first
obtain and pay for a permit from the Corporate Yard of the City of Santa Ana, at 220 South
Daisy A venue. Information concerning costs and conditions may be obtained from the
AGENCY by calling (714) 647-3320. Use of private water from a hose bib is not allowed.
For safety reasons, the Agency will not allow Contractor to stretch construction water hoses
across open traffic lanes. Where required, Contractor shall use water truck.
c. Disposal Permit. In accordance with the procedures of the Orange County GSA, the cost for
the disposal of all materials at County landfill sites shall be borne by the Contractor.
d. Building and Electrical Permits. For projects involving building, structural construction,
traffic signal, street lighting or irrigation controller installation, the Prime Contractor shall
obtain the necessary building and electrical permits from the PI arming & Building Agency.
There will be no fees for these permits.

All permits and fees required by all other Agencies having jurisdiction over any part of the
work shall be obtained and paid for by the Contractor, unless otherwise noted on the Plans or in
the Special Provisions.
2.04.15 Lane Closures, Street Closures, Traffic Detours and Barricades
Lane(s) closure, street closure, traffic detour, signs and barricades used for handling traffic shall
conform to the requirements of Subsection 7-10.3 of the Standard Specifications, the traffic control
plan, the latest edition of the "Work Area Traffic Control Handbook" (WATCH), the latest edition
of Section 5 of the Caltrans Traffic Manual, and these Special Provisions. WATCH is published by
Building News, Inc. and shall be considered a part ofthese Special Provisions.
2.04.16 Clean-Uo & Dust Control
This Section shall conform to Subsection 7-8.1 of the Standard Specifications and these Special
Provisions.
The Contractor shall keep the work site clean and free from rubbish andOdebris at the end of every
working day. The Contractor shall sweep or vacuum up all rubbish and debris, and no rubbish and
debris shall be washed into the catch basins or storm drains.
2.04.17 Public Convenience & Safety
This section shall conform to Subsection 7-10 of the Standard Specifications and these special
prOVISIOns.
Intersections shall be kept open until work takes place within the intersection. Local vehicular and
pedestrian access, including access to driveways and businesses, shall be maintained at all times.
Pedestrian access across both streets in an intersection must be maintained at all times with a
minimum 4-foot width.
All signs shall be illuminated or reflectorized when they are used during hours of darkness. All
cones, pylons, barricades, or posts used in the diversion of traffic shall be reflectorized.
All signing, barricading and diversion of traffic shall be subject to the approval of the Engineer.
The Contractor shall provide a telephone number at which the Contractor's representatives can be
reached should an emergency occur requiring replacement or relocation of the required traffic
devices.
Prior to the start of construction operations, the Contractor shall notifY the Police and Fire
Departments of the AGENCY, giving the approximate starting date, completion date, and the name
and telephone number of responsible persons who may be contacted at any hour in the event of a
critical condition requiring irmnediate correction.
At least two weeks prior to starting work, the Contractor shall notifY the Orange County
Transportation Authority, bus service of the approximate starting date and completion date.
At least two weeks prior to starting work, the Contractor shall deliver notices supplied by the
Agency to the residents and businesses in the area affected by the construction. At least 48 hours
before blocking access, the contractor shall contact the affected parties in person or by written
notice to provide information as to the reason for the closure and the expected duration.
2.04.18 Subcontractine:

This section shall conform to Section 2-3.1 of the Standard Specifications and these Special
Provisions.
The prime contractor agrees to pay each subcontractor under this prime contract for satisfactory
performance of its contract no later than 10 days from the receipt of each payment the prime
contractor receives from City of Santa Ana. Any delay or postponement of payment from the
above referenced time frame may occur only for good cause following written approval ofthe City
of Santa Ana. This clause applies to both DBE and non-DBE subcontractors.
The prime contractor agrees further to release retainage payments to each subcontractor within 30
days after the subcontractor's work is satisfactorily completed. Any delay or ~ostponement of
payment from the above referenced time frame may occur only for good cause following written
approval of the City of Santa Ana. This clause applies to both DBE and non-DBE subcontractors.
2.04.19 Markup
This section shall conform to sub-section 3-3.2.3 of the Standard Specifications and these Special
Provisions.
Revise sub-section 3-3.2.3 (a) to read as follows:
(a) Work by Contractor. The following percentages shall be added to the Contractor's costs
and shall constitute the markup for all overhead and profits:
1) Labor 15
2) Materials 15
3) Equipment Rental 15
4) Other Items and Expenditures 15
To the sum of the costs and markups provided for in this subsection, 1 percent shall be
added as compensation for bonding.
(b) Work by Subcontractor. When all or any part of the extra work is performed by a
Subcontractor, the markup established in 2.04.19(a) shall be applied to the Snbcontractor's
actual cost of such work. A markup of 10 percent on the first $5,000 of the subcontracted
portion of the extra work and a markup of 5 percent on work added in excess of $5,000 of
the subcontracted portion of the extra work may be added by the Contractor.

2.06 MONTHLY SUMMARY
Contractor shall furnish the following reports to the City:

This report shall state the location in alphabetic order (north-south street first and then east-west
street), date of the work (including the day of the week) performed in chronological order, arrival
and departure time, and detailed description of work performed.
2.06.02 Street Lie:ht System Monthly Reports
Monthly reports shall include the following reports:

· Monthly map report of night drives of series lighting
· Monthly map report of night drives of multiple and safety lights,'
. Monthly routine maintenance report of repairs with As-built maps for senes street
lighting.
· Monthly extraordinary maintenance report of repairs with As-built maps for series street

2.06.03 Semi-annual Report of Series Street Lie:htine: and Safety Lie:htine:
Twice a year provide a report indicating total number of series street lights by address,
highlighting any changes or additions to the system.
Twice a year provide a report indicating total number, and lamp size of safety lights by
intersection and comer, and street, highlighting any changes or additions to the system. Show
service point location on street and address.
2.07 PAYMENT AND INVOICES
2.07.01 Invoices for Traffic Sie:nal System and ATMS
I. The Contractor shall prepare two invoices for routine maintenance billing: one for the traffic
signal system and another for ATMS.
2. For extraordinary maintenance billings:
a) The Contractor shall prepare a general invoice for all extraordinary billing that is less
than $500 per intersection.
b) The Contractor shall prepare a separate invoice for each location when extraordinary
billing is in excess of $500 per intersection.
c) The Contractor shall prepare a separate invoice nuder each jurisdiction for intersections
that are shared and listed in Appendix A or as requested by the Traffic Engineer.
2.07.02 Invoices for Street Lie:ht Svstem
I. For routine maintenance billing, an itemized invoice per month will be required. Invoices shall
be itemized as to address, dates worked, work performed and materials used separately for
paragraphs A - E as itemized under Section 3 of Street Light routine maintenance.

2. For extraordinary maintenance billing, an itemized invoice per month will be required.
Invoices shall be itemized as to, the purpose for the work, Date of repairs, addresses of
repairs, a description of the repairs and a full itemized accounting of all material, equipment
and labor costs. Each invoice shall be for one (1) days work, each day's work shall be on one
(1) invoice.
Payment shall not be made to the Contractor until the required reports and As-Builts have
been properlv submitted for work completed.
2.08 MONTHLY REPORTS AND INVOICES SUBMITTAL
The Contractor shall submit all reports and invoices in both paper and Microsoft Excel electronic
file format to the City.

4.04.01 Organization and Credentials
. Location of equipment repair and testing facility and a list of equipment.
Lab Services - Located less than 15 minutes from the city of Santa Ana, our
testing and repair center is located adjacent to our administrative offices at 3360
East La Palma Avenue, Anaheim, CA, 92806. Our facility is able to repair all
types of traffic control equipment from a variety of manufacturers. We have two
environmental chambers available to test the repaired equipment if requested by
the agency. We not only repair control equipment, but also Autoscope video
detection equipment. Bob Robles, along with two experienced technicians,
currently performs all testing of control equipment for TEAM Econolite (both new
and rebuilt/modified controllers and cabinets), as well as the repair of various
types of NEMA control equipment, and all types of 170 controllers.
Our testing and repair facility is one of the best in-house and fully functional
testing and repair labs in the state of California. From printed circuit boards to
full cabinets, TEAM Econolite stands ready for whatever may arise. Utilizing state
of the. art equipment, all testing and repair is overseen or performed by a 30-year
veteran in the traffic signal industry. As our Senior Engineering Technician, Bob
Robles is morelhan qualified to handle whatever comes the labs way.
We also perform the cabinet test function for many cities, as well as for Econolite
~. Control Products. Our tests conform to the current NEMA and Cal Trans
v " st~n(:tards, and we are considered an independent test lab, using the most

Bob. held this position until 1989 when he moved to the position of Design
Engineer. In 1990 Bob moved to General Dynamics and assisted in the Gyro
Optics Production Department, and later that year Bob returned to Econolite as a
field service technician. In 1995 Bob moved to Peek Traffic to assume the
position of Senior Engineering Technician. At Peek, Bob's duties included the
complete monthly maintenance for the City of Fontana, supervising the cabinet
testing area and special projects for the maintenance department. In May of
2002, Bob was hired by TEAM Econolite to assist in the initial setup and
implementation of the new maintenance business. Bob is fully versed on all
types of Econolite equipment and cabinet design and is certified as a Level II
traffic signal technician by IMSA as well as by Econolite Control Products Inc.
He has also taking Econolite classes in Autoscope Solo Pro video, is certified in
Aires and is fully versed on CCTV.
Working with Bob in the testing and repair center are two IMSA Level II
technicians, one of which, is an industry expert with the VMS 330 and Multisonics
equipment.

Direct Staffing

pontrollers, Jesus then decided to work as a system technician troubleshooting
~ndrepairing the VMS for mcmy of the cities in Orange County. Most recently he
was working as a senior technician for Peek with responsibility for the City of

Felipe Ortega - Test/repair/maintenance technician. Felipe joined our team
after a successful stint at U.S. Traffic where he, along with Jesus Sanchez, was
the technician who was responsible for the VMS maintenance. When needed,
Felipe works as our repair technician and as such makes most repairs to the 820
and 820A controllers, the LCD 12P CMU and various types of detectors. Felipe's
responsibilities also include the maintenance of the CCTV and CMS systems for
the City of Santa Ana. Felipe currently is the TEAM Leader" for the City of Santa
Ana and will assist in the maintenance of the City of Santa Ana as well as
maintain the CCTV, CMS and HAR.
Ottie D. Sterling - Maintenance Technician - Ollie came to us with an
impressive resume of experience in the traffic control industry. Ottie is an IMSA
Level III traffic technician; ARIES certified technician, Solo Pro Trained, as well
as being certified as a Journeyman Electrician by the State of Oklahoma. Mr.
Sterling began his career in the U.S. Air Force as an electrician and maintenance
technician, and while in the Air Force he began his IMSA certification process.
After his tenure with the Air Force, he went to work for CSC as the maintenance
technician for the City of Ontario. It was during this time that he obtained his
evel III certification. Mr. Sterling then moved to Oklahoma and began working
"4il~an electrician where he obtained his certification as a Journeyman.
Carl Gidney - Utility Leadman. Mr. Gidney has been associated with the traffic
signal industry for the past 30 years. Carl has extensive knowledge in the
construction, installation and repair of traffic signal systems, and street lighting
systems. Carl has been in charge of many significant projects, most recently the
City of Pas~dena FAU project where a major upgrade of controllers, signal
equipment, detection and interconnect was achieved over a 1 1/2 year period.
Carl has . performed complicated intersection/system modifications as well as
installing comPlete new intersections for many cities in Southern California. Carl
is the "TEAM Leader" in charge of the extraordinary maintenance, Street Lighting,
Safety Lighting and Illuminated Street Name Signs for the City of Santa Ana.

been training with our Engineering Technician, Bob Robles in all aspects
control systems. Cesar worked in the LA County area for SMI before
coming to TEAM Econolite and in doing so, he became very familiar with the 170
type controller and the 332 cabinet operations. Cesar lives in the City of La
Puente.
Rafael Mendoza - Maintenance Technician - Rafael came to TEAM Econolite
form one of our sister companies where among his responsibilities was
assembling and manufacturing tolling equipment for the traffic community.
Working under the guidance of Felipe Robles and Jesus Sanchez, Rafael has
been able to grasp the traffic control technology business quickly and continues
to grow each day.
Samson Monte - Maintenance Technician -Samson is a very enthusiastic
technician, and although he has only been in the maintenance industry for a few
of years, he has taken it upon himself to take classes on various types of control
equipment, systems, detection and cabinet operation. Samson is certified as an
IMSA Level I Technician, a trained electronic technician, and has taken
advantage of the expertise at Econolite to learn more about the type of operating
system used by Econolite as well as Autoscope video detection and interconnect
communications.
Daxon - Maintenance Technician - Kevin is an IMSA Level I technician
resides in Brea CA. Kevin worked for Signal Maintenance Inc. prior to
a team member where he developed his skills as a field technician.

Greg Wolters - Maintenance Technician - Greg recently joined TEAM Econolite

- President, of TEAM Econolite - Rodney joined the team as
of Operations after seNing over three years as the Vice President and
General Manager of the largest signal maintenance contractor in the state of
California. Rodney started his career after graduating from the University of
Southern Mississippi with a bachelor's degree in the Construction Engineering &
Management. Throughout his career, Rodney has worked his way up from
engineering and design positions to Senior Management. Rodney brings to the
team not only his experience as a senior manager, but also his direct experience
in the signal maintenance industry. Rodney has a strong . focus on customer
seNice and will be in day-to-day contact with the City of Santa Ana as needed to
assure that the Cities needs are met. Included in his responsibilities, will be the
customization of TEAM Econolite's Field Data Collection system designed to
meet the specific needs of the City. Aiding in communication with the City of
Santa Ana is seen as high priority for Rodney. The Field Data Collection system,
along with personnel interface, will playa large role in facilitating this objective.
Jim Ogg - Director of Operations - Jim first started in the traffic signal
maintenance industry in 1977, where he was charged with merging Traffic Signal
Maintenance, Inc., with Signal Maintenance, Inc. After successfully completing
the merger, Jim took on the administration of the business as well as stepping in
as the interim General Manager in 1978. Jim maintained this role until he hired
.: ill Sondergard as President of the new firm. After filling the open position, he
'then took on the operations side of the business and taught himself the ins-and-
olJh of the traffic signal maintenance business by working his way from the
Maintenance Operations Manager to Vice President of Operations, and then to
Vice President and General Manager. In 1988 Jim took over the Construction
Division of the business, and in 1990 moved back to the maintenance side of the
organization in the capacity of General Manager. In 1992 he moved to the
parent company of Signal Maintenance, Inc., and accepted the position of
President Jim remained in this position while the acquisition took place of Signal
Maintenance Inc. to Peek Traffic, pic in 1993. 1995 saw the retirement of Bill
Sondergard as President, and Jim moved back to Southern California to assume
the position of PresidElnt of Signal Maintenance, Inc., which he held until 2001, at
whichtimehe~(::(::epted.a new position with Econolite Control Products, Inc.,

and resides in Moreno Valley.
Mike Hutchens - Estimator/Project Manager - Mike first started in the
maintenance industry in 1992 working for Peek/SMI in the utility department. He
quickly progressed to leadman and became a valued member of their utility crew.
In 1997 Mike's potential was recognized by U.S. Traffic and he went to work for
them as a field service technician. Mike progressed quickly and in 1999 he
moved into the office as an estimator, and by 2001 he was in charge of the
estimating department, answering to the Vice President of Sales. Mike joined
TEAM Econolite in May of 2003 to assist in the estimating as well as taking on
selected projects. Since joining TEAM Econolite, Mike has proven to be an
invaluable asset in dealing with the technicians, estimating work and material
ordering. Mike is certified as a Level II technician by IMSA.

TEAM Econolite views this assignment as a partnership with the City of Santa
Ana. We strive to be an extension of the Engineering/Public Works department
through seamless communication with the city. From the technician in the field
and our administrative staff, to the paperwork compiled in the field and produced
electronically, TEAM Econolite will in essence be another employee of the City of
Santa Ana. Utilizing our extensive experience in traffic signal maintenance

mprehensive Preventative Maintenance -The routine maintenance function
I be performed by an Econolite Traffic Engineering & Maintenance, Inc.,
. EAM Econolite) employee, who is IMSA qualified, and TEAM Econolite trained,.
His/her job will include all the duties and responsibilities that are deemed
. necessary to ensure that the system operates as designed, and has as little
down time as possible, The technician's vehicle will be fully equipped, to enable
him/her to troubleshoot and repair any malfunction found during the preventative
maintenance check, or any callout. This includes all aspects of the traffic control
whether it be controllers, communication systems, video systems or any
items that may be installed by the City.
Should any of the technicians encounter unique problems, he/she will have
instant communications to a network of fully qualified factory
technical/engineering individuals that will assist them by phone, and/or on-site to
solve the problem(s) with as little inconvenience to the motoring public as
possible.
We anticipate that the bar coding of the controller cabinets will be accomplished
during the first six (6) months of the contract, and that this will become part of the
inventory system that will be given to the City (electronically). It is expected that
we will eventually have all the major components of the control units of each
cabinet bar coded to allow us to track each one through its life cycle, and give the
City an update on any item at any time. We also expect to have the ability to
download this information from the technician during the day, giving both TEAM
Econolite, and the City of Santa Ana instant access to all data with the signal
system.
When it becomes necessary to remove a control unit for evaluation, the
technician will notify the City by phone, unless the unit has to be removed at
ight or on the weekend, in such a case, the City will be notified of the
~J?lacement the next business day. Should it be found that the unit removed is
ob'Solete, and in need of replacement, a written quote/authorization for
replacement will be forwarded to the City as soon as possible, along with the
proposed timetable for the work to be completed.
The procedure that we anticipate following for the routine maintenance of the City
of Santa Ana signal system will be as follows:
When the scheduled time for the maintenance of the City's system arrives,
the technician will notify the City of his arrival to ensure that any item the
staff may have issues with will be taken care of. The TEAM Econolite
technician will arrive at the intersections and make a quick survey of the
signal indications to confirm proper operation. He/she will then open the
cabinet, swipe the barcode in the cabinet (which will record electronically
e time and date the door was opened), and then proceed to check the
ing in the control unit to the cabinet chart. During this phase of the
spection, the tech will also monitor the controller and its appurtenant
devices to ensure that all is working well. Upon completion of this phase
of the PM, the tech wlll then check the detection (video and/or loops) to
verify that all detection is working as designed. He/she will then clean the
..' .., inside of the cabinet, check the filter, and the outside of the cabinet for
foreign material, and notify the City if cleaning is necessary. The tech will
then proceed to walk the intersection, checking all pedestrian push
buttons for proper operation, checking the poles and signal hardware for

any signs of damage, and taking a closer look at the actual signal displays.
During the walk around, the tech will also visually inspect the street
around the loops, lead-in and "pot hole" for any signs of pavement
deterioration. All deficiencies found at this time will be repaired if safety
related, or noted so that the City may be notified of the necessary repair
work. Upon completion of the walk around, the tech will again swipe the
barcode in the cabinet, shut the door and return to his/her vehicle,
proceeding to the next intersection. We anticipate that the above
Preventative Maintenance check should take approximately 25 to 30
minutes after the original cleaning and inventory of the City cabinets. It
should be noted that at any time a problem is found with any item in the
cabinet, the tech will take immediate action to remedy the situation, and
return the control unit(s) to proper operation.
Field Capabilities - From first response in emergency situations to trouble
shooting field and cabinet problems, our field technicians have the equipment,
and skill-set needed to handle whatever comes their way. Additionally our Utility
crews, who back up our field technicians are on call for that extra support or the
times when heavier equipment is needed. From UPS installations and LED
retrofits, to new foundations and corner move backs, TEAM Econolite has the
ecessary manpower, equipment and most importantly the industry knowledge to
sure that the City of Santa Ana needs are met in a timely manner. Listed is

crews are more than capable of meeting the city of Santa Ana's needs. Loop
Masters is located at 4740 E. Brison Street in Anaheim California.

series high voltage street lighting. The outage encompasses several streets in the
neighborhood affecting 24 cast iron double king street lights with 2500 lumen lamps. A
night drive was required to identify the scope of the outage. The lighting repairs required
tb.ree (3) working days to complete the repairs. After completion of USA markings, the
following personnel, equipment and materials were dispatched to repair the lighting.

When this insurance is excess, we will have no duty to defend the insured against any suit if any
otherinsurer has a duty to defend such insured against such suil. If no other insurer defends, we
will undertake to do so, but we will be entilled to the insured'srights against all those other
insurers.
When this insuranec is excess over other insurance. we will pay only our share oflhc amount of
loss., if any, that cx('ccds (h(.' sum of the total:
amount that all other insurance would pay for loss in the absencc onhis insurance; and
of all deductible and self""immredunounts under all other insurance.
We will share the remaining loss, ifany, with any other insurance that is not described in this
Excess Insurance provision and was not negotiated specifically to apply in excess of the LimitsOf
Insurance sho"m in the Declarations of this insurance.
Method of Sharing

We will waive the right of recovery we would otherwise have had against another person or
organization. lilr loss to which this insnrance applies. provided the insured has waived their rights
of recovery against such person or organization in a contract or agreement that is executed hcfore
such loss.
To the extent that the insurcd'srights to recover all or part of any payment made under this
insurance have not been waived. those rights arc transferred 10 us. The insured must do nOlhing
after loss to impair them. At our request, the insured will bring suit or transfer those rights to u:-;
and help us enforce them.
