FIRST AMENDMENT TO
CONSULTANT AGREEMENT
THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT, is entered
into on August 22, 2005, by and between The Planning Center, a California corporation
("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the
State of California ("City").
Recitals:
A. The parties entered into Consultant Agreement N-2005-083, dated June 24, 2005,
(hereinafter "said Agreement") by which Consultant has provided public meeting
facilitation services.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
Amend the Scope of Services to provide for additional services, and amend the
Compensation to pay for the additional services.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with
the following:
"Consultant shall perform those services as set forth in Exhibit A to said Agreement
and Exhibit A-I, attached hereto and made a part of said Agreement."
2. Section 2, COMPENSATION, shall be amended to increase total compensation by
$3,000.00, for a total not to exceed amount of $8,000.00.
3. Except as herein amended, all terms and conditions of said Agreement shall remain in
full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
