FIRST AMENDMENT TO AGREEMENT
URBAN AREA SECURITY INITIATIVE (UASI)
THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 5,
2005, by and between URS Corporation, dba URS Corporation of Americas
("Consultant") and the City of Santa Ana ("City").
Recitals:
A. The parties entered into Agreement A-2005-046, dated March 21,2005 (hereinafter
"said Agreement") by which City, in its capacity as the Core City for the Santa Ana
Urban Area under the FY04 Urban Area Security Initiative (hereinafter "UASI"),
transferred UASI Grant Funds to Consultant to prepare a Countywide Strategic Plan
for Terrorism Preparedness.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
amend said Agreement to amend the Scope of Services and Compensation to provide
for the preparation and presentation of a workshop on Weapons of Mass Destruction.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Agreement, the parties agree as follows:
I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with
the following:
"I. a. Consultant shall prepare a Countywide Strategic Plan for Terrorism
Preparedness (hereinafter "Strategic Plan") as set forth in Exhibit A to said
Agreement.
1. b. Consultant shall prepare and present a Weapons of Mass Destruction
Workshop/Tabletop exercise (hereinafter "Workshop"), as set forth in Exhibit A-I, to
this First Amendment."
2. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the
following:
"2.a. City agrees to pay, and Consultant agrees to accept as total payment for its
services related to the Strategic Plan, the rates and charges identified in the Fee
Schedule, Attachment I to Exhibit A. City agrees to pay, and Consultant agrees to
accept as total payment for its services related to the Workshop, a total of $40,000.00
which includes labor, travel and costs. The total sum to be expended under said
Agreement shall not exceed $435,100.00 during the term of said Agreement."
3. A new paragraph 17, CERTIFICATION, shall be added which will read in full as
follows:
"
"17. CERTIFICATION
Consultant acknowledges that funds for this Agreement have been granted to
City, acting through the Santa Ana Police Department, in its capacity as the Core City for
the Santa Ana Urban Area, from the federal Department of Homeland Security, Office of
Domestic Preparedness, through the State of Cali fomi a, Office of Homeland Security, to
enhance countywide emergency preparedness. Consultant shall execute and be bound by
the Certification Regarding Debarment, Suspension and Other Responsibility Matters, as
set forth in Exhibit C, attached hereto."
4. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.

EXHIBIT A-I
Consultant shall prepare and present an 8-hour WMD Workshop / Tabletop exercise for
the City of Santa Ana, Said Workshop will be held during the month of January 2006 at
the Santa Ana Police Headquarters. The exercise will involve 25-30 participants drawn
from the Santa Ana Police and Fire Departments. All activities are to be performed in
accordance with the requirements as specified by the Department of Homeland
Security/Office of Domestic Preparedness (DHS/ODP) Homeland Security Exercise and
Evaluation Program (HSEEP).
Scope of Services
Consultant will design, develop and execute a WMD Workshop/Tabletop Exercise
(WS/TTX) in accordance with the ODP HSEEP volumes I-IV.
Consultant will provide an "Exercise Support Team" staff skilled in the design and
development ofWMD WS/TTX. The Exercise Support Team, led by Jim Bailey, will be
responsible for producing all of the exercise deliverables and interfacing with exercise
planners. The core Exercise Support Team may be supplemented by additional staff that
can function as facilitators during the exercise and conduct National Incident
Management System (NIMS) compliance reviews.
At a minimum, Consultant will perform the following activities in support of this
exercise:
. Coordinate and facilitate up to three (3) exercise planning meetings for the
WS/TTX.
. Conduct one (1) comprehensive Initial Planning Conference to determine the
scope, design and objectives for the WMD WS/TTX.
. Develop and reproduce copies of the WS/TTX Situation Manual in sufficient
numbers for the exercise, but not to exceed 50 copies.
. Produce annotated aerial imagery to enhance exercise participant situational
awareness.
. Coordinate an appropriate number of facilitators to support the WS/TTX.
. Produce an After-action Report and Improvement Plan for the WS/TTX within 45
days of exercise completion. Provide five (5) hard copies and one (1) CD Rom
copy of the individual report to the Santa Ana Police Department.
. Renew the City of Santa Ana Emergency Operations Plan to ensure compliance
with the requirements of the NIMS.
. Prepare all documents in accordance with HSEEP Volume IV standards.
Subcontractors
The project will require the assistance ofMr. Vic Thies, Commander, Irvine Police
Department (Ret), ofVT & Associates, who will provide the City of Santa Ana with an
overview of the Unified Command during a real-world WMD incident (Operation
Foxboro).
