FIRST AMENDMENT TO CONSULT ANT AGREEMENT
THIS FIRST AMENDMENT TO CONSULT ANT AGREEMENT is entered into
on February ~, 2006, by and between All City Management Services, a California
corporation ('"ACMS") and the City of Santa Ana, a charter city and municipal
corporation of the State of California ('"City").
RECITALS:
A. The parties entered into Agreement A-2005- 009, dated January 18,2005, (hereinafter
"said Agreement") by which Consultant has provided crossing guard services.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
renew said Agreement for an additional one-year period.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Consultant Agreement, the parties agree as follows:
1. Section 2.a., COMPENSATION, shall be amended to increase compensation by
$851,855.00 to pay for services during the first additional one-year term of said
Agreement.
2. Section 3, TERM, shall be deleted in its entirety and replaced with the following:
"This Agreement shall commence on March I, 2005 and terminate on February 28, 2007,
unless terminated earlier in accordance with Section 12, below. The City may extend the
term for two additional one-year periods, by a writing executed by both parties."
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
