THIS AMENDMENT, made and entered into this 3'" day of April, 2000, by and between the High Line Corporation and the
City of Santa Ana, a charter city and municipal corporation of the State of California (City), collectively referred to herein as "the
Parties".

A. The Parties entered into that certain agreement entitled "Program License & Service Agreement #98063" dated June 22,
1998, hereinafter referred to as "said Agreement", for the provision of various computer program licenses and software
modules;
B. The Parties hereto now desire to amend the "Cost and Payment Schedule" contained in Part III of said
Agreement by restructuring payments, with no change in cost of said Agreement.
WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and
subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows:
1. The "Cost and Payment Schedule" contained in Part III of said Agreement is hereby amended and restructured as
follows:
A. Payment of $30,000.00 for the Payroll Software Module shall be billable as follows:
. $8,000.00 upon execution of this amendment.
. $7,000.00 upon implementation and acceptance of the CAL PERS report in the City's "production"
environment.
. $10,000.00 upon implementation of the Personality 2000 version 3.03.03 release in the City's
"production" environment without significant integrity issues for one paycheck cycle.
. $5,000.00 upon Final Acceptance (as defined in said Agreement and amended in item B below)
B. Final Acceptance shall not include the delivery of Financial Cost Control software module (currently called
Forecasting and Costing) or its training. Such exclusion from Final Acceptance does not relieve High Line's
obligation to provide such software module and training under terms of said Agreement. All other conditions
of Final Acceptance remain as defined in said Agreement.
C. Payment of $6,000.00 for the Position Control Software Module shall be billable as follows:
. Full amount upon execution of this amendment
D. Payment of $6,000.00 for the Salary Administration Software Module shall be billable as follows:
. Full amount upon execution of this amendment
2. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and
effect.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment to said Agreement the date and year first above
written.
