FIRST AMENDMENT TO
EIC PROGRAM PARTICIPATION AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT is entered into on January 20,
2006, by and between Legal Aid Society of Orange County, Inc. ("Legal Aid") and the
City of Santa Ana, a charter city and municipal corporation organized and existing
pursuant to the Constitution and laws of the State of California ("EITC Program
Participant") (each, a "Party" and collectively, the "Parties").
RECITALS:
A. The parties entered into an Agreement dated November 1,2005, (hereinafter "said
Agreement") by which EITC Program Participant agreed to provide certain support
services in order to promote use by eligible taxpayers of the EIC Module developed
by Legal Aid.
B. Said Agreement set forth the sites at which EITC Program Participant will provide
services.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
amend said Agreement to change the location at which said services will be provided.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Agreement, the parties agree as follows:
I. Section IV.2., UNDERTAKINGS BY EITC PROGRAM PARTICIPANT, shall be
amended to change the locations at which EITC Program Participant will provide and
maintain a workstation for user-taxpayers to access and use the EIC Module on-site,
and encourage taxpayers to complete their tax returns using the EIC Module, as
follows: EITC Program Participant will provide workstations for the Weed & Seed
Tax Day at the Weed & Seed Satellite Emplo)'rneflt Center, Corbin Center. am!

Seed Partner - Pio Pico Elementary School.
2. Except as herein amended, all terms and conditions of said Agreement shall remain in
full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
