A-2005-145 ;.-il.: i-iU FIRST AMENDMENT TO CONSULTANT AGREEMENT //,--! -~() io ,..._"L_:.,":_~;~_""~_-"-_ ;i- '..:U:j~\h,lL }/;. - j -<:;- THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT, is entered into on June 20, 2005, by and between Rancho Santiago Community College District ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Agreement # N-2004-101, dated July 27,2004, (hereinafter "said Agreement") by which Consultant has provided Wellness classes and physical fitness analysis for Police and Fire employees. B. The Police Department has made the program available to additional employees which increases the total amount of Compensation. C. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period and increase compensation to pay for services during the extended term. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: I. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A to said Agreement. The total sum to be expended pursuant to this Agreement shall not exceed $12,000.00, annually, during the term of this Agreement." 2. Section 3, TERM, shall be amended to extend the termination date to June 30, 2006. 3. Except as herein amended all terms and conditions of said Agreement shall remain in full force and effect. The coverage extended hereby applies only with respect to liability arising out of activities in the Description of Operations, Vehicle, or Property noted above. It is intended by ASCIP in issuing this endorsement to defend and/or indemnify the Additional Covered Party in respects to the activity cited above. In issuing this endorsement, ASCIP intends and agrees to extend coverage pursuant to the terms and conditions of the MOC to the Additional Covered Party named above only to the extent that the Additional Covered Party faces liability arising out of claims, demands, or lawsuits claiming money damages on account of bodily injury or property damage as defined and limited in the ASCIP MOC. The limits of liability extended to the Additional Covered Party listed above is $1,000,000 per occurrence for liability. With respects to claims arising out of the operations and occupancy by or on behalf of the named insured, such insurance as is afforded by this policy is primary.
