I / . /4',;7",' ',/ //;!.A'~,1" A / / " . ,/' " TI'/!,r~~ L. ,J This Agreement is not binding unless approved In writing by an authorized Representative of ADT In the event of failure of such approval, the only liability of ACT shall be to return to the Customer the amount, if 'any, paid to AOT upon signing of this Agreement For the sum of $ 2,990.00 payable 50% upon acceptance of this proposal and the balance payable upon completion of the inslallation and as a pre- condition to activation of the system and, if applicable, connection to central station or direct connection service. In addition for the service(s) to be provided as indicated above, Customer agrees to pay $ 628.00 per annum, annually In advance for a period 01 five years effective from the date service is operative under this agreement. After the five years, this agreement shalt be automatically renewable yearly unless termi- nated by either party upon written noUce at least 30 days prior to the'anniversar{date. ADT shall have the right to increase the annual service charge after 1 year. In the event 01 termination prior to the end of the contract term, the Customer agrees to pay, in addition to any charges for services rendered prior to termination, 90% of the service charge remaining to be paid for the unexpired term of the agreement as liquidated damages (but not as a penalty). The Customer agrees to pay, in addition to the service charges above, any false alarm assessments, taxes, lees or charges that are imposed by any governmental body, telephone or signallransmi3sion company (for numbenng at other changes) or costs 01 AOT related to reprogramming alarm controls and other deVices to comply with such numbering or other changes relating 10 the installation or service provided under this Agreement and to pay any increase in charges to AOT for facilities required lor transmission of signals under this Agreement. In the event AOTs representative is sent to the Customer's premises in response to a service call or alarm signal caused by the Customer improperly following operating instructions or, failing to close or properly secure a window, door or other protected poinl, or improperly adjusting monitors or accessory components, there shalt be a service charge to the Customer. Failure 10 pay amounts when due shall give ADT, in addition to any other remedies, the right to terminate this Agreement and to charge interest althe highest legal rate on the delinquent amounts. Customer agrees to pay all costs, expenses and fees at ADT's enforcement of this Agreement, including collection expenses, court costs, and attorneys' fees. Any installation charge quoted in this agreement is based on ADT pertorm- ing the installation with its own personnel. 11 for any reason this installation musl be performed by outside Contractors, said installation charge shalt be subject to revision. Customer warrants that the Customer: (1) has requested the equipment/services specified in this Agreement tor ils own use and not for the benefit of any third party, (2) owns the premises in which the equipment is being installed or that Customer has the authority to engage ADT 10 carry out the installation in the premis- es and (3),will co~mply with all laws, codes, and regulations pertaining to the use of the equipment/services. To: DISTRIBUTION From: FIRE CHIEF Subject: SECURITY AGREEMENT REQUEST The Fire Department Training Facility, located at 1427 South Broadway, houses a variety of expensive hardware, i.e. computers, video editing systems, monitors, cameras, VCRs, projectors, etc. In order to protect the city's capital assets and provide security for the support staff in the Fire Administration building at 1439 South Broadway, we wish to enter into a five year agreement with ADT Security Services, Inc. ADT will monitor the Training facility and the Administration building during that period of time for a cost of $682.00 per year.
