FIRST AMENDMENT TO
CONSULTANT AGREEMENT

THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT, is entered
into on It?~ I L 2.. 3 , 2002, by and between Daly Project Services, Inc. dba
Daly International, a California corporation ("Consultant") and the City of Santa Ana, a
charter city and municipal corporation of the State of California ("City").
Recitals:
A. The parties entered into a Consultant Agreement dated May 18, 2001, hereinafter
referred to as "said Agreement", by which Consultant provides assistance to the City
in negotiating leases between the City and wireless communication providers to
install and maintain monopoles on City property.
B. Due to an increased need for Consultant's services, the parties wish to increase the
compensation available to Consultant during the term of said Agreement.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of the Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
I. Paragraph 2 a. of said Agreement shall be amended to read as follows:
"City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit A. The total sum to be expended under this
Agreement shall not exceed $20,000.00 during the term of this Agreement.
2. Except as hereinabove amended the terms and conditions ofthe Agreement shall
remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
