THIS AMENDMENT, made and entered into this 10th day of July, 2001, by and between mtegraTRAK, me.
("Consultant") and the City of Santa Ana, a charter city and municipal Corporation of the State of California
("City"), collectively referred to herein as "the Parties".

A. The Parties entered into that certain agreement entitled "Maintenance Service Agreement WinTRAK
Software" dated August 25, 2000, hereinafter referred to as "said Agreement", for the servicing and maintaining
certain City licensed software and hardware, in an annual amount not to exceed $10,000.
B. The Parties hereto now desire to amend said Agreement by expanding the "Services Provided" (Section 1.0)
of said Agreement.
WHEREFORE, in consideration ofthe mutual and respective covenants and promises hereinafter contained and
made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do
hereby agree as follows:
1. Section 1.0 of said Agreement is hereby amended to include custom rate programming for the call
accounting system provided by Consultant to City in accordance with the Proposal attached hereto and incorporated
herein as Exhibit A. Said additional services shall be provided to City for an additional $5,000 per request to build
custom rates, in addition to annual maintenance to COver hardware and software. Said amount of additional
compensation is covered by the original not to exceed amount of$IO,OOO.
2. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full
force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment to said Agreement the date and
year first above written.

Managers will ensure a smooth installation. Advisors will assist you with making the
decisions for the optimal use of your system from day one. Product training will educate
your staff on basic Telemanagement principles and detailed system knowledge. In
short, the TRAKSource Division provides you with Telemanagement Service Solutions.
The following is a quote to City of Santa Ana to enter Pacific Bell and MCI WorJdcom
custom rates.

Assumptions:
Rates will be billed with an 18 second minimum, 6 second incremental.
Rates are peak and off peak.
Holiday rates are not included and not part of this quote.
International rates that are not listed will default to standard MCI rates.
Directory assistance rates were provided.
If any of the above assumptions are incorrect, please provide corrected schedule and
the new rates can be added at no additional charge if they are provided to us prior to
start of this project.
Client must provide a listing of trunk groups, trunks and the type of service
provided across the trunks.
Receipt of a purchase order for the amount indicated above will initiate the start of this
project, with payment terms due upon receipt of invoice request. Please sign and date
on the line provided below if you would like to proceed with this project, and attach a
