AMENDMENT TO
AGREEMENT BETWEEN THE CITY OF SANTA ANA
AND
ANACOMP, Inc.

THIS AMENDMENT, made and entered into this 1st day of November, 2002, by and between
the City of Santa Ana, a charter city and municipal corporation duly organized and existing under
the Constitution and laws of the State of Cali fomi a ("City") and ANACOMP, Inc" an Indiana
corporation ("Vendor"),
RECITALS
A. The Parties entered into that certain agreement entitled" AGREEMENT BETWEEN THE
CITY OF SANTA ANA AND ANACOMP, dated November 1,2001, hereinafter referred to as
"said Agreement", for providing data imaging services,
B. All terms and conditions as set forth in, Exhibit A to said Agreement "Master Agreement
For Data Imaging Services" (Reference Number 10-21-01 300841) shall continue to hwe full force
and effect.
C. The Parties hereto now desire to amend "Exhibit B" of said Agreement, the Comptmsation
term of said Agreement, the Term of said Agreement, in order to add provisions for additional
services, clarify the provision for a minimum monthly charge and to provide continuous
uninterrupted service under the Agreement.
WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter
contained and made, and subject to all of the terms and conditions of said Agreement as hereby
amended, the parties hereto do hereby agree as follows:
1. Section 1, of said agreement, pertaining to Terms and Conditions, said Agreement is hereby
amended to extend the terminations date for a period of one year, ending on or before 30
November 2003.
2, "Exhibit B", of said agreement, pertaining to "CD-ROM Services Schedule to Master
Agreement For Data Imaging Services" is hereby amended to provide adjusted Services
and Charges as set forth in REVISED CD-ROM SERVICES SCHEDULE TO MASTER
AGREEMENT FOR DOCUMENT SERVICE attached hereto and incorporated herein by
reference.
3. "Exhibit D", of said agreement, pertaining to "CD-ROM "COM Services, Schedule to
Master Agreement For Data Imaging Services" is hereby amended to provide adjusted
Services and Charges regarding microfiche related services as set forth in ADJUSTED
COM SERVICES SCHEDULE to MASTER AGREEMENT FOR DOCUMENT
SERVICES attached hereto and incorporated herein by reference,
4, Section 3, of said Agreement, pertaining to "Compensation" term of said Agreement is
hereby amended to reflect an increase in compensation not exceed $9,300, as set forth in
Exhibit A, B, and D as revised herein, due to an increase in the City's need for the
Consultant's services under said Agreement. INSURANCE ON FILE

5. Except as hereinabove modified, the terms and conditions of said Agreement remain

This CD-ROM Services Schedule ("Schedule") to Master Agreement for Document Services dated 10-21-01 Reference Number:
300841 ("Agreement") is entered into by and between Anacomp, Inc. ("Anacomp") and Citv of Santa Ana ("Customer"). This
Schedule incorporates the terms and conditions of the Agreement Any terms used below which are defined in the Agreement shan
have their respective meanings set forth in the Agreement The parties agree that in the event of a conflict between the Agreement and
this Schedule, the terms and conditions in this Schedule shan prevail. An other terms and conditions shan remain the same.

3. DATA TRANSMISSION, In the event Anacomp agrees to provide to Customer data transmission services utilizing certain
equipment installed at Customer's site ("DTS"), Customer agrees to pay the data transmission charges set forth above. Customer is
responsible for ensuring tbat the physical environment, including necessary hardware and/or software, is suitable for installation and
operation of the DTS. Anacomp agrees to provide Customer with reasonable technical support for the DTS. Customer acknowledges
and agrees that Anacomp owns all right, title and interest in and to the DTS, including any changes thereto. Customer assumes the entire
risk ofloss to the DTS through use, operation or otherwise until the DTS is returned to Anacomp, and Customer shall return the DTS in
the same good condition and repair as when received, ordinary wear and tear excepted.
PRE-PRODUCTION FEES, INCLUDING, BUT NOT LIMITED TO, PROGRAMMING AND JOB SET-UP CHARGES,
SHALL BE DUE AND PAYABLE WHEN SERVICES ARE RENDERED.
