SECOND AMENDMENT
TO AGREEMENT

THIS SECOND AMENDMENT TO AGREEMENT, is entered into on this
1--?- '.lAC day of February, 2002, by and between the City of Santa Ana, a charter city
and municipal corporation ("City"), and Fire and Emergency Television Network
("FETN").
Recitals:
A. The parties entered into Agreement # N-97-058, (hereinafter "said Agreement")
dated June 9, 1997, under which FEIN has provided live and delayed
instructional programs to the Santa Ana Fire Department.
B. The parties entered a First Amendment to said Agreement, dated December 8,
2000, which extends said Agreement for an additional one year term.
C. The parties wish to extend the Agreement for an additional one year term and to
increase the compensation to reflect the services provided during the extended
term.
WHEREFORE, in consideration of, and subject to all the terms and conditions of the
Agreement, except those amended in this First Amendment to Agreement, the parties
agree as follows:
I. Consultant shall provide those services as set forth in Exhibit A to this Second
Amendment to Agreement.
2. City agrees to pay and FETN agrees to accept as total payment for its services, the
rates and charges identified in Exhibit A. The total sum to be expended under this
Agreement shall not exceed $7056.00 during the extended term of this
Agreement.
3. The term of Agreement shall be extended for an additional one year term, from
July 1, 2001 until June 30, 2002. The parties acknowledge that services have
been provided from July 1, 2001 until the effective date of this Second
Amendment to Agreement. Said services are intended to be covered within the
scope of this Amendment.
