Pursuant to Consultant Agreement #A-2001-113C, which you entered with the City of
Santa Ana, dated June 4, 2001, Section 3 — "Term", the time period of said Agreement is
hereby extended from June 30, 2003, until December 31, 2003. This extension will allow
you to submit the final invoice for the work performed pursuant to said Agreement.
All other terms and conditions of said Agreement remain unchanged and in full force and
effect.

CONSULTANT AGREEMENT
THIS AGREEMENT, made and entered into this 4th day of June, 2001 by and between
Willdan, Inc, a California Corporation (hereinafter "Consultant"), and the City of Santa Ana, a
charter city and municipal corporation organized and existing under the Constitution and laws of
the State of California (hereinafter "City").
RECITALS
A. The City desires to retain a consultant having special skill and knowledge in the field of
on call traffic engineering services.
B. Consultant represents that Consultant is able and willing to provide such services to the
City.
C. In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Consultant shall perform those services identified in Proposal s set forth in Exhibit A to
this Agreement.
2. COMPENSATION
a. City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit A. The total sum to be expended under this
Agreement, shall not exceed $350,000.00 during the term of this Agreement.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.

3. TERM
3 This Agreement shall commence on the date first written above and terminate on June 30,
200%, unless terminated earlier in accordance with Section 12, below. The term of this
Agreement may be extended upon a writing executed by the Executive Director of the Public
Works Agency and the City Attorney.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer -employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Consultant performs the services which are the subject matter of this Agreement; however, the
services to be provided by Consultant shall be provided in a manner consistent with all
applicable standards and regulations governing such services. Consultant shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. INSURANCE
Prior to undertaking performance of work under this Agreement, Consultant shall
maintain and shall rcquire its subcontractors, if any, to obtain and maintain insurance as
described below:

a. Commercial General Liability Insu ce. Consultant shall maintain commercial
general liability insurance naming the City, i officers, employees, agents, volunteers and
representatives as additional insured(s) and Yhall include, but not be limited to protection against
claims arising from bodily and personal inry, including death resulting therefrom and damage
to property, resulting from any act or occ ' ence arising out of Consultant's operations in the
performance of this Agreement, includi , without limitation, acts involving vehicles. The
amounts of insurance shall be not less t an the following: single limit coverage applying to
bodily and personal injury, including ath resulting therefrom, and property damage, in the total
amount of $1,000,000 per occurrent Consultant shall supply City with a fully executed
additional insured endorsement in substantially the form attached hereto as Exhibit B upon
execution of this Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non -owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against
liability for worker's compensation or to undertake self-insurance. Prior to commencing the

performance of the work under this Agreement, Consultant agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.
d. If Consultant is or employs a licensed professional such as an architect or engineer:
Professional liability (errors and omissions) insurance, with a combined single limit of not less
than $1,000,000 per claim, and $2,000,000 annual aggregate.
e. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:
(i) Consultant shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled

f. If Consultant fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to i'umish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its
time and materials expended prior to notification of termination. Consultant waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.

6. INDEMNIFICATION taA A44,
Consultant agrees to and fall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special unsel, and representatives from liability: (1) for personal
injury, damages, just compens ion, restitution, judicial or equitable relief arising out of claims
for personal injury, includinlyhealth, and claims for property damage, which may arise from the
direct or indirect operationsIbf the Consultant or its contractors, subcontractors, agents,
employees, or other persons acting on their behalf which relates to the services described in
section 1 of this Agreement; and (2) from any claim that personal injury, damages, just
compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects
arising from this Agreement. This indemnity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to
have been suffered, by reason of the events referred to in this Section or by reason of the terms
of, or effects, arising from this Agreement.
7. CONFIDENTIALITY
If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees
that it shall not use or disclose such information except in the performance of this Agreement,
and further agrees to exercise the same degree of care it uses to protect its own information of
like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Confidential information disclosed to either party by any subsidiary and/or agent of the other
party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is,
through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful
possession of the Consultant without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or (e) is independently developed by the Consultant without
reference to information disclosed by the City.
8. CONFLICT OF INTEREST CLAUSE
Consultant covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.
9. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any notice, tender, demand, delivery, or other communication shall be addressed and transmitted
to the new address. If sent by mail, any notice, tender, demand, delivery, or other
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsimile, any notice, tender, demand, delivery, or
other communication shall be effective or deemed to have been given twenty-four (24) hours
after the time set forth on the transmission report issued by the transmitting facsimile machine,
addressed as set forth above. For purposes of calculating these time frames, weekends, federal,
state, County or City holidays shall be excluded.
10. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. hi
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Consultant. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor
the City. Each party to this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which are not embodied herein.
11. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other consultants retained by City.
12. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of termination,
subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Consultant to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited by law, and Consultant consents to the City's use thereof
for such purposes as the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
13. DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Consultant affirms that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
14. JURISDICTION - VENUE
This Agreement and all questions relating to its validity, interpretation, performance, and
enforcement shall be government and construed in accordance with the laws of the State of
California. This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
15. PROFESSIONAL LICENSES
Consultant shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
hereunder and required by the laws and regulations of the United States, the State of California,
the City of Santa Ana and all other governmental agencies. Consultant shall notify the City
immediately and in writing of her inability to obtain or maintain such permits, licenses,
approvals, waivers, and exemptions. Said inability shall be cause for termination of this
Agreement.
16. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement the date and
year first above written.

This endorsement modifies such insurance as is afforded by the provisions of Policy

officers, employees, agents, volunteers and representatives are named as additional insureds
("additional insureds") with regard to liability and defense of suits arising from the operations
and uses performed by or on behalf of the named insured.
2. With respect to claims arising out of the operations and uses performed by or on
behalf of the named insured, such insurance as is afforded by this policy is primary and is not
additional to or contributing with any other insurance carried by or for the benefit of the
additional insureds.
3. This insurance applies separately to each insured against whom claim is made or
suit is brought except with respect to the company's limits of liability. The inclusion of any
person or organization as an insured shall not affect any right which such person or organization
would have as a claimant if not so included.
4. With respect to the additional insureds, this insurance shall not be cancelled, or
materially reduced in coverage or limits except after thirty (30) days written notice has been
given to the City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California 92701.

Willdan/WPA is pleased to submit this proposal to provide On -Call Traffic Engineering
Services to the City of Santa Ana.
We feel that the newly joined forces of Willdan/WPA can offer the City a unique
combination of strengths which are of particular and specific relevance to the City's
traffic engineering needs:
• Willdan currently provides contract City Traffic Engineering services to over two
dozen cities in Southern California (among them Tustin, Lake Forest and La Habra),
and currently performs traffic design, studies, and grant applications for dozens of
other Southland Cities.
• One year ago, WPA Traffic Engineering, Inc. (based in Orange County since 1976)
became part of Willdan, bringing WPA's renowned traffic expertise and knowledge of
local communities. Project Manager Wes Pringle, P.E., T.E., P.T.O.E., has 41 years
of professional experience.
• Since Willdan has dedicated our practice to serving public agencies since 1964, our
personnel bring an orientation of public service to every project and act as an
extension of City staff.
• Willdan has provided On -Call Civil Engineering services to the City for years. We
have performed a Safe Route to School traffic study and design for the City.
The only persons or company interested in the proposal as principals are named herein.
This proposal was made without collusion with any other person(s), company or parties
i' submitting a proposal. In all respects it is fair and in good faith without collusion or
fraud. The signer below has full authority to bind the proposer.

Willdan/WPA Qualifications
Since Willdan's founding in Orange County in 1964, its special focus has been
meeting the special needs of cities, towns, counties, special districts, as
state and federal agencies throughout the southwest. Today,
80 employees in 19 local and regional offices throughout
iia, Nevada, and Arizona, the firm offers a full complement of
engineering and planning capabilities, with financial services
provided by MuniFinancial, a Willdan company.
Willdan has provided a great variety of civil and assessment
engineering services to the City of Santa Ana over the past
decades, most recently an on -call civil engineering contract.
We have demonstrated in practice over three decades the
firm's reliability and continuity.
The company has enjoyed strong financial performance and stability
throughout its 37 years of business. With total revenues exceeding $40 million in
a 2000, the company has ample resources to provide the proposed services, and
has not experienced financial hardship from participation in this type of project.
In January 2000, Willdan acquired WPA Traffic Engineering, Inc. WPA Traffic
Engineering, Inc. has served public and private clients in Orange County since
1976 and is very familiar with local conditions and policies, having worked in
most jurisdictions, as well as with projects involving the County of Orange and
Caltrans. The Willdan/WPA team unites WPA's traffic expertise at local
communities with Willdan's full -service capacities, large staff and firm resources,
and public service orientation.
The traffic engineering staff we are proposing to assign to the City of Santa Ana
work out of our Foothill Ranch office and will be close at hand to
communicate with the City and handle any problems or emergencies that may
come up.
Because Willdan has specialized in contract city services for 37 years, our staff is
highly trained and experienced in working as part of the City's team, dealing with
the public, and taking to heart the needs and concerns of the community. More
than 97 percent of our revenues are from public clients; therefore, we can assure
the City that no conflict of interest will exist.
Willdan also has direct experience with county, state, and federal processes,
regulations, and administrative procedures. We have worked extensively for and

As an Appendix, we have compiled a sample list of diverse traffic engineering
projects, mostly for Cities in Orange County, to demonstrate the breadth of our
experience.
Grant Applications
Willdan has completed hundreds of successful grant applications (including HES,
OTS, SR2S, and PSP programs), resulting in $90 million in grants for client
cities since 1990. In 2000, we completed four new Safe Route to School
applications (for Bell Gardens, Cudahy, Hawaiian Gardens, and Rolling Hills).

Project Team Organization
Weston S. Pringle, P.E., T.E., P.T.O.E., will be Project Manager / Lead Traffic
Engineer and the principal point of contact for the City. Mr. Pringle will be
responsible for coordinating with City staff and performing and overseeing the
traffic engineering services provided by the Willdan/WPA staff. Mr. Pringle has
41 years of traffic engineering experience in Southern California. He has worked
for both governmental agencies and private firms, which provides a wide
background and understanding of various traffic engineering concerns. His
experience has included traffic signal, striping, sign, and construction traffic
control design; traffic impact analyses; parking analyses; and planning circulation

the Cities of La Habra and Tustin and has served the City of La Habra for over 10
years. In addition to his experience in municipal traffic engineering, he has
conducted numerous traffic planning and impact analyses for various types of
land use. He has been active in traffic engineering in Orange County, including
serving as President of the Orange County Traffic Engineering Council.
James Sommers will provide Traffic Design. Mr. Sommers has more than 30
years' experience in Traffic Engineering, with an emphasis on design. He has
designed over 3,000 individual signal installations as well as signal systems,
traffic striping, signing and construction traffic control plans. He has also
supervised the preparation of plans for nearly 40 traffic signal installations in the
City of Santa Ana, including the interconnect system. Recently, he completed
traffic plans for the reconstruction of a freeway interchange, which included traffic
control on the freeway.
Mr. Dennis H. Jue, P.E., T.E., will be responsible for obtaining outside funding
for the City of Santa Ana on a variety of traffic engineering projects, as needed.
As Contract Deputy City Engineer at the Cities of Lake Forest and Dana Point,
he prepared or coordinated the submittal of Office of Traffic Safety (OTS),
Hazard Elimination Safety (HES) and Safe Route to School grant applications.
He has prepared grant applications for the Combined Transportation Funding
Program (CTFP), the Arterial Highway Rehabilitation Program (AHRP) and
Transportation Enhancement Activities (TEA) program. He is familiar with the
requirements of both the Orange County Transportation Authority and the State
of California in submitting grant applications.

A. Traffic Design Work
All plans will be prepared in accordance with the City of Santa Ana appropriate
Standard Plans. Research will involve record drawings of street and existing
signal improvements and utility companies. Areas of concern could require
further investigation by potholing either during the design phase or by the
Contractor at the beginning of construction. Field research will obtain the
location and description of visible facilities, including potential overhead conflicts.
Signal plans prepared at a scale of 1" = 20', or equivalent metrical scale, will
show all tables, notes, schedules, and details necessary to clearly define the
intended installation. Signal modification designs will include existing equipment
from record drawings, which will be verified by comprehensive field research.
Signal designs will be supplemented by written technical special provisions.
Electronic files provided by the City will be edited to accommodate the particular
design(s). The City will provide the specification boilerplate.
Striping and signing plans will be prepared showing two street segments on each
sheet. Existing striping, signing, pavement markings and curb markings will be
shown on the design plans. Driveways would be shown where left turn
channelization or restricted movements -occur. New striping would be shown
using bold line work, supplemented by notes and details. Existing facilities will

be drawn using fine dashed lines. Existing striping will be shown on the design
plans to help to identify removal quantities, lane alignments and join locations.
Construction area traffic control plans will be prepared showing two street
segments per sheet. The designs will isolate the construction area from vehicle
travel lanes. Guidelines for lane closure, lane drop transitions, barricades,
delineation and signing would be based on the City's preferred reference.
Typically, the "WATCH" or "Caltrans Manual", or the "Work Area Protection and
Traffic Control Manual" will be used. All three references are generally based on
similar factors, such as approach vehicle speed entering the work area.
Available lane widths and appropriate buffer areas between travel lanes and
work areas or trenches are critical design. factors, along with transition tapers.
Traffic control drawings would be supplemented with notes and details as
needed to clearly define the intended vehicle management. It is expected that
larger construction projects will be phased for the purpose of maintaining vehicle
flow through the work area at all times. Notes and details will be provided for
maintained access to local business and residential areas. Areas where major
construction will interfere with high vehicle volumes may require nighttime
construction. Work schedules will be clearly defined on the traffic management
plans.

Sample Project List
Below is a sample list of diverse traffic engineering projects, mostly for Cities in Orange County,
to demonstrate the breadth of our experience.
City of Newport Beach, OCTA Signal Improvement Program Application - preparation of
the City of Newport Beach's grant application for $1.2 million awarded by the Orange County
Transportation Authority (OCTA) to complete a coordinated signal system and provide a means
for multi -jurisdictional coordination of arterials. As part of the application process, analysis of
traffic volumes, travel times, mid -block LOS, and a project cost estimate were provided.
City of Lake Forest, Traffic Signal System and Master Plan Study - preparation of a Traffic
Signal System and Master Plan Study on a citywide basis. Existing controller and system
equipment were identified and deficiencies identified. The study was then used to obtain
funding through OCTA for controller upgrades and interconnect installations.
Caltrans District 7, Lakewood Boulevard Coordination Study - traffic signal coordination
analysis for the retiming of 18 traffic signals along Lakewood Boulevard between Route 91 in
Bellflower and the traffic circle in Long Beach. Turning movement counts, saturation flow rates,
travel speeds, start-up lost time, utilization of the clearance interval, and signal timing data were
collected to allow development of computer simulation and optimization models. Both
TRANSYT-7F and PASSER II-87 were utilized in this project. Comparisons between the two
models were made, including simulation of existing conditions, as well as the optimized
coordinated plans. The project included assisting Caltrans in the implementation of the
coordinated plans. The effectiveness of the new timing plans was measured by before and after
floating car travel time and delay studies.
City of Orange, Traffic Signal Timing Study - preparation of a study to evaluate and optimize
traffic signal timing for three major arterials. The data collected included manual turning
movement counts, saturation flow rates, floating car speed analysis, intersection geometrics,
and traffic signal phasing. The data was used to set up and run the PASSER II-87 arterial
progression computer model. Output from PASSER II-87 was implemented on the City of
Orange's Multisonics VMS-220 traffic signal master system. Each coordination plan was
observed during each of the three time periods studied. Fine-tuning adjustments were made
wherever needed for queue clearing and smooth progression of traffic through the system.
During the course of the project, assistance was given to the City of Orange in trouble -shooting
their system to ensure proper communications and operation of each intersection involved in the
study.
City of Newport Beach, Traffic Signal Coordination Projects - The projects involved analysis
of City -furnished data using the PASSER II-87 traffic signal coordination computer model,
providing progression on several arterials. The purpose of these projects were to train City
personnel in the use of the PASSER II-87 computer model and to convert the output of the
model for use in the VMS-330 traffic signal master. City -provided data was loaded and a using
PASSER II-87 on the City's PC-XT computer. Modeling techniques and simulation of traffic
signal operations were discussed with City personnel helping them gain a working knowledge of
the PASSER II-87 model. Training was also provided in the use and operation of the VMS-330
system master. Continuing assistance is provided for system operations as questions arise.
City of Fountain Valley, Traffic Signal Central Master System - design of VMS 220 central
master facilities, 16 local intersection upgrades and hardwire interconnect along two major
arterials. The work also included installations and upgrades in the City of Huntington Beach,
requiring project coordination between the cities. A major component of the project was
investigation and evaluation of alternative methods of communication between the City of
Fountain Valley's central master and a future central master in the City of Huntington Beach.
Cable television and direct hardwire communications were explored. Additionally, the feasibility
and methods of installing remote display terminals and wall map was evaluated.
City of Dana Point - City's existing suggested route to schools (SRTS) plans for two
elementary schools were reviewed and updated and new SRTS plans for two private schools
were developed. The school area signs and pavement markings were inventoried. Pedestrian
and bicycle accident data were reviewed for the area near the schools. A report summarizing
the SRTS plan updates and recommended improvements was prepared.
OCEMA, Interagency Traffic Signal Interconnect System - prepared plans, specifications,
and cost estimates for 16 miles of traffic signal interconnect facilities along Irvine Center Drive,
Moulton Parkway, Lake Forest Drive and Street of the Golden Lantern. The plans included new
conduit installation, installing new interconnect cable through new and existing conduit, splice
points and boxes, and signal controller upgrades. The project involved numerous public
agencies including the Cities of Irvine, Laguna Niguel and Dana Point, and the County of
Orange.
City of Lake Forest (199711998), HES Traffic Signal Improvements - preparation of plans,
specifications, and cost estimates for various HES traffic signal improvements throughout the
City of Lake Forest. Traffic signal modifications at the intersection of Lake Forest Drive and
Serrano Road include left-tum phasing for Lake Forest Drive and equipment upgrade for the
entire intersection. At the intersection of Muirlands Boulevard and Dylan Avenue/Shopping
Center entrance included installation of a new signal with left -turn phasing for Muirlands
Boulevard. Additionally, Willdan's design included plans for the reconstruction of the shopping
center driveway to reduce the slope and to provide curb returns. The project also includes the
installation of interconnect to the Ridge Route controller.
Beach Boulevard Superstreet Project, 405 Freeway to Ellis Avenue - preparation of plans,
specifications, and cost estimates for traffic signals, signing, striping, interconnect, and street
lighting as part of a countywide project to improve traffic flow on Beach Boulevard. The plans,
prepared to Caltrans' standards and specifications, were reviewed by Caltrans District 12, City
of Huntington Beach and the Orange County Transportation Authority.
Beach Boulevard Superstreet Project, Route 91 to Lincoln Boulevard - preparation of
plans, specifications, and cost estimates for traffic signal modifications, pavement delineation,
signing, stage construction, and lighting plans as part of a countywide project to improve traffic
flow on Beach Boulevard. The work included coordination with the Orange County
Transportation Authority, Caltrans, the Cities of Anaheim and Buena Park for all design stages
in addition to evaluation and revision of existing signing conditions.
State Route 91 HOV Project - preparation of the traffic management plan (TMP) for the
preparation of design plans, specifications, and cost estimates for traffic signals, roadway
lighting, ramp metering, signing, traffic control and pavement delineation to construct
approximately 3 miles of HOV and auxiliary lanes through the City of Buena Park. The Project
requires coordination with Caltrans District 12, Orange County Transportation Authority and The
cities of Buena Park and La Palma.
State Route 60 HOV Project - preparation of the traffic management plan (TMP) and design
plans, specifications, and cost estimates for traffic control, signing and pavement delineation to
construct approximately 5 miles of HOV lanes between the 57 Freeway and the Los Angeles
and San Bernardino County Limits. The project requires coordination with Caltrans Districts 7
and 8.
State Route 73 Widening Project- prepared traffic signal and signing and striping plans for the
widening of MacArthur Boulevard (SR 73) from south of Bison Avenue to north of Bonita
Canyon Road in the City of Newport Beach. The Project required coordination with Caltrans
District 12.
State Route 1 (Pacific Coast Highway) Widening Project - prepared traffic signal, signing,
striping and interconnect design plans, specifications, and cost estimates for the widening of
Pacific Coast Highway (SR 1) from Newport Boulevard (SR 55) to the west City limits in the City
of Newport Beach. This was the first project in the state to demonstrate construction contract
administration of a Caltrans state highway project by a local agency. The project was
administered on behalf of Caltrans District 12.
City of Irvine, Jeffrey Road Underpass - preparation of plans, specifications, and estimates
for realignment of Jeffrey Road from Walnut Avenue to Irvine Center Drive and construction of
an underpass at the Atchison, Topeka and Santa Fe railroad crossing. The traffic plans
required for this project included interim and ultimate signal modifications, signal interconnect,
street lighting, and signing and striping to facilitate the temporary and ultimate condition for each
stage of construction. Construction staging and traffic control plans were developed to provide
two lanes of travel, bike path, and pedestrian walkways for each direction.
Jeffrey Road(Irvine Center Drive(Irvine Valley College Intersection - preparation of
improvement plans, specifications, and cost estimates for modification to the intersection
including street and drainage facilities traffic signals, signing, striping and landscape and
irrigation. The project was completed to facilitate improved access to Irvine Valley College and
to provide Class II bicycle facilities along Jeffrey Road within the existing Edison Company right-
of-way.
City of Santa Ana, School Area Signing and Striping PS&E - This HES-funded project
provided recommendations and plans, specifications, and estimates (PS&E) plans to bring the
school area signing (for 34 schools) into compliance with Federal and State Standards and
provided updated suggested route to school plans for 20 elementary schools.
City of Lancaster, Lancaster Suggested Route to School - preparation of the suggested
route to school plans and report for the City of Lancaster. The scope of the project included:
School principal questionnaires for each of the schools within 3 school districts, establishment of
standards with City staff for installation of traffic control devices, data collection (school
attendance boundaries, pedestrian and bicycle traffic control device inventory and accident
data, sidewalk inventories), suggested route to school identification, accident analyses, and a
recommended list of improvements.
City of Bell Gardens - Gage Avenue and Purdy School Area and Crosswalk, Trafc Signal
Studies - review of three intersection and pedestrian crossing areas adjacent to the existing
suggested route to Colima Elementary School, traffic and pedestrian counts, informal
observations and counts, review of key intersection accident data, evaluations of the need for
marked uncontrolled crosswalks based on FHWA's, Tustin's, and San Diego's Point System of
Crosswalk Warrants and engineering judgment, several mid -block student and adult pedestrian
crossings along Gage Avenue between Specht and El Selinda Avenues, and traffic signal
warrant evaluations for Gage Avenue and El Selinda Avenues. Based on the study results and
the type of vehicular accidents occurring per SWITRS over the last 3 years, Willdan
recommended that separate left -turn pockets and additional red curb be added at each of the
three intersections, and that a future traffic signal be considered at the intersection of Gage and
El Selinda Avenues based on the pedestrian crossing demand and availability of few gaps for
pedestrian crossings at that intersection. The addition of marked, uncontrolled crosswalks was
not preferred at the three intersections, studied. However, "Do Not Block Intersection" signs
were recommended to address some of the vehicular accidents at two intersections, and
preliminary plans were prepared to show the signing, striping and red curb modifications.
City of Dana Point, Accident Study - Using the City's accident reports and pin map, the
number of accidents were tallied by location. Accident rates were calculated for segments and
intersections where five or more accidents occurred in a calendar year. These accident rates
were compared to average accident rates. Of the locations that exceed the average accident
rates, the five highest were studied further, including collision diagrams.
City of Tustin, 1999 Engineering and Trafhc Survey - Conducted Engineering and Traffic
studies for the City in accordance with provisions of the California Vehicle Code. One hundred
twenty (120) street segments were surveyed. Each survey included measurement of vehicular
speeds, review of accident patterns with comparison to similar street segments within the City,
and documentation of field conditions which would not be readily apparent to motorists.
Following analysis of these data, recommendations for realistic speed zones were developed so
that radar enforcement utilization could continue on these street segments.
City of Lake Forest, Citywide Engineering and Traffic Survey - This study, conducted in
accordance with provisions of the California Vehicle Code, included the measurement of traffic
volumes and vehicular speeds, review of accident data for a 3-year period, and a field inventory
of unusual roadside conditions which would not normally be apparent to motorists. The data
collected for each of the 84 street segments involved in this study were analyzed, and
recommendations were developed for appropriate speed limits enabling the City's Police
Department to continue radar enforcement.

CONTRACT FOR BI-ANNUAL ON -CALL TRAFFIC ENGINEERING SERVICES
1. GENERAL
The City is soliciting proposals from professional consulting firms to provide traffic
engineering services on an as -needed basis for two years. The cost for each of
three contracts shall not exceed $125,000 per year or a total of $250,000. A
detailed scope of work will be provided when a specific project is assigned to a
Consultant.
From the proposals received, a list of three firms will be selected. The City will enter
into separate agreements with each of these firms. As projects are identified, they
will be distributed among these firms based upon their ability to perform the required
work within the project schedule and budget constraints. The City reserves the right
to distribute the work in any manner which will best serves the City's interests.
The work, in general, consists of traffic engineering projects Citywide. The projects
may include channelization plans, traffic control plans, traffic studies, preparation of
grant applications, traffic signal designs; and other related projects as required.
The proposal shall be brief and to the point. A cover letter shall summarize key
factors and guarantee that key personnel will be committed to perform the required
tasks throughout the duration of the contract. A fee proposal, described in the
section, "Supplied to Offeror", is to be included, separately.
2. PROPOSED SCOPE OF SERVICES
In general, the Consultants shall perform traffic engineering services resulting in
contract documents (plans, specifications and cost estimates), grant applications,
and traffic engineering studies for various projects on an as -needed basis. The
Consultants shall also provide all field survey work required to complete the designs
and other tasks.
The Consultants' services shall include one or more of, but not be limited to, the
following tasks:
A. Design and preparation of traffic signal plans, channelization plans, and
construction zone traffic control plans:
1. Plans shall be prepared in accordance with the appropriate City of Santa
Ana Standard Plans.
2. Research of existing utility company and City records to coordinate
proposed improvements with existing field conditions.
3. Completion of design of projects including plans, specifications, and
engineer's construction cost estimate. Specifications shall be written in
Microsoft Word and a copy of the final diskette shall be furnished to the
City. The City will provide the specification boiler plate to the Consultants.

4. All plans will be ink on mylar drawings using the Microstation Cadd
program. All drawings shall be completed per the attached City of Santa
Ana Cadd Standards (Attachment "E"). A copy of the final diskette
containing the complete design of each project shall be furnished to the
City in Microstation or AutoCAD.
5. All original plan sheets, the title sheet of the specifications, calculations,
and reports shall be signed and stamped by the Consultant's licensed
professional engineer supervising the project. These signed originals will
then become the property of the City.
6. Attend meetings with City staff as required.
7. Coordination with other Agencies as required.
8. Plan check coordination with the City of Santa Ana and other agencies as
required.
9. Consultant will be required to review and approve addenda and
clarifications to plans and specifications. Consultant shall be available to
attend pre -construction meetings, as required by the City.
B. Preparation of grant applications, including, but not limited to:
1. Hazard Elimination Safety (HES),
2. Office of Traffic Safety (OTS),
3. Safe Routes to School (SR2S), and
4. Pedestrian Safety Program (PSP).
C. Consultant services described in OTS Project No. PS0119, Pedestrian Safety
Task Force Program.
1. For Consultant's tasks, see Method of Procedure in Appendix F, Project
Description,
2. Following contract award, the City will request cost proposals for this
project from the three selected Consultants and conduct interviews before
assigning the project to a Consultant.
3. The City's agreement with this Consultant will contain additional provisions
required by OTS (see Attachment H, Section 6.9, Contractual Agreement
Requirements, Grant Program Manual, Volume ll, California Office of
Traffic Safety, particularly Sections 6.9.2 (h) — (m) and (q) — (u). Copies of
Articles XV — XIX of OTS's Model Contract (Exhibit 6D), to which these
sections refer, are also included).
D. Consultant services described in OTS Project No. PS0120, Pedestrian Safety
Analysis Update and Awareness Program.

Description,
2. This project requires the consultant to also provide the services of a
marketing consultant. The Consultant may identify/recommend a
marketing consultant in the proposal, however, the actual marketing

consultant will be selected when the project is assigned to a

CITY RESPONSIBILITIES
A. The City will provide the following to the Consultants:
1. All plan check coordination within the City,
2. Sample boiler plate specifications to be used for specifications,
3. Accident data and traffic count data, as available, for review at City offices,
4. Electronic files of the base street plans, as available,
5. A street map of the City, as needed, and
6. Aerial photographs of the City, as needed.
PRIME CONSULTANT RESPONSIBILITIES
The selected Consultants will be required to assume responsibility for all services
offered in their proposals. The selected Consultants will be the sole point of contact
with regard to contractual matters, including payment of any and all charges
resulting from the contracts.
REGULATIONS
The selected Consultants will be expected to comply will all applicable federal, state
and local regulations, building codes, and contract provisions. The ensuing contract
shall contain such contractual provisions and conditions necessary to define a
sound and complete agreement.

8. ADDENDA
Any subsequent changes in the RFP from the date of issuance to the date of
submittal will result in an addendum by the issuing office to those parties who have
provided the proper notice of interest in responding to the RFP.
9. CONTRACT CONSIDERATION
Since total actual cost cannot be pre -determined, a fee for each assigned project
shall be negotiated at the time the project is assigned. The Consultant shall be paid
for services rendered, based upon the hourly rates included in the Consultant's fee
schedule submitted with the Consultant's proposal.
10. PROPOSAL CONTENT AND SIGNATURE
A. Six (6) copies of the proposal will be required with all copies having been signed
by the individual or, if a company, the company official with the power to bind the
company in its proposal.
B. One fee proposal will be required, which must be bound and sealed
separately from the proposals, and submitted to the City with the
proposals. The fee proposal shall consist of the following:
1. The fee schedule, and
2. Completed copy of Attachment A, Consultant Rate Comparison Form.
C. To be considered, all proposals shall be completely responsive to the RFP.

11. INFORMATION REQUIRED FROM CONSULTANTS
A. The response to this Request for Proposal should contain documentation of
Consultant's and/or Consultant's firm's credentials and expertise in this field.
Substantial consideration will be given to consultants with demonstrable and
documented experience in similar work.
B. Proposals shall be submitted in the format described below:
Organization and Credentials
• Provide a synopsis of the Consultant's qualifications, including staffing,
organizational chart, professional awards, and sub -consultants, if
appropriate,
• Identify the Project Manager as well as other key personnel to be assigned
to the project, their qualifications, education, representative experience,
professional awards, and their capability to explore and resolve problems.
• Identify any contemplated subconsultants to be used during the project,
including the personnel to be assigned, their qualifications, education, and
representative experience. Note: Subcontractors cannot be used without
written approval of the City. State whether or not the subconsultant(s), if
any, is a minority, women or disabled business enterprise.
• Provide a synopsis of the Consultant's past experience in similar work,
• Demonstrate financial capability,
• Identify City where assigned staff will be based,
• Demonstrate reliability and continuity, and
• State whether or not the firm is a minority, women, or disabled veteran
business enterprise (M/W/DVBE).
Project Understanding
• Provide a precise rendering of the Consultant's understanding of the City's
needs for the Consultant Services listed in Attachment A.
Work Plan
• Provide a narrative rendition of the technical work plans for the Consultant
Services listed in Attachment A.
• Provide a schedule of work for each Consultant Service listed in
Attachment A.

• Consultant shall provide a list of at least two (2) references of previous,
recent related projects, with the name of the agency, the name of a contact
person, address and telephone number.
12. ADDITIONAL INFORMATION AND COMMENTS
The contents under this heading are left to the discretion of the Consultant. Material
shall be pertinent to the proposal, but not otherwise requested in the RFP.
13. RULES FOR PROPOSALS
The signer of the proposals must declare in writing that the only person, persons,
company or parties interested in the proposal as principals, are named therein; that
the proposal is made without collusion with any other person, persons, company, or
parties submitting a proposal; that it is in all respects fair and in good faith without
collusion or fraud, and that the signer of the proposal has full authority to bind the
principal proposer.
14. SUPPLIED TO OFFEROR
A. The offeror shall furnish a fee proposal for the proposed service. The fee
proposal shall include the fee schedule and completed Attachment A, Consultant
Rate Comparison Form.
B. The fee schedule shall include the following:
1. Hourly rate for each personnel category,
2. Any other direct charges,
3. Indirect cost or overhead, and
4. Cost of supplies and materials (itemized).
C. The fee proposal shall be bound and sealed separately from the proposal, and
submitted to the City with the proposal.
D. The fee for each assigned project will be negotiated following selection of the
Consultants, at the time the project is assigned.
E. The cost for each contract shall not exceed $125,000 per year or $250,000 total.
15. CRITERIA FOR SELECTION
The responses received will be reviewed by a selection committee of City staff
members. All proposals received will be fully reviewed and rated by the selection
committee. The committee will then average the scores of each evaluator. Based on
average scores, the top group of Consultants will be selected, and their sealed fee

envelopes will be opened. The City is free to select any of the top group of
Consultants, and may consider price at this point. If the price quoted by any or all of
the most qualified Consultants is unacceptable, the City may attempt to negotiate a
lower price, or may simply accept the price submitted by the fourth or fifth most
qualified Consultant.
A. The final candidates may be invited by the selection committee for an oral
interview. The selection committee will evaluate the materials submitted, along
with the oral interview, if required, and make the final recommendations.
B. Evaluations of proposals and interviews include the following criteria and their
relative weights:

C. Proposed Fee
The proposed fee, including fee schedule and Attachment A, will be opened and
evaluated for only the top ranking Consultants.
16. PROPOSAL REJECTION
The City reserves the right to reject any or all proposals submitted, and is not liable
for any pre -contractual expenses:

Pre -contractual expenses are defined as expenses incurred by the offeror in: (a)
preparing the proposal in response to this RFP; (b) submitting that proposal to the
City; (c) negotiating with the City in any matter related to this proposal; and (d) any
other expenses incurred by offeror prior to date of award, if any, of the contract.
Offeror shall not include any such expenses as part of the price as proposed in
response to this RFP.
17. ACCEPTANCE OF CONTRACT
The contents of the proposal of each of the successful Consultants shall become
contractual obligations if a contract ensues. Failure of a Consultant to accept this
obligation will result in the cancellation of any award. Any damage accruing to the
City as a result of a failure to contract may be recovered from the Consultant. A
sample agreement is attached for reference (Attachment D).
18. DISCLOSURE
Any information, other than cost and price, which a Consultant does not wish to
have disclosed, other than for the purpose of evaluation, should have each
applicable sheet or part marked:
Confidential — this data shall not be disclosed or duplicated, used or
disclosed in whole or in part for any purpose other than to evaluate the
response; provided that: the contract is awarded to this offeror, or as a
result of or in connection with the submission of such information, the City
shall have the right to duplicate, use or disclose this information to the
extent provided in this contract. This restriction will not limit the City the right
to use information contained herein if it is obtained from another source.
19. DELAYS
The City reserves the right to delay scheduled dates if it is to the advantage of the
City.
20. METHOD OF PAYMENT
The Consultants will be paid in accordance with the Cost Reimbursement Method,
described in Section 6.9.3, Compensation Methods, of the California Office of Traffic
Safety Grant Program Manual, Volume 11 (see Attachment H). By this method, the
Consultant is reimbursed for actual costs only, not to exceed an agreed upon
amount.
The Consultant shall submit a monthly invoice to the City for the service rendered in
that month. The invoice shall include project title and limits, a detailed breakdown of
the services, the tasks, the hours, and the unit costs or the hourly rates, and
percentage completed. Monthly payments will be made for work completed during
the preceding month, except that no more than 90 percent of the total project price
shall be paid until the work is considered by the City to be 100 percent complete.
21. INSURANCE REQUIREMENTS
A. With respect to performance of work for this project, the Consultant shall maintain
and shall require its subconsultants, if any, to maintain insurance as described
below:
1. Workers' compensation insurance with statutory limits.
2. Commercial general liability insurance, or equivalent form, with a combined
single limit of not less than $1,000,000 per occurrence. If such insurance
contains a general aggregate limit, such limit shall apply separately to each
project Consultant performs for City. Such insurance shall (a) name the City
of Santa Ana and its officers and employees as additional insureds; and (b)
be primary with respect to insurance or self-insurance programs maintained
by the City, and (c) contain standard separation of insureds provisions.
3. Professional liability (errors and omissions) insurance, with a combined single
limit of not less than $1,000,000 per occurrence.
4. Business automobile liability insurance, or equivalent form, with a combined
single limit of not less than $1,000,000 per occurrence. Such insurance shall
include coverage for owned, hired, and non -owned automobiles.
B. Consultant shall:
1. Furnish properly executed certificates of insurance to the Director prior to
commencement of work under this Agreement, which certificates shall clearly
evidence all coverages required above and provide such insurance shall not
be materially changed or terminated except on 30 days' prior written notice to
the Agency;
2. Maintain such insurance from the time work first commences until completion
of the work; and
3. Replace such certificates for policies expiring prior to completion of work
under this project.
The Executive Director of Public Works (Director) may waive or reduce the
requirements of this section if and to the extent the Director determines them to be
unreasonably burdensome to the Consultant and not necessary for the protection of
the City.
A sample certificate of insurance and "Additional Insured Endorsement" form are
enclosed for your reference and use (Attachment C). The appropriate endorsements
are also shown within the sample consultant agreement (Attachment D). The
certificate shall include the City of Santa Ana, its officers, employees, agents,
volunteers, and representatives as insured or additional insured. The certificate shall
also note that the City will be given 30 days written notice prior to cancellation of the
insurance coverage.
22. THE CITY'S AFFIRMATIVE ACTION PROGRAM
The City has an affirmative action program. The purpose of the affirmative action
program is to encourage certified minority business enterprises and women
business enterprises. All submitting firms must have established affirmative action
programs approvable by the City. The attached "Certification of Non -Discrimination
by Contractors" shall be completed by each submitting firm and included in the
proposal (Attachment B).
