FIRST AMENDMENT TO
CONSULTANT AGREEMENT

THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT, is entered
into on July I, 2002, by and between Javier Saldivar (hereinafter "Consultant") and the
City of Santa Ana (hereinafter "City").
Recitals:
A. The parties entered into an Agreement dated July 28, 2000, (hereinafter "said
Agreement") by which Consultant has provided counseling and instructional services
to imnates housed in the Santa Ana Jail.
B. Said Agreement was extended for one year, to June 30, 2002, by a letter agreement.
C. In accordance with the terms and conditions of said Agreement, the parties wish to
renew said Agreement for an additional one year period and to increase the hourly
rate of compensation for services provided.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
I. Paragraph 2.a. COMPENSATION, shall be amended to read as follows:
"City agrees to pay, and Consultant agrees to accept as total payment for its services,
an hourly rate of thirty-seven dollars ($37.00) for all scheduled instructional and
counseling sessions. Compensation shall be increased $10,000.00 to pay for services
provided during the extended term of this Agreement. The total sum to be expended
under this Agreement, shall not exceed $ I 6,500.00 during the term of this
Agreement."
2. Paragraph 3, TERM, shall be amended to read as follows:
"This Agreement shall commence on July 28, 2000 and terminate on June 30, 2003,
unless terminated earlier in accordance with Section 12, below. The term of this
Agreement may be extended upon a writing executed by the Chief of Police and the
City Attorney."
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.
