2003, by and between the CITY OF SANTA ANA, a charter city and municipal corporation duly
organized and existing under the Constitution and laws of the State of California ("City") and San
Joaquin Chemicals, Inc. ("Contractor").

The City and Contractor entered into that certain Agreement, entitled "AGREEMENT
BETWEEN THE CITY OF SANTA ANA AND SAN JOAQUIN CHEMICAL, INC.",
hereinafter referred to as "said Agreement", dated September 17, 1999, for Contractor to
provide water treatment, inspections, testing and analysis for the Santa Ana Police
Department Facility. Said Agreement was amended on August 30, 2000 to extend the
term and expand the scope of services to cover The Depot as well. Said Agreement was
amended again on November 2, 2001, exercising the second one-year option for renewal.

The parties now desire to amend the term included in said Agreement in order to provide
continuous service under said Agreement as all other terms remain the same.
WHEREFORE, in consideration of the mutual and respective promises hereinafter
contained and made, and subject to all the terms and conditions of said Agreement as hereby
amended, the parties do hereby agree as follows:
I. Section 1, of said Agreement, pertaining to Time of Completion of said Agreement is hereby
amended to change the termination date of September 30, 2002, to September 302003, in order
to provide necessary continuous uninterrupted service to the City.
2. Except as modified by the~C:amendments, the terms and conditions of said Agreement
remain unchanged and in full force and effect. ~

IN WITNESS WHEREOF, the parties hereto have executed this Amendment to said
Agreement on the date and year first above written.
