FIRST AMENDMENT TO AGREEMENT
TIllS FIRST AMENDMENT TO AGREEMENT is entered into on March 13,
2006, by and betwocn eCompllance, Inc., a California cOlJlOIation ("eCompllance") and
the City of Santa Ana, a chaner city and municipal eorpocation of the Slate of Califol'lli..
("Client").
RECITALS
A. The parties entered into Agreement N-2003-0:51, dated May 9, 2003, (hereinafter
"said Agreement") by which eCompliance has provided computer database services
for the exchange of envirollll1elltaJ compliance documents.
B. In accordance with the terms and conditions of said Agreornent, the parties wish to
amend the compensation to provide paymeot for eCompliance's out of pocket
e~penses.
WHEREFORE, in consideration oftbe covenants contained in said Agreement, and
sullj eel to all the tenns and conditions of said Agreement, except those amended in this
Fil1it Amendment to Agreement, the pMties agree as follows:
1. Section 6, FEES AND PAYMENT, shall be deleted in its entirety and replaced with
the following:
"10 wosideration of Client's willingness to utilize eCompliance's program,
eCompliance agrees to provide the services described in said Agreemeot at no cost to
Client. All taxes, fees and governmental chargeo relatiog to the Services provided
hereunder (other than inrome taxes of eCompliance) shall be paid by Client.
Additionally, Client sball pay up to $1,000.00 per laptop for .Compliance's services
in confiauring one or more laptops and the real-time replication of d8.ta from the main
Haztrakr server to those laptops. as set forth in Exhibit A, attached hereto. The total
sum to be expended for ,uch services shall nol excee<l S5,000.00 during Ibe term of
said Agreement"
2. Except as herein modi.6ed, all temls and conditio... of said Agreemctlt s.b.all remaio in
full force aDd effect.

EXHIBIT A
SCOPE OF SERVICES - LAPTOP CONfiGURATION
Initially the Japklp is configured kl act as a duplicate server that can provide aocess to the
data in ca.e Ofl05S of an Internet connection to the main server. After initial software
instaUatinn and configuration, the laptop i. managed, supported and maintamed by
eCompliance. The maintenance program includes:
. eCompliance supports the Hazlnlkr Replicator and installs new versiollS of it as it
becomes available. The Haztralcr Replicator is a tool that replicates the data on
the server to the laptop.
. .compliance supports and upgrades all Haztrakr-specific software compon<:nls
initially installed on the laptop. This insures that the l..ptop(s) are compatible
with the software and data residing on tbe maiD server at an times,
. eCompliance provides technical support to tbe Fire Departmenl for all hardware
and software i..ues related to Haztrakr and its installation and performonce on the
laptops.
. eCompliance provides the Fire Department training in the use of the HaztraJq
Replkator.
