SECOND AMENDMENT TO AGREEMENT

THIS SECOND AMENDMENT TO AGREEMENT is entered into on December
I, 2005, by and between Principal Decision Systems International, Inc., a California
corporation ("PDSI") and the City of Santa Ana, a charter city and municipal corporation
of the State of California ("City").
Recitals:
A. The parties entered into Agreement #N-2004-052, dated May 28, 2004, (hereinafter
"said Agreement") by which PDSI has provided software maintenance, updates and
telephone and web based support for the Fire Department's staffing software.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
renew said Agreement for an additional one-year period and to increase compensation
to pay for the services during the extended term.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this Second
Amendment to Agreement, the parties agree as follows:
I. Section 2.a.1, COMPENSA nON, shall be amended to read as follows:
"City agrees to pay, and PDS1 agrees to accept as total payment for its services, a
TeleStaffannual maintenance fee of$3,205.00 and a WebStaffannual maintenance
fee 01'$5,760.00. The total sum to be expended for services provided shall not exceed
$8,965.00, annually."
2. Section 3, TERM, shall be amended to extend the termination date from December
31, 2005 to December 31, 2006.
