2000, by and between the CITY OF SANTA ANA, a charter city and municipal corporation duly I
organized and existing under the constitution and laws of the State of California, hereinafter
referred to as "CITY" and SANTA ANA ANIMAL SHELTER, hereinafter referred to as
"CONTRACTOR."
WHEREFORE, in consideration of their mutual and respective promises, and subject to
the terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Please see Exhibit A attached hereto.
2. TERM OF CONTRACT
The services to be performed pursuant to this AGREEMENT shall be from September I,
2000 to August 31, 2001 unless this AGREEMENT is sooner terminated pursuant to
Section 4 herein below. Thereafter, the agreement may be extended for one additional
term of 12 months upon mutual agreement.
3. COMPENSA nON
CONTRACTOR will provide the services described above to CITY for a fee not to
exceed $400,000.00. Payment of a monthly base amount of $27,267.00 shall be made on
by the 10th of each month. Additional compensation for medical care and adoption
subsidy as described in Exhibit B shall only be made by CITY upon the following
conditions:
a) requests for adoption subsidies shall be made on a monthly basis via written
demand by CONTRACTOR which must include the following information on
the adopted animal:
1) date of impound/date of adoption;
2) detailed description of the animal which shall include the gender, age,
physical description, probable breed and ill tag number;
3) name, address and telephone number of adopter;
4) all medical treatment provided, by whom the treatment was provided and
the cost of such treatment; and
5) the requested subsidy amount.
b) requests for medical care payment shall be made on a monthly basis via
written demand by CONTRACTOR only when the following procedures have "-
been followed:
1) the medical care was authorized by CITY staff;
2) the demand includes a description of the animal as described in section
3(a)(2) above; and
3) the demand includes a detailed description of the medical services
provided, by whom they were provided and the status of the animal.

CONTRACTOR shall retain 30% of all dog license fees and 30% of any fine or fee due
under CITY or State law collected on behalf of the CITY. Such proceeds shall be used
solely for shelter improvements. CONTRACTOR shall submit monthly reports of all
licenses sold and fines collected. All monies due CITY shall be transmitted on no less
than a quarterly basis.
4. TERMINATION
Either party may terminate this AGREEMENT in the event the other party is in breach of
this agreement and fails to cure such breach within 30 days after written notice by the
non-breaching party. Written notice shall be given personally or sent through the U.S.
Mail, first class, certified, return receipt requested. All such correspondence shall be
addressed as identified below.
5. EXCLUSIVITY AND AMENDMENT OF AGREEMENT
Each party to this AGREEMENT acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone
acting on behalf of any party, which are not embodied herein, and that no other
agreement or amendment hereto shall be effective unless executed in writing and signed
by both CITY and CONTRACTOR. CONTRACTOR specifically acknowledges that in
entering into and executing this AGREEMENT, CONTRACTOR relies solely upon the
provisions contained in this AGREEMENT and no others.
6. NOTICES AND REPRESENTATIVES
The Chief of police shall be the representative of CITY for purposes of this
AGREEMENT and may execute all consents, approvals, directives, or agreements on
behalf of CITY called for by this AGREEMENT except as otherwise expressly provided
in this AGREEMENT.
Notice and written communications sent by one party to the other shall be personally
delivered or sent by U.S. Mail, postage prepaid, to the following addresses:

7. NON-ASSIGNMENT OF AGREEMENT
CONTRACTOR shall not assign or transfer any interest in this AGREEMENT, whether
by assignment or novation, without the prior written consent of CITY; provided,
however, that claims for money due or to become due from CITY under this
AGREEMENT may be assigned to a bank, trust company or other financial institution, or
to a trustee in bankruptcy, without such approval. Notice of any such assignment or
transfer shall be promptly furnished to CITY.
Nothing in this AGREEMENT shall be construed to limit the CITY's ability to have any
of the services which are the subject of this AGREEMENT performed by CITY
personnel or by other CONTRACTOR's retained by the CITY.
8. EMPLOYMENT STATUS
CONTRACTOR agrees that CONTRACTOR is an independent contractor and not an
employer of the CITY and all CONTRACTOR's personnel shall be employees of
CONTRACTOR and not employees of the CITY. CONTRACTOR shall pay all salaries
and wages, employer's social security taxes, unemployment insurance and similar taxes
relating to employees and shall be responsible for all applicable withholding taxes except
for any CITY personnel assigned to full or part-time work within CONTRACTOR's
establishment.
9. INSURANCE
Prior to undertaking performance of work under this Agreement, CONTRACTOR shall
maintain and shall require its subcontractors, if any, to obtain and maintain insurance as
described below:
a. Commercial General Liability Insurance. CONTRACTOR shall maintain commercial
general liability insurance naming the City, its officers, agents, volunteers, and
employees as additional insured(s) and shall include, but not be limited to protection
against claims arising from bodily and personal injury, including death resulting
therefrom and damage to property, resulting from any act or occurrence arising out of
CONTRACTOR's operations in the performance of this Agreement, including, without
limitation, acts involving vehicles. The amounts of insurance shall be not less than the
following: single limit coverage applying to bodily and personal injury, including death
resulting therefrom, and property damage, in the total amount of $1,000,000 per
occurrence. CONTRACTOR shall supply City with a fully executed additional insured
endorsement in substantially the form attached hereto as Exhibit C upon execution of this
Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage
for owned, hired and non-owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, CONTRACTOR is required to be insured against liability for
worker's compensation or to undertake self-insurance. Prior to commencing the
performance of the work under this Agreement, CONTRACTOR agrees to obtain and

maintain any employer's liability insurance with limits not less than $1,000,000 per
accident.
d. If CONTRACTOR is or employs a licensed professional such as an architect or
engineer: Professional liability (errors and omissions) insurance, with a combined single
limit of not less than $1,000,000 per claim.
e. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:
(i) CONTRACTOR shall maintain all insurance required above in full force
and effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
f. If CONTRACTOR fails or refuses to produce or maintain the insurance required by
this section or fails or refuses to furnish the City with required proof that insurance has
been procured and is in force and paid for, the City shall have the right, at the City's
election, to forthwith terminate this Agreement. Such termination shall not effect
CONTRACTOR's right to be paid for its time and materials expended prior to
notification of termination. CONTRACTOR waives the right to receive compensation
and agrees to indemnify the City for any work performed prior to approval of insurance
by the City.
10. CONFLICT OF INTEREST CLAUSE
CONTRACTOR covenants that it presently has no interest and shall not have interests,
direct or indirect, which would conflict in any manner with the performance of the
services specified under this AGREEMENT.
11. CERTIFICATION OF NONDISCRIMINATION
By signing this AGREEMENT, CONTRACTOR certifies that it does not discriminate in
hiring or treatment on the basis of race, color, creed, religion, sex, sexual orientation, age,
marital status, national origin, ancestry, physical handicap or medical condition.
12. INDEMNIFICATION
CONTRACTOR agrees to indemnify, defend and hold harmless CITY, its officers,
agents, volunteers and employees from and against any and all loss or damage, from any
and all suits, actions and claims field or brought by any person or persons arising out of
negligent acts or omissions of CONTRACTOR or its subcontractors or of the officers,
agents or employees of CONTRACTOR or its subcontractors, in the performance of this
AGREEMENT.
13. VALIDITY
If any term, covenant, condition or provision of this AGREEMENT is held by a court of
competent jurisdiction to be invalid, void, or unenforceable, the remained of the

provisions hereof shall remain in full force and effect and shall in no way be affected,
impaired or invalidated thereby.
14. LAWS GOVERNING THIS AGREEMENT
This AGREEMENT has been executed and delivered in the State of California and the
validity, enforceability and interpretation of any of the clauses of this AGREEMENT
shall be determined and governed by the laws of the State of California. All duties and
obligations of the parties created hereunder are performable in Orange County and such
county shall be the venue for any action or proceeding that may be brought or arise out
of, in connection with, or by reason of this AGREEMENT.

EXHIBIT A
SCOPE OF SERVICES
For the monthly base amount shown in Section 3 of the Agreement CONTRACTOR shall
provide the following services:
1. PAYMENTS, ANIMAL LICENSE SALES and FEE/FINE COLLECTION
(a) CONTRACTOR shall collect all fines and fees due under CITY or State law.
(b) CONTRACTOR shall sell CITY animal licenses.
(c) CONTRACTOR shall accept cash, personal checks, money order, charge cards,
and debit cards (A TM) for all payments and fees and shall provide customers with
itemized invoices or receipts. CITY staff shall provide check verification
equipment and training to allow CONTRACTOR to accept personal checks.
CITY shall reimburse CONTRACTOR for all insufficient funds on the personal
checks provided CONTRACTOR uses and operates the equipment according to
instructions.
2. BOARDING AND CARE
(a) CONTRACTOR agrees to provide boarding and care for 5 days (day of impound
plus 4 days), in addition to euthanization and disposal if necessary, for all animals
collected by CITY personnel and public relinquishments. Such boarding and care
shall include 30 cat cages and 42 dog runs. For the purpose of this agreement,
"animals" shall mean dogs, cats, and other legal pets.
(b) At a minimum, the shelter's hours of operation shall be Monday through Friday
noon to 7:00 p.m.; Saturday 10:00 a.m. to 4:00 p.m.; Sunday 10:00 a.m. to 3:00
p.m. The shelter shall be available for animal intake from the public and animal
control officers between the hours of 7 am and 11 pm daily.
(c) CONTRACTOR shall assign identification numbers to each animal upon intake to
the shelter to facilitate adoption and retrieval. Each animal shall be collared with
a temporary identification number that shall be supplied by CITY.
CONTRACTOR shall provide animal information for public view on each
animal's kennel card. Such information shall include animal identification
number, arrival date, the date the animal is available for adoption, scheduled
euthanasia date, estimated age, sex, breed, and whether the animal has been
sterilized.
(d) Within one hour of arrival, sick or injured animals shall be examined by a
certified, licensed veterinarian. The maximum compensation for medical care to
sick and/or injured animals shall be $125.00, including the cost of the initial
examination. Contractor shall contact a representative of the City's Animal
Control for authorization of all medical treatment. Authorization is not required
for immediate or emergency care, however, in such incidents City Animal Control
personnel will be notified as soon as practicable.
(e) The Contractor shall maintain records on each impounded animal and a daily
impound ledger with the following information: ID number; date of impound;
description of animal; age; gender; tag information; owner information; and any
medical treatment provided, including euthanization date.

(f) Animals impounded by the City in connection with civil and/or criminal matters
and quarantines shall be maintained and disposed of as instructed by CITY
Animal Control personnel.
(g) Contractor shall provide a clean and secure area for the unloading and washing
out of City Animal Control trucks.
(h) CONTRACTOR shall build and maintain an animal interaction area for the
purpose of allowing those seeking to adopt animals an area to interact with
potential adoptees.
3. EUTHANIZATION AND DISPOSAL
(a) Prior to any euthanization CONTRACTOR will contact Animal Control
personnel to obtain approval for the procedure.
(b) CONTRACTOR shall provide a walk in freezer compartment of sufficient size
for the storage of deceased and euthanized animals.
(c) Euthanization shall not occur during weekend if adequate kennel space is
available.
(d) CONTRACTOR shall not sell or donate any animals to any individual or agency
for the purpose of research.
4. RELEASE AND ADOPTION
(a) CONTRACTOR shall release impounded dogs to CITY residents only upon proof
of rabies vaccination and valid CITY dog license.
(b) CONTRACTOR shall distribute marketing and educational materials provided by
CITY but shall not be responsible to provide additional marketing not already in
place.
(c) CONTRACTOR shall create and maintain a system or program to facilitate
rescue group adoptions and avoid euthanization. In addition, CONTRACTOR
shall cooperate with other public or private shelters to facilitate adoptions. CITY
shall have the right to monitor and approve any programs or systems and shall
have the right to approve or disapprove groups with which CONTRACTOR
coordinates adoption efforts.
(d) CONTRACTOR shall allow CITY employees to remove animals for placement at
other agencies to avoid euthanization. CITY personnel shall have access to the
shelter and all records at all times. CONTRACTOR agrees that CITY may place
personnel at the shelter at any hours CITY deems appropriate.

EXHIBIT B
Additional Medical Care
CITY shall pay up to $125.00 per dog or cat (including euthanization and disposal, if necessary)
for medical care provided in addition to the initial examination. Such compensation shall be in
addition to the yearly base rate.
Adoption Subsidy
CONTRACTOR agrees that no fee for the adoption of an animal shall exceed $55.00 for a cat
and $75.00 for a dog. CITY agrees to reimburse CONTRACTOR for all vaccination and
sterilization costs which exceed the adoption fee collected regardless of the provider of such
services. Prior to the release of an adopted animal CITY shall have the right to seek vaccination,
sterilization or other medical care from any veterinarian clinic it chooses. CONTRACTOR shall
be responsible for payment of such third party services. CITY shall be responsible for the
transportation and return of animals which are sent to third parties for medical care unless
otherwise agreed upon by the parties.
