WORK, MAY 1'ill1 PROCEED CLERK OF COUNCil DATE: 5 - 0l4~DI€ AMENDMENT TO AGREEMENT Ll) 0: vM~ " U^' (9H1~1 THIS THIRD AMENDMENT TO AGREEMENT is entered into on April 3, 2006, by and between Otis Elevator Company, a New Jersey corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement A-2003-268, dated January 27, 2004, (hereinafter "said Agreement") by which Consultant has provided elevator repair for the City. B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the parties agree as follows: I. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for those services set forth in Exhibit A to said Agreement, $46,980.00. The parties have agreed that Emergency Repairs in the amount of $5,000 may be required during the extended term of said Agreement. The total sum to be spent on services provided by Consultant during the 2006 calendar year shall not exceed $51,980.00." 2. Section 3, TERM, shall be amended to extend the term of said Agreement for one additional year, through December 31, 2006. 3. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect.
