RECITALS: A. The parties entered into Agreement A-2005-142, dated June 20, 2005, (hereinafter "said Agreement") by which Consultant has provided engineering and construction support services for the City's San Lorenzo Sewer Lift Station. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend said agreement to provide for additional services and compensation to pay for those additional services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to read, in full, as follows: "Consultant shall prepare plans, specifications and cost estimates, and provide construction support services for improvements to the City's sewer lift station, as set forth in Consultant's Proposal, attached as Exhibit A to said Agreement. Consultant shall investigate and provide soil handling and disposal requirements to be incorporated into the construction documents for the Lift Station, as set forth in Exhibit A-1, attached hereto." 2. Section 2.a., COMPENSATION, shall be amended to read, in full, as follows: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit B to said Agreement and Exhibit A-1, attached hereto. The sum to be expended pursuant to said Agreement and this Amendment shall not exceed $247,000.00. The parties anticipate additional services may be required and have included a contingency to cover any such additional services in a total amount of $25,000.00. The total sum, including that for any required additional services provided shall not exceed $272,000.00 during the term of said Agreement." 3. Section 3, TERM, shall be deleted in its entirety and replaced with the following: "This Agreement shall commence on June 20, 2005 and terminate upon City's acceptance of the San Lorenzo Sewer Lift Station improvements, unless terminated earlier in accordance with Section 13 of said Agreement." 4. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect. Determine if the soil cuttings from the geotechnical investigation must be disposed of as hazardous waste. Provide soil handling and disposal requirement recommendations and incorporated those recommendations into the contract documents. The additional geotechnical work will be performed for a not to exceed fee offourteen-thousand, two-hundred fifty dollars ($14,250.00). 2.) Dispose of soil cuttings from geotechnical investigation. The cost for disposal shall not exceed five-thousand, five-hundred dollars ($5,500.00). 3.) Prepare a rendering of the site with the final improvements mounted on a board for use at the City's public meeting. Assist the City in preparation, as well as attending the public meeting with City staff. The cost of preparing the rendering and meeting assistance shall not exceed five-thousand dollars ($5,000.00). For all sums which the insured becomes legally obligated to pay as damages caused by "occurrences" under COVERAGE A <SECTION I ), offense under COVERAGE B (SECTION 1) and for all medical expenses caused by accidents under COVERAGE C (SECTION I ), which can be attributed only to ongoing operations at a single designated construction project: 1. A separate Per Construction Project General Aggregate Limit applies to each construction project, and that limit is equal to the amount of the General Aggregate Limit shown in the Declarations. 2. The Per Construction Project General Aggregate Limit is the most we will pay for the sum of (i) all damages under COVERAGE A, except damages because of "bodily in7'ury" or "property damage" included in the "products-completed operations hazard", (ii) all damages under COVERAGE B and (iii) all medical expenses under COVERAGE c regardless of the number of: a. Insureds; b. Claims made or "suits" brought; or c. Persons or organizations making claims or bringing "suits". 3. Any payments made under COVERAGE A or B for damages or under COVERAGE C for medical expenses shall reduce the Per Construction Project General Aggregate Limit for that construction project. Such payments shall not reduce the General Aggregate Limit shown in the Declarations nor shall they reduce any other Per Construction Project General Aggregate Limit for any other construction project covered under this policy. 4. The limits shown in the Declarations for Each occurrence, Fire Damage and Medical Expense continue to apply. For all sums which the insured becomes legally obligated to pay as damages caused by "occurrences" under COVERAGE A (SECTION I ), offenses under COVERAGE B (SECTION 1) and for all medical expenses caused by accidents under COVERAGE C (SECTION I ), which cannot be attributed only to ongoing operations at a single construction project: 1 Any payments made under COVERAGE A or B for damages or under COVERAGE C for medical expenses shall reduce the amount available under the General Aggregate Limit or the Products-Completed operations Aggregate Limit, whichever is applicable; and 2. Such payments shall not reduce any Construction Project General Aggregate Limit. C. when coverage for liability arising out of the "products-completed operations hazard" is provided, any payments for damages because of "bodily injury" or "property damage" included in the "products-completed operations hazard" will reduce the Products-Completed Operations Aggregate Limit, and not reduce the General Aggregate Limit nor the Construction Project General Aggregate Limit. ~. If the applicable construction project has been abandoned, delayed, or abandoned and then restarted, or if the authorized contracting parties deviate from plans, blueprints, designs, specifications or timetables, the project will still be deemed to be the same construction project.
