RECITALS: A. The parties entered into that certain agreement entitled "Standard Consultant Agreement" dated the February 27, 2006, hereinafter referred to as "said Agreement." B. The Parties hereto desire to amend the "Scope of Services" and "Compensation" sections of said Agreement, as well as add a "Study Area" section, in order to incorporate expansion of the Renaissance Specific Plan east of the Santa Ana train station. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereby agree as follows: I . The first paragraph of said Agreement is hereby amended to add additional services such that it reads as follows: "Consultant shall also perform those additional services necessary to preparation of the Renaissance Specific Plan and related technical studies, as set forth in Exhibit A to this Amendment." 2. The second paragraph of said Agreement is hereby amended to add an additional $545,000 in compensation to Consultant such that it reads as follows: "The City agrees to pay, and Consultant agrees to accept as total payment for its services, those rates and charges identified in the Consultant's Fee Proposal, attached hereto as Exhibits B 1 and B2 to this Amendment, but shall include a contingency of $48,865 under said Agreement and an additional contingency of $26,243 under this Amendment. The total sum to be expended under said Agreement shall not exceed $1,073,000 during the term of said Agreement, of which $210,040 has been spent as of June 27, 2006. The total sum of $1,073,000 includes both the rates and charges in Exhibit B1 and B2 to this Amendment, and the rates and charges identified in the Consultant's Fee Proposal, attached as Exhibit B to said Agreement." 3. An additional paragraph is hereby added to said Agreement and reads as follows: "The specific plan study area is expanded to the Areas shown in the Study Area, attached hereto as Exhibit C to this Amendment." 4. BACKGROUN D/UNDERSTANDING The proposed project involves preparing a Specific Plan Environmental Impact Report (SPEIR) for the City of Santa Ana Renaissance Specific Plan. The Specific Plan will serve as the Project Description for the SPEIR. The objective of the SPEIR will be to reduce the environmental review and application processing time for future devel- opment consistent with the Specific Plan. Task 5.1: Scoping Task 5.1.1: Existing Literature Analysis. The consultants will review all relevant City documents, including recent EIR's, the General Plan, traffic reports, and other reports provided by City staff. Task 5.1.2: Refined Project Scope/Budget - Team Coordination CMCA will meet with City staff to review the contract and work scope. The scope and/or budget of the EIR may need adjustment once more information is available about the contents and likely effects of the Specific Plan. CMCA will work with staff to refine task descriptions, establish procedures for communication, and identify and collect relevant information. CMCA anticipates continued work with the City and the lead Consultant team throughout the plan development process to ensure the incorporation of environmental considerations into the plan. For example, CMCA will be responsible for preparing and presenting background materials relating to environmental issues at the planning charette. Task 5.1.3: Project Description and Objectives CMCA will work with staff to complete a detailed project description, including defi- nition of the project objectives. CMCA will revise the project description and outline based on comments received during the review. Deliverables — Two (2) copies of the Draft Project Description Task 5.1.4: EIR Workshop CMCA proposes to hold a one -day workshop with City staff and representatives of the planning team, to identify and outline the environmental effects of the project. Similar to the charette method for the development of the plan described elsewhere, the workshop will enable all pertinent team members to identify problems and solu- tions (impacts and mitigation measures) while drawing on the collective expertise of the group. The result of the workshop will be an annotated outline of the EIR. The workshop will also result in the identification of project alternatives. Deliverables — Ten (10) copies and one (1) digital version of the annotated outline for the team Task 5.1.5: Preparation of NOP Based on the workshop described in 5.1.4, CMCA will prepare an NOP for the proj- ect. EXHIBIT A Deliverables — One (1) camera-ready copy. Seventy-five (75) certified copies to be pro- duced on time and materials basis. Task 5.1.6: Scoping Meeting CMCA will hold a scoping meeting during the NOP process to allow for public input. Phase 5.2: Screencheck EIR The Consultants will work with staff to prepare a Screencheck EIR. The Screencheck EIR will include an existing conditions setting, evaluation of project impacts, recom- mended mitigation measures, and a determination of the level of impact. The Screencheck EIR will address the following: Aesthetics Air Quality Cultural Resources Geology/Soils Hazards/Hazardous Materials Hydrology/Water Quality Land Use/Relevant Planning Programs Noise Population/Housing Public Services Transportation Utility Service Systems Alternatives Commitment of Resources Growth -Inducing Impacts Deliverables: One (1) Camera-ready copy included in cost. Fifteen (15) copies to be provided to city on a time and materials basis. Phase 5.3: Administrative Draft EIR The Consultants will prepare an administrative draft EIR, which will generally be organized as follows: Table of Contents Introduction Summary of Impacts, Mitigation, and Levels of Significance Project Description Environmental Setting Impact Analysis Alternatives Analysis Growth -inducing, Cumulative and Significant Irreversible Impacts Technical Appendices and the NOP Task 5.2.1: Environmental Setting and Impact Analysis CMCA will prepare an environmental setting based largely on existing information. The environmental setting will provide the baseline for analysis in the EIR. CMCA will also prepare an impact analysis pursuant to CEQA requirements. The breadth of topics reflects our current understanding of the project as a predominantly urban project. The actual chapters may change depending on the outcome of the planning and environmental workshop process, and comments received on the NOP: 5.2.1A LAND USE AND PLANNING This section will include a determination of the proposed project's consistency with the City's adopted plans, ordinances, and policies, and regional planning docu- ments. This section will include a discussion of population and housing issues. 5.2.16 GEOLOGY AND SOILS The geologic impact discussion will address geologic hazards with particular empha- sis on seismic -related risks. Impacts will be based on information in existing litera- ture. A specific geotechnical study is specifically excluded from this scope and budget. 5.2.1C HYDROLOGY AND WATER QUALITY CMCA will assess the impacts of the project related to hydrology and water quality. It is assumed that infrastructure outlined in the plan will be engineered to be suffi- cient to handle stormwater Rows from the project, and will be designed and built to City standards. The project will therefore be analyzed in terms of: (1) Increases in impervious surfaces as a percentage of current conditions; (2) Potential for signifi- cant increases in erosion or sedimentation in the short- or long-term; and (3) Potential for the project to create or contribute to any surface water pollution. 5.2.113 CULTURAL RESOURCES The plan's historical resource consultants will prepare the cultural resources section. A review of existing literature and state and local records will be performed. A cultural resources survey will also be prepared to determine if structures within the Specific Plan area are listed or are eligible to be listed in pertinent registers. 5.2.1E HAZARDS AND HAZARDOUS MATERIALS Padre Associates, Inc. will be retained to conduct a Phase I environmental site assessment (ESA) of the specific plan area (study area). The objective of the Phase I ESA will be to determine, based on available information, whether current or previ- ous land use at or adjacent to the study area may have involved, or resulted in the use, storage, disposal, and/or release of hazardous substances to the environment. The Phase I ESA will be conducted per American Society of Testing and Materials (ASTM) protocol and will be based on readily available regulatory agency information and available information provided to Padre by the City. Following the completion of the ESA, Padre will provide a map of the study area that have been impacted by historical releases from on-site or nearby areas of environmental concern. Padre's Phase I ESA approach is presented in the following section. Historical Documentation. Padre will research and review pertinent, readily available geologic and hydrogeologic literature, and available historical aerial photographs, historical documentation, City maps, and topographic maps of the study area and surrounding area. Site Reconnaissance. Padre will perform a reconnaissance of the study area and evaluate the route and adjacent areas for potential sources of hazardous sub stances contamination. The site reconnaissance will not include detailed site visits to each property within the study area. Regulatory Agency Review. Padre will obtain a current database search report for the route and the area within the ASTM -prescribed radii. Additionally, Padre will contact applicable city, county, state, and federal agencies to review readily available files, records, permits, and known sites lists, as well as interviewing knowledgeable agency personnel. Report Preparation. Padre will prepare a Phase 1 ESA report presenting the methods of assessment, findings, conclusions, and recommendations. The report will document the results of the historical and agency records research and will attempt to identify potential responsible parties for each current or his torical area of potential environmental concern within the Project Site. The report will contain a map of the study area which illustrates the areas of poten tial environmental concern. The Phase 1 ESA will be summarized in the EIR and will include a discussion of impacts and proposed mitigation measures to reduce potential impacts from haz- ardous materials release sites within the study area. 5.2.1F TRANSPORTATION AND TRAFFIC Based on information provided by the plan's traffic consultants, CMCA will outline impacts and mitigation associated with traffic and circulation. The impacts will be defined in terms of increased traffic volumes and changes in service levels on selected roadway segments and intersections in the project area. The traffic study will be pre- pared under separate contract. 5.2.113 AIR QUALITY Padre Associates, Inc. will be retained to prepare an air quality technical report for inclusion in the EIR in accordance with the CEQA Air Quality Handbook (Handbook) (South Coast Air Quality Management District (AQMD),1993). A setting section will be provided and discuss trends and patterns of air quality in the area, including a summary of exceedances of air quality standards recorded at the nearest monitoring station from 2000 through 2003. In addition, a summary of the attainment status of the region relative to State and Federal air quality standards will be provided, includ- ing a discussion of the status of the Air Quality Management Plan. Construction activity will produce short-term emissions of engine exhaust from diesel and gasoline -powered equipment, emissions from material delivery and worker Moule & Polyzoides, Architects and Urbanists Santa Ana Renaissance Specific Plan Proposal M, Phase 5: EIR Preparation (to be executed under separate contract) vehicles, and fugitive dust from soil disturbance. A peak day and peak quarter con. struction emissions inventory will be prepared for comparison to APCD significance thresholds based on a reasonable worst case scenario developed by the project team. Emission sources quantified will include heavy equipment exhaust, fugitive dust, worker vehicles and heavy-duty on -road trucks. Inventory preparation will utilize emission factors from Non -road Engine and Vehicle Emission Study (EPA, 1991) and Motor Vehicle Emissions Inventory (MVEI) model (California Air Resources Board [ARB), 1996). Long-term emissions include vehicle emissions associated with trips generated by the proposed project and combustion emissions generated by water and space heaters. Long-term emissions will be presented in units of pounds per day for com- parison to the significance thresholds developed by the AQMD. Additionally, the study will include an analysis of carbon monoxide emissions at five (5) pre -deter- mined intersections within the study area. Vehicle emissions will be estimated consistent with the Handbook, using City -specif- ic inputs with the URBEMIS2001 model and trip generation values provided in the traffic study to estimate project long-term air emissions. Consistent with the pro. gram -level of analysis, no intersection modeling is proposed. An analysis of consis. tency with the Air Quality Management Plan will be provided. An analysis of the cumulative impacts of surrounding development will be provided and include the preparation of an emissions inventory for all proposed and approved projects in the immediate area, based on a project list provided by the City. Mitigation measures will be provided for both construction and operation impacts. Construction -related measures will focus on the use of heavy equipment certified to meet the 1996 Federal non -road NOx standard and dust control. Operation -related measures may include transportation demand management strategies, such as bike lanes, transit facilities, electric car charging stations and carpool matching services. The Air Quality Technical Report will be included in the air quality section of the EIR. 5.2.1H NOISE Padre Associates, Inc. will prepare a noise impact analysis. The noise analysis report Will include a setting discussion, traffic noise modeling to determine impacts, and mitigation to address potential impacts. Padre will conduct noise monitoring at the project site and adjacent residential properties to determine ambient noise levels. Monitoring will be conducted using a precision integrating type 1 sound level meter (Larson -Davis DSP -80) to collect A -weighted Leq sound data. The General Plan Noise Element will be reviewed to determine the location of the projected future traffic noise contours in the project area. A setting discussion will be provided and include the results of the monitoring and data review, the type and relative location of adjacent noise -sensitive land uses, and applicable noise thresh. olds. Thresholds may include the City's Municipal Code, the City's General Plan Noise Element and State Noise Guidelines. Impacts may include the adverse effect of existing and future traffic noise on the pro- posed residential land uses, and potential adverse effects of project -related traffic noise on the surrounding community. In addition, construction -related noise may adversely affect existing noise -sensitive land uses. Traffic noise modeling will be conducted using the Caltrans SOUND2000 model and traffic volumes from the project traffic study. Scenarios modeled will be limited by the available of traffic volume data, but may include existing, future and future + proj- ect. Noise contours will be developed from the modeling and will be mapped to facil- itate land use planning. A construction noise worksheet model will be used based on noise reference levels in Bolt, Beranek and Newman (1971), and geometric diver- gence and ground attenuation. Mitigation measures will be provided to minimize impacts to proposed and existing noise -sensitive land uses. Measures may include recommendations for setbacks from major roadways, noise walls and landscaped topographic barriers. The Noise technical report will be summarized in the Noise section of the EIR. 5.2.11 AESTHETICS CMCA will determine the impacts of the project using the VRMS system, which takes into consideration visual quality, visual character, and viewer sensitivity. Simulations are specifically excluded from this proposal. 5.2.11 PUBLIC SERVICES AND UTILITIES CMCA will assess the impacts of the project on utilities and services. This section will include analysis of impacts to public safety, schools, and water and wastewater. This section may include a water supply assessment pursuant to SB610. The water supply assessment will be provided by the City's water purveyor. The proposal for this section assumes that information regarding necessary infrastructure is fully addressed in the Specific Plan Update. Task 5.2.2: Alternatives Analysis CMCA will work with staff to develop alternatives aimed at the reduction of signifi- cant impacts. The analysis will include a comparison of the alternatives, and will include a determination of the environmentally superior alternative. The level of detail of the analysis will be less than the proposed project. Task 5.2.3: Other CEQA Sections The EIR will include a discussion of the growth -inducing effects of the project, includ- ing extension of public services, commitment of resources, and secondary growth in the residential and commercial sector. This section will also include a summary of significant, irreversible impacts. CMCA will compile the preceding sections into an Administrative Draft EIR Deliverables - Five (5) paper copies and one (1) electronic copy Task 5.2.4: Preparation of Draft EIR CMCA will incorporate comments from staff and prepare a Draft EIR suitable for cir- culation. CMCA will provide all required notices for the Draft EIR. Phase 5.3: Final EIR Task 5.3.1: Preparation of Administrative FEIR & Response to Comments The Consultants will respond to comments. The AFEIR will include response to com- ments, the mitigation monitoring and reporting plan, and any edits or errata. Deliverables -One (1) camera ready copy and one (1) digital copy are included in the cost. Up to fifteen (15) copies will be produced on a time and materials basis. Task 5.3.2: Preparation of FEIR and Findings Based on staff comment, CMCA will prepare a document suitable for presentation to the City Council. CMCA will also prepare the findings for the Council. Deliverables - One (1) camera-ready paper copy and One (1) digital copy. Additional printing or distribution costs are separate, as stated in the fee schedule. Task 5.3.3: Post -Certification FOR - CMCA shall produce an FEIR in one set of three-ring binders which includes the Draft EIR, Responses to Comments, the Mitigation Monitoring Program, Public Hearing Staff reports and minutes and Findings of Fact. Deliverables - One (1) set of binders The EIR will address subjects such as historical resources, industrial areas to panting and traffic to support the community's vision for the Specific Plan. Moule & Polyzoides, Architects and Urbanists Santa Ana Renaissance Specific Plan Proposal Task 7: Adoption Hearings Schedule: To be determined with the City Purpose. To provide the appropriate support to city staff throughout the hearings for the Specific Plan and EIR This task focuses on taking the Draft Specific Plan and EIR/CEQA documentation through the process of formal public hearings for the Planning Commission's and City Council's review, consideration and action. Because the actual schedule and pre- cise scope of issues is not yet known, it is very likely that the schedule for review and consideration of the EIR will vary from that of the Draft Plan. For this reason, the EIR task identifies its own set of tasks related to hearings(PC/CC). As it relates to the Specific Plan, the consultant will attend up to 3 public hearings and present the Plan to the public and decision -makers. This proposal provides information on addition- al meetings as required. This task concludes with the Final Specific Plan being adopt- ed by the City Council and the Specific Plan taking effect over the subject properties to begin implementation immediately. Task 7 Deliverables: Consultant Team's attendance and participation in public hearing for Draft and Final Specific Plan. The new area consists of approximately 100 acres to be added to the current 357 acre plan area.
