A-2006-146 INSL!RANCE NOf ~tQUIREO WORK MAY PROCEED CLERK OF COUNCIL DATE: &' - jD-O& 0: FmSl:J-) (L &L~j) FIRST AMENDMENT TO P ARTICIP A TING ADDENDUM THIS FIRST AMENDMENT TO PARTICIPATING ADDENDUM, is entered into on June 19, 2006, by and between A WS National Accounts LLC, a subsidiary of AT&T Wireless ("Contractor") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement A-2004-226, dated October 27.2004, (hereinafter "said Agreement") by which Contractor has provided wireless communications services and equipment pursuant to the Western States Contracting Alliance. Wireless Communication Service and Equipment Master Price Agreement. Number 10-00115. dated July 3,2001 (the WSCA Master Agreement). B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional six-month period. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement. except those amended in this First Amendment to Participating Addendum, the parties agree as follows: 1. Pursuant to Section 2 of said Agreement, City requests and Contractor agrees that Contractor shall continue to provide Service and Equipment to the City under the terms and conditions of said Agreement for an additional six month period, in order to allow the City to negotiate a new contract for wireless service and equipment with Contractor or another vendor. During this extension period, Contractor will provide the City with the Service Discount applicable at the time WSCA Master Agreement terminated. At the time City negotiates a new contract, City shall have the option to terminate this Agreement upon thirty (30) day \\'rilten notice to Contractor. 2. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect. 1/ 1/ II II I' -'l IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Participating Addendum on the date and year first written above.
