CONSULTANT AGREEMENT ~~^ 9~" THIS AGREEMENT, made and entered into this 21St day of August, 2006 by and ~~ ,~~,/~ (,~ between DMJM/Harris, Inc. , a California corporation (hereinafter "Consultant"), and the City of "U Santa Ana, a charter city and municipal corporation organized and existing under the ~T ~~'f.Z) Constitution and laws of the State of California (hereinafter "City"). The City desires to retain a consultant having special skill and knowledge in the field of civil engineering, architectural and landscaping services to provide, on an as-needed basis, construction documents for Public Works and Parks projects. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform those services as set forth in the City's Request for Proposal dated June 9, 2006, on file with the Santa Ana Public Works Agency(hereinafter "Public Works"), and Consultant's Proposal dated June 30, 2006, on file with Public Works, and portions attached hereto as Exhibit A, inclusively incorporated by reference . Each such assignment shall be agreed to, in writing, by the Executive Director of Public Works and Consultant, prior to commencement of any assignment. 2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in the fee schedule, Exhibit B. The total sum to be expended under this Agreement, shall not exceed $ 300,000.00 during the term of this Agreement. b. Payment by City shall be made within thirty (30) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. 3. OWNERSHIP OF MATERIALS Any and all records, papers, drawings, specifications, programs, systems and other materials prepared by Consultant, pursuant to this Agreement shall be the property of the City, Consultant agrees to provide City with any such materials whenever requested to do so. 4. TERM This Agreement shall commence on the date first written above and terminate on expenditure of allocated funds, unless terminated earlier in accordance with Section 13, below. The term of this Agreement may be extended upon a writing executed by the Executive Director of Public Works Agency and the City Attorney. 5. INDEPENDENT CONTRACTOR Consultant shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Consultant performs the services which are the subject matter of this Agreement; however, the services to be provided by Consultant shall be provided in a manner consistent with all applicable standards and regulations governing such services. Consultant shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. INSURANCE Prior to undertaking performance of work under this Agreement, Consultant shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Consultant shall maintain commercial general liability insurance naming the City, its officers, agents, volunteers, and employees as additional insureds) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Consultant's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence. Consultant shall supply City with a fully executed additional insured endorsement in substantially the form attached hereto as Exhibit C upon execution of this Agreement and shall be approved in form by the City Attorney. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non-owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the performance of the work under this Agreement, Consultant agrees to obtain and maintain any employer's Liability insurance with limits not less than $1,000,000 per accident. d. Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. e. The following requirements apply to the insurance to be provided by Consultant pursuant to this section: (i) Consultant shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. (iii) Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. f. If Consultant fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not affect Consultant's right to be paid for its time and materials expended prior to notification of termination. Consultant waives the right to receive compensation and agrees to indemnify the City for any work performed prior to receipt of insurance certificate and endorsement by the City, provided the certificate of insurance and endorsement are in compliance with the requirements and standards set forth in this Agreement. In the event the certificate of insurance and endorsement are not in compliance with the requirements and standards set forth in this Agreement, then Consultant waives the right to receive compensation and agrees to indemnify City for any work performed prior to APPROVAL of insurance by the City. 7. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from Consultant's negligence or willful misconduct in performance of this Agreement. The Consultant further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. 8. CONFIDENTIALITY If Consultant receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Consultant agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful possession of the Consultant without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Consultant without reference to information disclosed by the City. 9. CONFLICT OF INTEREST CLAUSE Consultant covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 10. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Public Works Agency, Design Engineering City of Santa Ana 20 Civic Center Plaza (M-36) P.O. Thereafter, any communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Consultant, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Consultant. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof, shall not bind or obligate Consultant nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Consultant, Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other consultants retained by City. 13. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant compensation for all services performed by Consultant prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Consultant to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Consultant consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 14. DISCRIMINATION Consultant shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Consultant affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 15. JURISDICTION -VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 16. PROFESSIONAL LICENSES Consultant shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Consultant shall notify the City immediately and in writing of her inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 17. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. WORK PLAN Project Understanding/ .Approach The City of Santa Ana is soliciting proposals from professional consulting firms to provide engineering services on an as- needed basis. The work consists of general engineering/architectural/ landscaping design projects on arterial and local roads and public parks and facilities on a citywide basis. The City may also require construction management, staking and inspection services. The key to successfully completing on-call services is to have the depth of staff and to work as an extension of the City's engineering staff. Only five minutes from the Public Works Agency's office, DMJM Harris is ready to provide the staff and services needed for efficient work performance. The following work plan represents our general project approach. DMJM Harris will develop a specific work plan for each task order for which we are selected. The key to our approach is to provide the right team for each task. We use , a five-step process (Figure 2-1) to ensure timely and effective response to our client's requests for on-call services. Technical Work Plan DMJM Harris has developed a typical approach for project development. Figure 2-2 is a graphic presentation of this approach. DMJM Harris's staff availability wil! coincide nicely with the upcoming on-call projects for the City. City of Santa Ana On-Call Engineering and Landscaping Design Services - 2006 civil and infrastructure engineering. DMJM Harris has ample resources to perform projects for the City of Santa Ana. Our project team is prepared to begin work immediately. Management Plan DMJM Harris's project implementation is geared toward quickly identifying and resolving project issues and meeting established goals. This process features: A. Project manager as single point of contact B. An effective communications process C. A comprehensive Quality Control Plan ~ - D. Project-specific scheduling and project. controls A. Project manager as single point of contact The DMJM Harris team's project manager, Mr. Pat Somerville will serve as our single point of contact for the City of Santa Ana. In this capacity he will be responsible for: • Serving as primary contact with the City and other agencies, as required, to meet project needs • Managing the DMJM Harris team, including the authority to make decisions on behalf of the team and to commit corporate resources to meet project requirements • Scheduling and internally coordinating the team's work • Ensuring that the project's technical/professional and contractual requirements are thoroughly fulfilled • Establishing clear lines of communication both internally and externally • Chairing all regular project team meetings and being the primary respondent to the City • Initiating and maintaining a quality management program tailored to the project • Managing an effective project controls system that delivers high quality work on time and under budget 1~ t B. An effective communications process The effectiveness of our communication with the City of Santa Ana and all project participants is crucial to a successful project. Pat Somerville is dedicated to fostering a productive communication process and to providing proactive design issue resolution, working with the City as an extension of staff. DMJM Harris uses an effective - projectcommunications process to ensure a successful project. C. Project-specific Quality Control Plan Quality is essential on all engineering projects. DMJM Harris is ISO 9001:2000 certified and employs a quality management system (Figure 2-5). This program incorporates quality review at each working level from the project manager down and from the discipline level up, and is continually reinforced during the project. There are four components to this approach, as shown in Figure 2-6. They address all aspects of the project and are performed continually and at major milestones during project development. They include: • Engineering discipline review. During the project, prior to any formal submittal, the design and reports are reviewed by the discipline managers. The project manager and discipline lead engineers will review the construction documents for coordination, accuracy, client drafting standards, and definition of work. • Constructibility review. Following review by the lead engineers the QC team will coordinate Constructibility reviews to verify criteria compliance, evaluate the comprehensive quality of the geometric plans and design plans, and resolve potential Constructibility issues. • Quality assurance/quality control review. QA/QC reviews will be conducted on an impromptu basis and prior to each milestone submittal. These will be independent reviews led by the project manager with the involvement and management review of the QA/QC manager and principal in charge, Bob Matthews, PE, and Victor Martinez, PE, respectively. D. Project-specific scheduling and project controls DMJM Harris has an excellent record of meeting client schedules and controlling project costs. To maintain schedule and budget compliance, the DMJM Harris team will use a four-step process (shown graphically City of Santa Ana On-Call Engineering and Landscaping Design Services - 2006 in Figure 2-7 as follows), briefly described as follows: • Step 1 involves the development of an appropriate work breakdown structure (WBS) and schedule to define the manageable work tasks; the associated budgets for accomplishing these work items; and duration and sequence for performing the work. r • Step 2 entails the monitoring of work progress and determining if the project is progressing on schedule and within budget. On-Call Engineering Services, Santa Ana, CA: Project manager working as an extension of city staff to provide engineering services in support of the City's capital improvement program. Projects have an estimated construction value of $6 million and have included First Street rehabilitation; traffic controls plans for Bristol and McFadden; new Horizons Neighborhood rehabilitation; studies, evaluation, and reports for several projects throughout the city; and building improvements at Thornton Park. City of Santa Ana On-Call Engineering and Landscaping Design Services - 2006 Capital improvement Program, City of Tustin, GA: Project manager working as an extension of City staff, providing management to oversee and facilitate the CIP projects, including the Annual Major Maintenance Program, arterial street rehabilitation projects, and streetscape enhancements. Coordinated issues in all phases including environmental, R/W, design and construction. Responsible for approval of consultant invoices, preparation of Council agenda items, and preparing Caltrans E-76 funding packages. As-Needed Engineering Services, City of Long Beach,~CA: Project ' manager for this three-year as- needed contract for the City to assist all departments in their Capital Improvement Program. Work entailed a full constructibility and bid review of the PS&E package for the runway overlay and taxiway reconstruction at the airport. Additional work efforts included residential street reconstruction, arterial street rehabilitation, and developing parking and entrance alternatives to a new park along with traffic signal design. Fairway/Walnut Avenue Intersection Improvements, City of Industry, CA: Project manager for this $2.5 million widening of Fairway Avenue at the Walnut Avenue and SR-60 on/off ramp intersections, located within the City of Industry's and Caltrans' right of way. Walnut will also be widened to provide additional capacity. Detailed traffic analysis was provided to determine appropriate lane configurations. Design included the evaluation of geometric alternatives, coordination with utility companies, materials testing, traffic signals and ramp meters, construction staging, traffic signing and striping, storm drain modifications, private property restoration. :.~ Intersection Widening, City of Brea, CA: Project manager for this $1.2 million project to widen two major arterial highway intersections that included preliminary and final design PS&E to provide additional left and right turn lanes, masonry retaining walls with sound walls, storm drain, geotechnical investigations, landscaping improvements, and signal modifications. Provided third party coordination with utility companies, impacted residents, and OCTA. 1 North Long Beach Street Enhancement, Long Beach, CA: Project manager involved in PS&E preparation fora $10 million segment of this program that includes residential street reconstruction, installation or full replacement of curb and gutter, rehabilitation of arterial highways, refurbishment of existing landscaped median islands, and construction of new landscaped median islands. Mr. Somerville was responsible for presenting the project in detail at public informational and project area committee board meetings. The project value was $8.5 million. Brea Canyon Road Grade Separation Project, Alameda Corridor-East, City of Industry, CA: Project manager involved in PS&E preparation for the $30 million Brea Canyon Road Grade Separation project, taking the lead in the civil design elements, including roadway, drainage, sewer, and utility relocations. Also responsible for the overall coordination efforts with Union Pacific SCRRA, as well as local utilities and agencies. Project Description The City of Santa Ana has identified a one-mile segment of arterial highway as in need of rehabilitation. The highway consists of four lanes separated by a raised median island It is assumed for this purpose that this highway will include localized reconstruction areas along with overlay of the existing asphalt. II. PS&E Preparation A. Kickoff Meeting - A meeting will be scheduled with the City of Santa Ana, and any other stakeholders in the project, including Caltrans. B. Record Research -DMJM Harris will obtain all record data available from the City Central File Room. It is expected that plans for all existing improvements, striping, and signals are available. C. Field Assessments -The site will be reviewed to identify asphalt reconstruction limits, damaged curb, gutter and sidewalk, and to locate new sidewalk access ramps. DMJM Harris will field walk a minimum of three times to ensure all items are accounted for. DMJM Harris requests that City staff join us on the initial field walk to obtain concurrence on our findings. This initial review can also act as the basis for the "Field Review Form" for Caltrans requirements. D. Field Survey -Aerial mapping and field survey will be performed. Field survey will include topographic features and cross sections at 50-foot intervals. E. Utility Coordination -Initial letters will be sent to all utility companies requesting maps of all their facilities within the project location. These utilities will be plotted on the project base map. At the 95% completion stage, the pre-final plans along with the typical sections will be sent to the utility companies requesting a review to ensure their utilities are plotted correctly, identify any potential conflicts and provide the construction schedule. F. Geotechnical Investigation - Coring and sampling of subgrade soils will be performed at strategic locations. Laboratory testing will determine the sand equivalent, R- Value, sulfate and chloride content. Engineering analysis of the collected data and preparation of report with pavement section design considering alternative pavement sections. If desired, deflection testing will also be performed and included in the analysis. G. Plan Preparation -The project plans will be prepared in Microstation format, imperial units, and will include the Project Title Sheet; Typical Sections; Plan and Profile (20 scale) that includes utilities, proposed improvements, grades for curb replacement for segments over 20- feet, as necessary; Striping Plans (40 Scale, Double-Stacked); and Traffic Control Plans (40 Scale, Double- Stacked). Work flow for the design includes the plotting of the street cross-sections to determine the impact of the proposed overlay at the joins. Along the outside curb lanes, edge grinding will be necessary to join the edge of gutter. The cross slope will be verified that it is within the given requirements (<5%). At the raised median, edge grinding is usually not an option as it will potentially trap water along the median curb. Due to this, the median must be paved against, thus reducing the effective curb height. Criteria must be established in determining if the remaining curb height is acceptable. If it is not, the options include the reconstruction of the median improvements with standard height curb, or reducing the street's final surface through the use of rubberized asphalt overlay, area cold milling the width of the street, or complete reconstruction of the street section. Cost alternatives will be prepared for these scenarios. H. Specifications -Using the City boilerplate, specifications will be prepared in Word format and will be based upon the Greenbook. Caltrans references will be made as necessary for traffic striping and signal detector loops. I. Cost Estimates -Detailed estimates will be provided at the 75%, 95% and 100% completion dates. The estimate will be formatted to identify items eligible for reimbursement, if state or federally funded. J. Caltrans Coordination - As required, DMJM Harris will assist the City as needed in preparing the required checklists, such as the Field Review Form, PS&E, Utility, and the Right-of-Way, to ensure the Authorizations to Proceed are secured from Caltrans. K. Submittals -The submittals will occur at the 50% completion stage (conceptual), 75%, 95% and 100% completion. The 95% submittal will be complete for final review. City comments from the 95% submittal will be incorporated and a final signature submittal (original mylars only) will be made at 100%. L. Scheduling - If required, DMJM Harris will develop a project schedule, with the City's input, that will deliver the project in a timely matter. This will include ample time for Caltrans to process the Authorization to Construct, if necessary, so the City does not risk the loss of any monies due to the expiration of the funding.
