RECITALS A. The City desires to retain a consultant having special skill and knowledge in the field of architectural design and consulting. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: SCOPE OF SERVICES Consultant shall provide architectural, civil engineering and landscaping design services resulting in contract documents for the Tierra de Las Pampas Exhibit at the Santa Ana Zoo, as set forth in City's Request For Proposal dated 8 -9 -06, Consultant's Proposal dated September 1, 2006, both incorporated by reference, and Scope of Work, attached as Exhibit A to this Agreement. 2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Consultant's Fees and Payment, attached as Exhibit B to this Agreement. The total sum to be expended under this Agreement shall not exceed $83,300 during the term of this Agreement. b. Consultant and City may agree upon the performance of additional work beyond the scope of the RFP and Proposal. Such agreement shall be in writing executed by the Executive Director of Public Works and Consultant. c. Payment by City shall be made within thirty (30) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. 3. OWNERSHIP OF MATERIALS a. Any and all records, papers, drawings, specifications, programs, systems and other materials prepared by Consultant, pursuant to this Agreement shall be the property of the City, Consultant agrees to provide City with any such materials whenever requested to do so. The City agrees, however, that plans, drawings or other work product may be used only for the project described herein. b. Except as set forth in section 3.c., below, services, papers and documents provided by Consultant pursuant to or arising out of this Agreement are for the exclusive use of the client for this project only and may not be reused for other projects by the client without Consultant's written consent. Preliminary and other unsigned plans and drawings are not intended to be used for construction. All final plans will be signed. The Consultant is not responsible for plans not signed by the Consultant. c. City may utilize said plans, specifications and documents in connection with the future expansion or remodel of the Tierra de las Pampas exhibit at the Santa Ana Zoo. City shall release Consultant from liability for City's use of said plans in connection with the remodel, expansion of the exhibit, unless the parties agree otherwise, in writing. 4. TERM This Agreement shall commence on the date first written above and terminate on completion of the project, unless terminated earlier in accordance with Section 12, below. 5. INDEPENDENT CONTRACTOR Consultant shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer - employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Consultant performs the services which are the subject matter of this Agreement; however, the services to be provided by Consultant shall be provided in a manner consistent with all applicable standards and regulations governing such services. Consultant shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. INSURANCE Prior to undertaking performance of work under this Agreement, Consultant shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Consultant shall maintain commercial general liability insurance naming the City, its officers, employees, agents, volunteers and representatives as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Consultant's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence. Consultant shall supply City with a fully executed additional insured endorsement in substantially the form attached hereto as Exhibit C upon execution of this Agreement and shall be approved in form by the City Attorney. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against liability for worker's compensation or to undertake self - insurance. Prior to commencing the performance of the work under this Agreement, Consultant agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. e. The following requirements apply to the insurance to be provided by Consultant pursuant to this section: (i) Consultant shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. (iii) Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. f If Consultant fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. Consultant waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 7. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants and representatives from liability for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the negligent performance or failure to perform of Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement. 8. CONFIDENTIALITY If Consultant receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Consultant agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non -use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful possession of the Consultant without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Consultant without reference to information disclosed by the City. 9. CONFLICT OF INTEREST CLAUSE Consultant covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 10. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M -30) P.O. Thereafter, any communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Consultant, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Consultant. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Consultant, Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other consultants retained by City. 13. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant compensation for all services performed by Consultant prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Consultant to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Consultant consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 14. DISCRIMINATION Consultant shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Consultant affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 15. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 16. PROFESSIONAL LICENSES Consultant shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Consultant shall notify the City immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 17. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. Dear Ms. Amirani: It has been quite some time since I had visited the Santa Ana Zoo, but going there this week and last reminded me of the plans and discussions about the Zoo that were floating around in the Lang and Wood office when I worked there in the late 1970s. As I walked the zoo pathways I could see examples of the constructed elements designed at that time, and plants (like the Silk Floss tree now in bloom) that were probably selected by my mentor, Fred Lang, now grown into maturity. I know that at the time our office began work, the animal enclosures were small and not habitat related. The Zoo has made progress in providing more naturalistic animal living areas, and it is exciting to play a design role in providing animal settings that are not only more roomy and comfortable, but are representative of the landscape in which the animals live in the wild. It would be my privilege to continue on with Zoo design and work with the City on the design of Tierra de las Pampas. Thank you for requesting my participation in this process. Our tasks will include design of the circulation and viewing amenties to give the best vantage for visitors, and allow for interpretive opportunities; to design the holding buildings to be both functional and fitting in the landscape; to minimize the appearance of barriers and separation; to provide a botanical selection that will represent the pampas landscape; and devise methods that will allow it to be sustainable over time. I am looking forward to consider- ing all of the elements that com- prise the Pampas landscape, and developing ways to incorporate them into the zoo landscape. Ombu tree, eallled the 'Lighthouse of the Pampas" at Huntington Botanical Gardens -QUALIFICATIONS The project design team will be led by Ann Christoph Landscape Architect ASLA who will be the liaison with the staff and the Design Review Team and provide landscape architectural services. RHA Engineering led by Steve Ray will provide surveying and civil engineering services. Tony Alves of GPRA will perform architectural services. Kathy Musial, Botanist, of Huntington Botanical Gardens, and Dr. Phil Rundel of UCLA will consult regarding botanical aspects. Toby Mertens will prepare irrigation plans. Firm History and Client Service The firm of Ann Christoph Landscape Architect AS LA was formed in 1981 . after I worked for nine years with Fred Lang and the firm of Lang and Wood. Fred and I continued to work together in sep- arate firms until his death in 1996. His inspiration to consider each project in detail, each client and assignment as a special and unique opportunity, and the environment of each site as an important dictate of design remains with me. As a small firm, of two to five persons, I take on a limited number of assignments, and give each one my personal attention, including client contact, public workshops, design, production of contract documents and on -site construction observation. In this manner I have been able to provide timely service and personal attention to each assignment and client. Ann Christoph will be project manager for this project and will be assisted by our office assistant and sub - consultants. The project team is committed to providing the requested services to the City and Zoo in a timely manner. Public Garden Design and Campus Experience - -Ann Christoph Landscape Architect ASLA Public gardens and public parks have been a focus of my landscape architectural practice. These projects have many of the same design considerations as the Zoo - -they feature beauty and interest for members of the public, have an educational/ informational component, and must address func- tional issues such as circulation flow, access for disabled, safety, and long term maintenance. Each project has its own special opportunities to provide a gracious environment and stimulate public interest. Tierra de las Pampas September 1, 2006 Page 3 The Shakespeare Garden at Huntington Library and Botanical Garden presents a picturesque English landscape garden setting, and features Shakespearean plants accom- panied by quotes from the playwright's writings. At the same time it serves as a main transition space for nearly all visitors to the grounds. I received a Merit Award from the Southern California Chapter of the American Society of Landscape Architects for the design of this project. At the Arboretum of Los Angeles County I worked with Sunset Magazine and the arboretum staff to develop plans for a Demonstration Garden. I proposed a series of garden themes/ educational ideas that were related to the characteristics and existing features of different areas of the designated space.( "Gardening under the oaks, "Native plant garden," "Water retreat," etc.). I designed the enhance and the circulation system and helped with the design competition that was held to choose individual designers for each garden. Tierra de las Pampas September 1, 2006 Page 4 At the present time I am working at Scripps College, Claremont to restore three of its campus courtyards to their original design. The campus, on the National Registry of Historic Places, has embarked on a program to bring all of the campus spaces, as much as possible, into correspondence with the original designs of the 1920s and 1930s. Previously I completed studies for a Music Building/ Joint Science Center connection, and a Master Plan to improve access for persons with disabilities. These projects are examples of the unique, specialized, public - oriented projects that are characteristic of my work. I see Tierra de las Pampas as receiving this same attention to site and program specific design. Public Park Experience In addition to the public gardens highlighted above, I have designed many public parks. These include: • Sycamore Creek Trail for the City of Dana Point • Lantern. Village Community Park for the City of Dana Point • Creekside Park for the City of Dana Point • Bluebird Park for the City of Laguna Beach • South Laguna Village Green for the City of Laguna Beach and previously for the County of Orange • Woods End Park and Trail Entrance for the City of Laguna Woods. • Cliff Drive Park for the City of Newport Beach • Alta Laguna Park for the City of Laguna Beach, (Joint Venture with Robert Borthwick and Frederick M. Lang) • Aliso Beach children's play area for the County of Orange Environmental Management Agency. • Lantern Bay Park. Dana Point, children's play area for the County of Orange Environmental Management Agency More information on many of these projects is included in the attached brochure. Tierra de Las Pampas September 1, 2006 Page 5 Preparation of Graphic Exhibits As an artist I have exhibited my watercolor work at the Laguna Art Museum and it has been published in Orange County Illustrated. I prepare colored plans and elevations on a regular basis for my clients. I will use these abilities in preparing the graphic exhibits for the Zoo fundraising program. Ray of RHA and I have worked together on several parks for the City of Dana Point: Sycamore Creek Trail and Creekside Park, approximately 8 acres each, and Lantern Village Community Park, a half -acre neighborhood garden. He has also supplied civil engineering services for many school sites in our region. Steve is licensed as both a Civil Engineer and Surveyor and has extensive experience in site surface design, grading and drainage plans, water and storn drain improvements plans, erosion control and demolition plans. RHA is fully qualified to perform the survey and civil engineering services for "Tierra de las Pampas." Architecture -- Grillias Pirc Rosier and Alves (GPRA) GPRA is a 47- year -old architectural firm originally headquartered in downtown Santa Ana. The firm has completed many projects in the city starting with the Bowers Museum in 1967, and including the Santa Ana Corporate Yard. Tony Alves will provide architectural services for the animal holding buildings. Tony Alves son of founding partner, Al Alves, is part of the second generation of family members continuing the quality tradition of the GPRA firm. Since joining the firm in 1984 he has been planner, designer, job captain, project manager or construction administrator for over 150 projects, many of them for local cities and public agencies. Tierra de las Pampas September 1, 2006 Page 6 Irrigation Consultant - -Toby Mertens Toby Mertens is an irrigation consultant with over 25 years experience designing irrigation systems in southern California and is a certified irrigation auditor. He prepared the irrigation plans for many of my projects including Bluebird Park and Alta Laguna Park for the City of Laguna Beach. Botanical Consulting- -Kathy Musial and Dr. Philip Rundel Kathy Musial is currently the Curator of Living Collections at the Huntington. Botanical. Gardens. She will consult regarding the appropriate plants to represent the Pampas environment, as well as contribute her expertise regarding public garden management issues. Dr. Philip W. Runde] is professor of Biology, University of California, Los Angeles. He has worked extensively in southern South America over the past 35 years, conducting research projects in a variety of of areas including the Pampas region and adjacent Patagonian steppe. His research work focuses on the ecology of plant communities and thus he is familiar with the flora and landforms of the Pampas region. This work has included ecological studies on plant- environment interactions in areas of the pampas with existing populations of guanacos and rheas, and has given him the oppor- tunity to assemble many photographs of these animals in. their native habitat. He maintains active research collaborations with a number of groups of Argentine and Chilean ecologists. Among many other publications on the ecology of South American ecosystems, he is the lead author on a chapter on Arid and Seini -Arid Ecosystems of South America in a major book to be pulished later this year by Oxford University Press in England. Tierra de las Pampas September 1, 2006 Page 7 SCOPE OF WORK TASK 1- Pre - Design Meeting a. Meet with City Project Manager and Design Review Team, review project requirements, objectives, schedule, design procedures, project approach, and working methodology. (1 meeting) b. Obtain documents and information to be provided by City. TASK 2 - Program Analysis/Design Development A. Program Analysis, Site Information, and Field Review 1. Review and assess design criteria, standards, requirements, and construction procedures as outlined in the RFP. 2. Prepare topographic survey using aerial photography and ground survey methods. The survey would include zoo features, terrain variances, and significant landscape elements. Collect surface data for features such as trees, walkways, tracks, mow strips, structures, fences, planter areas, visible above ground utilities. Deliverables: AutoCAD drawing with 1 foot contour intervals and spot elevations. Aerial photography would include Phase II areas as well as PhaseI. 3. Review City as -built information regarding irrigation, drainage, utilities, etc. Plot known underground utilities on base sheet using information supplied by City. 4. Walk site, record existing features, views, access, adjacent uses etc. Evaluate condition of existing site features, such as pavement, walls, site furniture, planting, drainage etc. Assess pedestrian and service circulation patterns and access for persons with disabilities. Summarize information and implications on site analysis document. Assess and summarize space requirements for proposed animal holding buildings, overlooks and other facilities. Assess and provide summary of the criteria and characteristics of proposed animal holding buildings. (Allow 2 meetings with staff and Design Review Team during this phase) Tierra de las Pampas September 1, 2006 Page 8 B. Planning Services 1. Prepare base sheet /site plan. 2. Prepare two alternative concept plans. 3. Prepare two alternative schemes (floor plans and elevations) for animal holding buildings. 4. Meet with Design Review Team to review drawings. Respond to comments and prepare final preliminary site /landscape plan and animal holding building drawing. 5. Prepare colored, rendered drawing of approved site plan and 3 -D drawing showing the proposed exhibit area. Drawings should be appropriate for use by the Zoo for fundraising purposes. (Allow 2 meetings with staff and Design Review Team during this phase) Submit progress reports at monthly intervals, including copies of current work product and progress meeting summaries. C. Botanical research Work with botanical consultant Kathy Musial to develop recommended list of plant materials appropriate to the Pampas exhibit. Review planting list and concepts with Design Review Team. TASK 3 - Construction Documents A. Prepare plans and specifications Use base plans developed under Task 2. Develop details for overlook areas and other site features. Tierra de las Pampas September 1, 2006 Page 9 Prepare contract documents in City approved format, including the following as applicable: Cover sheet Civil Engineering drawings to include: - Demolition plan - Grading plan - Drainage plan - Constuction layout plan for site improvements including overlooks, pathways, structures and other site features Field layout supplied as CAD disc. - Construction notes. Landscape architect will supply design and direction for these drawings.
