JJ:::-__<9'-1-o "1 FES 0 7 2007 (.(?o If>.W\J.t\~) FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on January 2, 2007, by and between American Homeland Solutions, Inc., a Delaware corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement # A-2006-253, dated September 5, 2006, (hereinafter "said Agreement") by which Consultant has provided National Incident Management System Basic Training courses for City employees. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services to provide for additional training and increase compensation to pay for the additional services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section I, SCOPE OF SERVICES, shall be amended to provide additional training as set forth in Exhibit A-I, attached hereto and incorporated by this reference. 2. Section 3, COMPENSATION, shall be amended to increase compensation by $6,000, for a total not to exceed amount of $56,000.00. Consultant agrees to accept, and City agrees to pay, the rates and charges set forth in Exhibit A-I for all training provided pursuant to this First Amendment to Consultant Agreement. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II II II '.
