FIRST AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT is entered into on January 2,
2007, by and between American Homeland Solutions, Inc., a Delaware corporation
("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the
State of California ("City").
RECITALS:
A. The parties entered into Agreement # A-2006-253, dated September 5, 2006,
(hereinafter "said Agreement") by which Consultant has provided National Incident
Management System Basic Training courses for City employees.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
amend the Scope of Services to provide for additional training and increase
compensation to pay for the additional services.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Consultant Agreement, the parties agree as follows:
1. Section I, SCOPE OF SERVICES, shall be amended to provide additional training
as set forth in Exhibit A-I, attached hereto and incorporated by this reference.
2. Section 3, COMPENSATION, shall be amended to increase compensation by
$6,000, for a total not to exceed amount of $56,000.00. Consultant agrees to accept,
and City agrees to pay, the rates and charges set forth in Exhibit A-I for all training
provided pursuant to this First Amendment to Consultant Agreement.
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.

Thank you for calling and scheduling additional training for your agency. Tentatively

Although POST has authorized course tuition increases for 2007, AHS agrees to extend
the Costs and the Terms & Conditions set forth in our prior contract, #A-2006-253, with
the City of Santa Ana for these additional courses, setting the cost at $177 per person
with a minimum of 30 students per class (or an average of 30 combining all scheduled
classes listed above).

AHS also agrees to extend the Costs and the Terms & Conditions set forth in our prior
contract, #A-2006-253, with the City of Santa Ana for the additional 2-hour course
listed above, with the exception of the following:
o Cost to remain at $800 per 2-hour session;
o Cost includes one instructor, per 2-hour session;
o Course does not need to back up against a scheduled 8-hour course;
o Cost includes all materials for up to 30 students;
o Additional students, over 30, shall incur a materials fee of $15 per person.

Scheduled training dates may be cancelled or rescheduled by the City of Santa Ana
without penalty, provided such requests are in writing (or email) and received no less
than 10 days prior to the scheduled training, at 2401 E. Katella Avenue, Suite 220,

This endorsement modifies insurance provided under the:
Commercial General Liability Coverage Part
A. WHO IS AN INSURED (Section il) is amended to include as an insured any person or organization whom you are required
to add as an additional insured on this policy under a written contract or written agreement.
B. The insurance provided to additional insureds applies only to "bodily injury", "property damage" or "personal and advertis-
ing injury" covered under Section I, Coverage A, BODILY INJURY AND PROPERTY DAMAGE LIABILITY and
Coverage B, PERSONAL AND ADVERTISING INJURY LIABILITY, but only if:
I. The "bodily injury" or "property damage" results from your negligence; and
2. The "bodily injury", "property damage" or "personal and advertising injury" results directly from:
a. Your ongoing operations; or
b. "Your work" completed as included in the "products-completed operations hazard",
performed for the additional insured, which is the subject of the written contract or written agreement.
C. However, regardless of the provisions of paragraphs A. and B. above:
I. We will not extend any insurance coverage to any additional insured person or organization:
a. That is not provided to you in this policy; or
b. That is any broader coverage than you are required to provide to the additional insured person or organization in the
written contract or written agreement; and
2. We will not provide Limits of Insurance to any additional insured person or organization that exceed the lower of:
a. The Limits ofInsurance provided to you in this policy; or
b. The Limits ofInsurance you are required to provide in the written contract or written agreement.
D. The insurance provided to the additional insured person or organization does not apply to:
1. "Bodily injury", "property damage" or "personal and advertising injury" that results solely from negligence of the addi-
tional insured; or

2. "Bodily injury", "property damage" or "personal and advertising injury" arising out of the rendering or failure to
render any professional architectural, engineering or surveying services including:
a. The preparing, approving, or failing to prepare or approve maps, shop drawings, opinions, reports, surveys, field
orders, change orders or drawings and specifications; and
b. Supervisory, inspection, architectural or engineering activities.
E. The additional insured mnst see to it that:
I. Weare notified as soon as practicable of an "occurrence" or offense that may result in a claim:
2. We receive written notice of a claim or IIsuit" as soon as practicable; and
3. A request for defense and indenmity of the claim or "suit" will promptly be brought against any policy issued by an-

F. The insurance provided by this endorsement is primary insurance and we will not seek contribution from any other in-
surance available to any additional insured person or organization unless the other insurance is provided by a contractor
other than you for the same operations and job location. Then we will share with that other insurance by the method de-
scribed in paragraph 4.c. of SECTION IV - COMMERCIAL GENERAL LIABILITY CONDITIONS.
Any provisions in this Coverage Part not changed by the terms and conditions of this endorsement continue to apply as writ-
ten.
