FIRST AMENDMENT TO
CONSULTANT AGREEMENT
lHIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into
on February I, 2007 by and between Cesar Vargas and the City of Santa Ana, a charter
city and municipal corporation of the State of California ("City").
RECITALS:
A. The parties entered into Agreement #N-2005- 123, dated October 17, 2005,
(hereinafter "said Agreement") by which Consultant has provided
translation/interpretation services
B. In accordance with the terms and conditions of said Agreement, the parties wish to
increase the rate of pay and compensation and to extend the term of said agreement.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Consultant Agreement, the parties agree as follows:
I. Section 2.a, COMPENSATION, shall be amended to increase Consultant's hourly
rate to $95.00 per hour, and increase total compensation to $25,000, annually. Said
section shall read in full as follows:
"City agrees to pay, and Consultant agrees to accept as total payment for his services,
the hourly rate of $95.00, with a two-hour minimum, which includes up to thirty (30)
minutes of preparation, familiarization and review time, as referenced in Section lb.
The total compensation to be paid pursuant to this Agreement shall not exceed
$25,000.00, annually, during the term of this Agreement."
2. Section 3, TERM, shall be deleted in its entirety and replaced with the following:
'The term of this Agreement shall commence October 17, 2005 and shall terminate
on June 30, 2008, unless terminated earlier in accordance with section 9, below. The
term of this agreement may be extended upon a writing signed by the City Manager
and the City Attorney."
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.

The interpretation services to be provided in pursuant to the aforementioned agreement will be
offered by Cesar Vargas, "Consultant," and/or by a qualified interpreter, for the duration of the
assignments or until dismissed by an authorized representative of the City Council.
