A-2007-035 pf3 A mer l'c-Q:) , :I( i C AMENDMEN TO C~SULTANT PARSONS BRINCKERHOFF THIS FIRST AMENDME , is made and entered into this 5th day of February, 2007, by and between ., a New York corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. The City entered into an Agreement with Consultant on January 17, 2006, ("the Agreement") to provide support services to complete the Santa Ana Transit Master Plan. B. City needs further support services to conduct the Metrolink extension studies that will meet the various Federal transit agencies' guidelines in order to complete Step One of the "Go Local Program" with the Orange County Transportation Authority. C. The parties hereto now desire to amend the Agreement in order for Consultant to perform additional services for the City. NOW THEREFORE, in consideration ofthe mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: I. The "Scope of Services" term of the Agreement will be expanded and updated to allow Consultant to conduct the City-Initiated Transit Extensions to the Metrolink Studies as further set forth in Exhibit A-I attached hereto and incorporated herein. 2. The "Compensation" term of the Agreement will be increased an additional One Hundred Thousand Dollars ($100,000.00) for a total contract price not to exceed Two Hundred Fifty Four Thousand Dollars ($254,000.00). 3. The "Term" of the Agreement shall be extended through July I, 2008. 4. The above changes are the only changes to the Agreement, and all other terms and conditions of the Agreement remain unchanged. Project Administration and Management The project management task will involve regular status meetings with staff from the City of Santa Ana, and developing progress reports along with the invoices to be submitted by the 15th of each month for review by the City. The progress reports will include specific accomplishments of each task, any challenges encountered, and any adjustments that may be needed in the project schedule. Charges shown on the invoice will be compared with the task budgets developed from an estimation of the hours that it will take to complete each task, described in this scope of work. In addition to the regular project status meetings, the PB Project Manager and key project staff will attend two city council sessions, two City Council Transportation Subcommittee meetings, and up to four (4) other meetings with city staff and/or project stakeholders. PB will submit one electronic copy and one hard copy draft of each of the following study deliverables for review (as part of the study tasks described later in this document): . Technical memorandum summarizing the preliminary set of transit alternatives to be evaluated under the Go Local Program criteria (Task 2). . Data request memo to the City of Santa Ana (Task 3) . Summary of data sources organized by evaluation criteria (Task 3) . Technical memorandum documenting preliminary screening evaluation (Task 4) . Alternatives evaluation matrix for final candidate alternatives (Task 4) . Six Month Progress Report (Task 5) . Final Report (Task 5) The City of Santa Ana will coordinate staff comments on the above draft deliverables and provide one consolidated set of comments to PB within two weeks of receipt of the draft deliverable. PB will prepare the final deliverables within two weeks after receipt of the comments. This work scope anticipates one product review cycle. The City of Santa Ana will be responsible for preparation and submittal of the Project Concept form and the Project Expenditures Certification to aCTA (Exhibits A and D of the aCTA Go Local Program guidelines). Deliverables: . Monthly progress reports and invoices (12 total). . Attendance at twelve (12) project status meetings, two (2) city council sessions, two City Council 10f4 EXHIBIT A - / Transportation Subcommittee meetings, and up to four (4) other meetings with city staff and/or project stakeholders. Task 2. Alternatives Definition PB will work with the City of Santa Ana to refine the preliminary set of alternatives based on those presented in the Santa Ana Transit Master Pian. An additional alternative will be developed which includes Bus Rapid Transit along the Pacific Electric (PE) right-of-way. The alternatives definition task will include consideration of alignment, technology, and phasing for each alternative. Once the preliminary alternatives have been defined, PB will work with the City and relevant stakeholders to agree on the set of alternatives to be carried forward for analysis under the criteria established by aCTA for the Go Local Program, as part of Task 4. The final number of alternatives will be limited to a maximum of four. Deliverables: . Technical memorandum summarizing the set of transit alternatives to be evaluated under the Go Local Program criteria in Task 4. Task 3. Data Collection A list of data needs will be prepared at the beginning of the Go Local study to identify the type and format of information needed to develop the set of transit alternatives in the Alternatives Definilion (Task 2) and to perform the Alternatives Evaluation (Task 4). PB will coordinate with the City of Santa Ana to determine the appropriate level of data needed for the study and potential sources for the data. Deliverables: . Data request memo to the City of Santa Ana . Summary of data sources organized by evaluation criteria Task 4. Alternatives Evaluation The alternatives evaluation will be based on the evaluation criteria determined by aCTA for the Go Local Program, including: Hiqh Prioritv . PB will assist the City of Santa Ana in identifying and evaluating potential public/private funding opportunities. However, the City will have ultimate responsibility for funding commitments, either iocally or through private partnerships, and will provide input and direction from appropriate departmental staff. PB will incorporate the City's proposed private/public funding commitments into the overall alternatives evaluation. The City of Santa Ana will be responsible for identifying and obtaining any and all letters, agreements, funding commitments, and action plans for pursuing such agreements and commitments, within their respective jurisdictions, as specified in the OCTA Evaluation Criteria. A two-step evaluation process will be conducted: 1. Preliminary screening using key priority criteria to establish up to four candidate alternatives for submittal to OCTA. 2. Final evaluation of candidate alternatives based on the full set of OCTA evaluation criteria for the Go Local Program. In the second-phase evaluation, aiternatives will be assessed based on their ability to meet the performance measures identified for each evaluation criterion. The alternatives with the highest potential for competing successfully in the Step 2 phase of the Go Local Program will be identified. Deliverables: . Technical memorandum documenting preliminary screening evaluation . Alternatives evaluation matrix for final candidate alternatives 30f4 EXH\BIT A-I Task 5. Community Outreach Community outreach will be a key component throughout the life of the Go Local study process. As such, PB will coordinate and cooperate closely with the City of Santa Ana as well as key stakeholders and potential financial partners to maintain communications as to the progress of the Go Locai project. In consultation with the City, PB will Identify a list of key stakeholders and potential financial partners for the Go Local Program early in the study process. This list will be refined, as needed, based on the study progress. Input from these interested parties will be incorporated into the Alternatives Definition (Task 2) and Alternatives Evaluation (Task 4). Deliverables: . Technical support for community outreach/stakehoider meetings Task 6. Go Local Project Concept Reports and Go Local Step 2 Application Package As defined in the aCTA Go Local Program guidelines (August 10, 2006), two Project Concept reports will be prepared for submission to aCTA: (1) "Six-Month Progress Report" and (2) "Final Report." Draft versions of these reports will be submitted for review by the City of Santa Ana approximately four weeks before the deadline to aCTA. Based on comments received from the City, the reports will be revised as needed prior to submission to aCTA. Based on the alternatives evaluation completed in Task 4 and aCTA program guidelines, PB will help the City identify the most promising alternative for successful award of Step 2 funding by aCTA. PB will prepare a Step 2 application package for the most promising alternative using evaluation results from the Step 1 analysis. Deliverables: .
