THIRD AMENDMENT TO AGREEMENT
THIS THIRD AMENDMENT TO AGREEMENT is entered into on January 10,
2007, by and between Principal Decision Systems International, Inc., a California
corporation ("PDSI") and the City of Santa Ana, a charter city and municipal corporation
of the State of California ("City").
Recitals:
A. The parties entered into Agreement #N-2004-052, dated May 28, 2004, (hereinafter
"said Agreement") by which PDSI has provided software maintenance, updates and
telephone and web based support for the Fire Department's staffing software.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
renew said Agreement for an additional one-year period and to increase compensation
to pay for the services during the extended term.
Wherefore, in consideration ofthe covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this Third
Amendment to Agreement, the parties agree as follows:
1. Section 2.a., COMPENSATION, shall be remain at an annual rate of$3,205.00
for TeleStaffmaintenance and $5,760.00 for Webstaffmaintenance.
2. Section 3, TERM, shall be amended to extend the termination date from
December 31, 2006 to December 31, 2008.
IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to
Agreement on the date and yea .first written above.
