RECITALS A. The Parties entered into that certain agreement entitled "Agreement With O'Reilly and Associates Under the Workforce Investment Act" dated November 20, 2006, hereinafter referred to as "said Agreement", for assistance in the implementation of the Santa Ana WORK Center Layoff Aversion Project. B. The parties hereto now desire to amend the "Compensation" term of said Agreement to implement additional grant funding. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. The "Compensation" section of said Agreement (Section 6.) is hereby amended to allow for an additional $54,000 for a total amount not to exceed $104,000. 2. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and effect. Contractor will develop all needed agendas and hand-outs to support meetings and will summarize and distribute notes from each meeting. Contractor can invoice SAWC at the completion of each meeting for $4,500 per meeting. Planning Next Phase: Contractor will facilitate up to 4 planning meetings or Santa Ana WIB or the entire $ 18,000 presentations with the Santa Ana management group, team to discuss the continued implementation of the project, new directions for the next phase of the project, and gain agreement on key action items to support the next phase. Contractor will develop all needed agendas and hand-outs to support the meetings and will summarize and distribute notes from each meeting. Contractor can invoice SAWC at the completion of each meeting for $4,500 per meeting. Sales Meetings: Contractor will assist in facilitation of up to 2 Team Sales meetings to continue to support the development of an ongoing sales organization including providing technical assistance to the team leader between meetings to $ 9,000 support implementation. Contractor will develop all needed agendas and hand-outs to support meetings and will summarize and distribute notes from each meeting. Contractor can invoice SAWC at the completion of each meeting for $4,500 per meeting. Capture and Report Rapid Response Activities: Contractor will facilitate up to 4 planning meetings with SAWC staff to identify $18,000 effective ways to capture and report Rapid Response activities, report EDD activities, and define a common database that would enable SAWC staff and partners to include dislocated workers identified through the Rapid Response process in their job matching pool. Contractor will develop all needed agendas and hand-outs to support meetings and will summarize and distribute notes from each meeting. Contractor can invoice SAWC at the completion of each meeting for $4,500 per meeting.
