Co): PAIA (2)(T Cable FIRST AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT is entered into on April 23, 2007, by
and between Orchard Supply Hardware ( "OSH ") and the City of Santa Ana, a charter city and
municipal corporation of the State of California ( "City ").
RECITALS:
A. The parties entered into Agreement N- 2005 -066, dated May 24, 2005, (hereinafter "said
Agreement') by which OSH has participated in a voucher purchase program for its "Back
Yard Composter Bin ".
B. The Term of said Agreement was extended by agreement of the parties.
C. In accordance with the terms and conditions of said Agreement, the parties wish to increase
compensation available for the voucher program and to extend the term of said Agreement.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to
all the terms and conditions of said Agreement, except those amended in this First Amendment
to Agreement, the parties agree as follows:
1. Section 1. B., SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the
following:
"City of Santa Ana shall
1) Reimburse OSH up to $15,000, annually, for all City issued vouchers submitted to
OSH pursuant to said Agreement."
2. Section 3, TERM, shall be amended to extend the termination date to June 30, 2008.
3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain
in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Agreement on the date and year first written above.
