PFT (.J) FIRST AMENDMENT TO CONSULTANT AGREEMENT THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is made and entered into this 19't' day of March, 2007, by and between the City of Santa Ana, a charter city and municipal corporation of the State of California, ("City") and EIP Associates, a California corporation, ("Consultant"). RECITALS A. The City and Consultant entered into Consultant Agreement A-2006-021, dated February 6, 2006 ("Agreement") by which Consultant agreed to prepare an Environmental Impact Report ("EIR") for the First and Fourth Streets Study Area. B. The parties desire to increase the Scope of Services and Compensation in order that Consultant respond to additional issues outside the original Scope of the Agreement, but part of the First and Fourth Streets Study Area EIR. WHEREFORE, in consideration of the mutual and respective covenants and promises contained in the Agreement, and subject to all of the terms and conditions of the Agreement, except those amended in this First Amendment to Consultant Agreement, City and Consultant agree as follows: Section 1, SCOPE OF SERVICES, shall be amended to include in the Environmental Impact Report and related studies, those services set forth in Exhibit A-1, attached hereto and incorporated by reference. 2. Paragraph 2.a., COMPENSATION, shall be amended to increase compensation by $122,927.00 for a total amount not to exceed $514,127.00, as set forth in Exhibit A-1. 3. Planning and Building Agency 20 Civic Center Plaza Santa Ana, California 92702 Subject: Metro East Mixed Use Overlay Zone EIR (EIP Project #10950-01) Budget Augment Request Dear Karen: This letter presents a request for a budget augment to cover the additional costs that will be/have been incurred by EIP Associates, a division of PBS&J, to perform the necessary environmental analysis and documentation, as they pertain to the Metro East Mixed Use Overlay Zone Environmental Impact Report (EIR). Currently, the Draft EIR is out for public review. Since the initial scope of work and budget were drafted, several items have occurred/will occur that have affected/will affect the cost of the EIR. It is important to note that the original EIR workplan proposed by EIP assumed a project that would be completed on a fixed schedule with minimal revisions to the technical analysis presented in the Administrative Draft EIR submitted for internal review. As such, the original proposed workplan and approved budget for the EIR reflected a straightforward and timely EIR process. Based upon several unforeseen developments, both to the project -level and program -level analyses, EIP staff have had/will have to conduct additional technical analyses and extensive coordination with City/applicant staff in order to produce the Draft EIR per the accelerated schedule requested by the City. There are three primary reasons for the additional analyses and extensive coordination required that were unforeseen at the time of productionof the onguial scope of work, including: • City comments/edits to both the NDC and Shea Homes development applications that resulted in additional revisions to both applications; • Withdrawal of Shea Homes from the project and FIR process; and, • Modifications of the districts and overall development pataimetets of the overlay zone. In addition, the original EIR workplan proposed by EIP did not assume the preparation of a water supply assessment (WSA) or health risk assessment. Both studies were determined to be necessary after the project began, and were subsequently included as part of the Draft EIR. It should be noted that the budget for the WSA assumed completion of the WSA that was originally funded by Shea Homes. Further, additional traffic analysis, conducted by Katz, Okitsu & Associates, was necessity due to changes to certain features of the overlay zone, including potential roadways, and the inability of the Orange County Transportation Authority (OCTA) to conduct the regional modeling. EIPis requesting that the City approve the additional proposed budget amounts detailed on the attached spreadsheet. The spreadsheet presents a breakdown of the budget and EIP labor hours associated with each requested budget augment item (budget augment items are presented in red text in the spreadsheet). Details of additional work (in excess of original budgeted labor hours) and out of scope work performed by EIP are also provided below for each requested budget augment line item. Page 1 EXHIBIT Al Page 2 Issue Details Project Due to changes to both the program and project descriptions, substantial revisions to the Initiation and existing descriptions had to be made. Project Description Project Due to changes to both the program and project descriptions, revisions to the existing Initiation and alternatives were made. Organization — Project Alternatives Project The approach to the ordinance for the overlay zone has been altered since the original scope was Initiation and prepared for this project. Per new direction from the City, it is desirable to incorporate a more Organization — fortn-based approach than previously drafted. Transitioning to a form -based approach required Establish the a substantial amount of additional technical graphic work as well as additional meetings with Framework staff to maintain a common understanding regarding the direction of the work effort. and Prepare the Recommended Mixed Use Overly Zone Initial Study Due to revisions to both the program and project descriptions, it was determined that and Notice of recirculation and revision of the IS/NOP was required. Pre aration Prepare Per a request from the City, the preparation of the EIR was accelerated. In order to meet the Administrative accelerated schedule, additional work was necessary and included, but was not limited to, Draft EIR— meetings with agencies (e.g. Tustin) and informational repositories to procure information in Accelerated advance of their desired schedule; additional coordination between City staff and EIP; and Schedule additional consistency checks. In addition, due to the changes outlined above to the general Additional approach of the Overlay Zone, small but necessary modifications to the environmental analyses Work that had already been completed were necessary. Prepare Per a request from the Orange County Sanitation District during the first NOP public review Administrative period, a sewer hydraulic study was prepared and reflected in the Draft EIR. Draft EIR — Utilities and Service S stems Project The EIR project schedule, in its current and final accelerated state, extends significantly beyond Management the timeline originally planned (primarily due to delays resulting from the withdrawal of Shea Homes, necessary modifications to the NDC project design, and modifications to the overlay zone). The schedule delay has resulted in EIP project management labor hours significantly in excess of those originally budgeted. In addition, due to EIP's increased involvement during the planning of the overlay zone as requested by the City, additional coordination and meetings between EIP, City, and applicant staff, have increased costs beyond those originally budgeted. Direct Cost EIP recirculated the IS/NOP for public review from September 5, 2006 to October 4, 2006. Budget Needed The original scope and - budget assumed production of only one IS/NOP. Page 2 Issue Details Health Risk Although it was discussed in the early stages of the project, the HRA budget was not approved Assessment or included within EIP's scope. Water Supply Initially, the WSA was to be funded by Shea Homes. However, since Shea Homes has Assessment withdrawn from the project, the WSA will need to be prepared by a subconsultant under EIP's existing contract. The budget requested reflects the completion of the WSA that was already started under Dudek's contract with Shea Homes. Additional The previous traffic analysis scope did not include the performance of additional modeling as a Traffic result of OCTA's inability to conduct the modeling themselves. Further, changes to the overlay Analysis zone (the inclusion of the potential roadways) have increased the amount of time and budget required to complete the traffic analysis. GRAND TOTAL Budget Augment Re uested: $122,927 I realize this budget augment request represents a substantial amount. However, I trust that when you review the details and explanations provided, you will agree that I have not overstated the additional work that EIP will have to do in order to keep the project moving forward and complete the necessary additional analysis. These amounts represent very conservative estimates of the extra time spent to resolve issues and complete tasks. It has been our pleasure to assist the City in moving this project forward.
