("Motorola") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement No. A 2002-038, dated April 1, 2002, (hereinafter "said Agreement", attached hereto as Exhibit A and incorporated by reference) by which Motorola has provided maintenance and repair service for City's police radio modems and vehicle radio network controller. B. The parties wish to renew said Agreement for an additional one-year period with the same terms and conditions as described therein. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions of said Agreement, as previously amended, the parties agree as follows: 1. Motorola and City agree to renew said Agreement for one year, beginning April 1, 2007 and ending March 31, 2008. 2. Motorola shall continue to perform those services and accept payment as set forth in said Agreement. The total sum to be expended under this Agreement shall not exceed $22,000.00 during the term of this Agreement. OnSite Infiashucttrre Response provides for on-site techrucian Response as detemtined by pre-defined severity levels set forth in Table C and Response times set forth in Table A-1 in order to Restore the System. Customer's System type determines which Exhibit is applicable (i.e. Exhibit A is for Smartt.one systems, Exhibit D is for SmaztNct systems). Equipment is serviced down to the component level at the Motorola System Support Center (SSC). At Motorola's discretion, select third party Ltfrastrtrcture rosy be sent to the original equipment manufacturer or thud party vendor for repair. If thixl pally Infiastructtue is no longer supported by the original equipment manufachuet, Motorola may replace Equipment with a comparableicort~ahble or like Equipment, when passible. When available, Motorola will provide Customer with as advanced field replacement unit(s) (hereinafter "FRU") in exchange for Custoater's malfunctiomirtg FRU (s). Non-stendazd configuretions and Customer- ' - modified units are excluded from this service. Malfunctioning FRiI (s) wil l be evaluated and repaired by Motorola's System Support Center (SSC) and returned to the SSC FRU inventory upon completion of repair. In casts svhcrc Advanced Replacement is not an option, such as when the Customer requires the exact serial number in order for Equipment to be returned, FRU maybe available on a rental or loaner basis. The terms and conditions of this Statement of W ork (SOW) are an integral part of the Motorola Service Agreement or other applicable Agreement to which it is attached and made a part thereof by this reference. If dtere aze any inconsistencies between the provisions of this SOW and the provisions of the Service or other applicable Agreement, the provisions of the Agreement shall prevail. .-. If the Customer template is not usable, a generic template utilizing the latest Radio Service Software (RSS) version for that Equiptttertt will be used. The Equipment e-ill require additional programming by the Cusromer to restore the original template. 2.3 Clean external hotuing ofthe Equipment. 2.4 Pey the outbound fieigbt charges for next day shipping. 2.5 Pay the inbound Height charges oNy if the Customer uses the Motorola designated delivery service. 2.6 Provide Qutoaxr will[ the Motorola repair request forth and inventory adjusmreat form 2.7 Process inventory adjustrrrent requests received by fax or email from Customer. If the request is reteived by email, Motorola will entail an acknowledgement to the sender. 2.8 If applicable, testify Customer of changes in Motorola designated inventory adjustrnent email address or fax number. 3.0 Customer has the following Respotrsibilities: 3.1 Utilize the Motorola designated delivery service program for inbound shipphtg. 3.2 Pay freight iasuranee charges fur declared values is excess of ~ 100 on inbound shipments. 3.3 Complete a Mutomla repair request form and submit it with each unit of Egoiptnent sent in for service. Mobile control heads or acttssory items sent is must reference the serial number of the Hain unit. 3,4 If desired, supply Mommla with a 3.5"backup diskette with the Software template or prvyerarmrting in order to assist in returning the Equipment tv original operating parameters. This step mutt be completed for Equipment that will not power up. If applicable, record the current tlashcode for each radio. 3.5 if Motorola mus! utilize ageneric template w Restore Equipment ro operating condition, Customer is responsible for an}' programming required to Restore Equipment to desired parameters. The Technical Support Operation is staffed with technologists who specialize in the diagoosis and resolution of system performance issues. Technical Support Service (i) shall not ir~lude soRareete upgrades that tnay be requred for issue n-solution; and (ii) is only available for those system types supported and approved by Technical Suppori Operations, and (ill) is not available to provide Customer training via the telephone. Technical Support is appllcable to the following system types: SmartZorx v2.0.3 and higher, StoartZonelOnrniLink, E911, Private Data v2.0.3 end higher, end SmartNet. The following equipment is not supported by Technical Support: Micor, DeskTrac Repeater Model #L35sum7000; MSF 5000 that are no[ part of a SmartZone system, NCY, and Darcom. Coordinate technical resolutions with agreed upon third party vendor(s), as needed. 2.7. Escalate support issues to Motorola egginearing and product groups, if necessary. 2.8. Provide a focal point for any Systemic issue and manage the Sysletaic issue to resolution. 2.9. Escalate the Case to the appropriate party upon expiration of a Response time. 2.10. Provide remote assistance, if needed to install an Enhancement Release provided pursuam to the Software Subscription Agreement. 2.11. Provide Configuration Change Support and Work Flow changes to Systems that have dial in capability. 3.0 Customer Las the following responsibilities: 3.i. Conrplcec and submit all required database and escalation procedure furrns to be entered and stored at the System Support Center prior [o Start Date. 3.2.
