INSUkANCE OiV Fitt WORK MAY PROCEED UNTIL iNSUkANCE EXPIRES S -- I -C'] CLERK Of COUNClI DA7E> ~~ PD ~.~) SECOND AMENDMENT TO CONSULTANT AGREEMENT A-2007-060 THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered into on March 19, 2007, by and between URS Corporation, a Nevada corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement # A-2006-243, dated September 5, 2006, (hereinafter "said Agreement") by which Consultant has agreed to conduct a Homeland Security Exercise and Evaluation Program, collectively "Exercises". B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services and Compensation to provide for additional exercises provided by Consultant. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Consultant Agreement, the parties agree as follows: Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall design, plan and conduct Exercises for the City of Santa Ana and The City of Anaheim, in accordance with Consultant's Proposal, attached to said Agreement as Exhibit A, and incorporated by reference. All services required hereunder shall conform in all respects to standards for such Exercises issued by the U.S. Department of Homeland Security. Consultant shall design and provide afull-scale exercise for evaluating and improving the Anaheim/Santa Ana Urban Area's response to a weapon of mass destruction incident, as set forth in Exhibit A-1, attached hereto and incorporated by this reference." 2. Section 2.a., "COMPENSATION" shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibits A and A-1. City shall reimburse the cost of the Consultant's Performance Bond, in an amount not to exceed $9,500.00. The r total sum to be expended under this Agreement shall not exceed $1,050,000 during the term of this Agreement." 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. MARX Vice President EXHIBIT A-1 STATEMENT OF THE REQUIREMENT The Anaheim/Santa Ana Urban Area has requested support in the design and development of the Golden Guardian 2007 full-scale exercise. The full-scale exercise is focused on evaluating and improving the Urban Area's response to a weapon of mass destruction terrorist attack. TYPES OF TASKS REQUESTED URS/EG&G will provide staff skilled in exercise design, development and execution to assist the Urban Area with their participation in Golden Guardian 2007. URS/EG&G support personnel will participate in planning meetings and assist the Urban Area with determining the objectives and the scope of the full-scale exercise. The URS/EG&G exercise team will produce and distribute materials necessary for the conduct of the exercise in accordance with paragraph three. In support of the exercise program, URS/EG&G will train, brief and coordinate exercise evaluators participating in the exercise. Moreover, URS/EG&G will provide exercise personnel to assist in the facilitation and control of the exercise, facilitate hot wash debriefs, collect and analyze feedback from the exercise evaluators and prepare the After Action Report (AAR). PROPOSED ACTION Golden Guardian Full-Scale Exercise. The Golden Guardian 2007 Full-Scale Exercise (FSE) will be a one-day, full-scale exercise designed to afford exercise participants the opportunity to deploy and employ response resources in the field, as well as, EOCs and DOCs. This exercise is expected to involve the deployment of response resources drawn from throughout the Urban Area to multiple locations. Exercise duration, actual number of participants and specific locations will be determined by the exercise design team, but will not exceed the number identified in TASKS without contract modification. TASKS URS/EG&G will perform/provide the following: • Coordinate, facilitate, and prepare materials for all planning meetings • Prepare and submit meeting minutes for all planning meetings • Design and produce 50 copies of the exercise plan (EXPLAN) • Design and produce 50 copies of the C/E Manual to include the master scenario events list • Design and produce 1,000 copies of the Player Handbook • Design and produce 1,000 exercise participant badges • Design and produce 200 observer handouts • Design and produce up to 15 signs to support exercise command and control • Provide assistance with the production of the post-exercise video (if requested) • Provide exercise controllers in sufficient numbers for all key exercise sites • Develop and produce all registration materials • Coordinate the identification of all exercise logistics • Recruit the necessary volunteers to serve as victims and coordinate all victim/volunteer activities in support of the exercise • Conduct controller, evaluator and simulations cell training • Demonstrate the ability to provide set dressing and special effects if requested • Conduct hot wash debriefs at all key exercise sites • Analyze the completed evaluation forms, participant evaluation forms and hot wash debrief comments to produce apost-exercise AAR • Prepare and submit to Anaheim and Santa Ana Police Departments a draft AAR with in 45 days of exercise completion. Final AAR will be delivered to both departments no later than 60 days after exercise completion without prior approval • Prepare five (5) hard copies and five (5) CD-RO copies of the AAR for both urban areas • All exercise development activities and deliverables must conform to the Department of Homeland Security Exercise and Evaluation Program standards. Vendors must demonstrate an understanding of HSEEP principles throughout their technical approach. ASSUMPTIONS Anaheim/Santa Ana Urban Area will be responsible for procuring items pertaining to exercise logistics (e.g. venue, port-a-potties, food, water, chairs (if required), etc.) The Urban Area will request special effects, set dressing and videography be provided for the exercise. The fixed price cost reflects the cost of those services URS/EG&G will provide all of the controllers for the exercises, and those controllers will be sourced from the Phoenix, San Diego and Santa Ana offices.
