Oi\TE: SEP 1 1 2.007 N-2007 -100 FIRST AMENDMENT TO MAINTENANCE & SUPPORT AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT, is entered into on March 12, 2007, by and between Tiberon, Inc, a wholly owned subsidiary of CompuDyne - Public Safety & Justice, Inc., a Virginia corporation (Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement A-2005-25I dated March 28, 2006, (hereinafter "said Agreement") by which Consultant has provided software licenses and maintenance and support for the City's Fire Department Response Management System. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Maintenance and Support for an additional one year term and to increase compensation to pay for support during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Consultant shall continue to provide maintenance and support for the covered applications as set forth in Exhibit A, attached hereto and incorporated by reference. Such support shall continue through March 14,2008. 2. City agrees to pay, and Consultant agrees to accept as total payment for services during the extended maintenance term, the rates and charges set forth in Exhibit A. The total to be expended for maintenance and support during the extended term shall not exceed $12,500.00. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II - ... Capitalized terms used herein shall have the definitions set forth in the Agreement, unless otherwise defined herein. In the event of conflict between the terms and conditions set forth herein and those set forth in the Agreement, the terms and conditions set forth in the Agreement shall prevail.
