A\l'V\Q ~l()~ THIS AGREEMENT, made and entered into this 1 st day of November, 2007 by and between Verches Associates (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). N-2007 -125 CONSULTANT AGREEMENT RECIT ALS A. The City desires to retain a consultant having special skill and knowledge in the field of public information and outreach. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration ofthe mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall assist the City in its public information program regarding the residential street improvement, by providing strategic outreach and media relations services as set forth in Exhibit A to this Agreement. 2. DELIVERY OF WORK PRODUCT Consultant shall deliver to City any work product which results from the services provided. Said work product shall be submitted in hard copy and produced in a form compatible with City's computer system, as agreed between the Project Manager and Consultant. In regard to copyrightable material produced as a deliverable under this Agreement, including but not limited to books, reports, plans, photographs, drawings, films, recordings, videotapes, and computer programs, Consultant agrees, for itself and its affected officers, employees, agents, contractors, and volunteer workers, that (a) other such material may not be copyrighted without prior review from the City, and (b) the authors of all such material, whether copyrighted or not, award to the City, and to its officers, agents and employees acting within the scope of their official duties, as a condition of payment to the Consultant, a royalty-free, nonexclusive, irrevocable license throughout the world for governmental purposes to disclose, publish, translate, reproduce, and use such materials. City agrees to pay, and Consultant agrees to accept as total payment for its services, a flat fee of $2500.00. The total sum to be expended under this Agreement shall not exceed $25,000 during the term of this Agreement. b. Payment by City shall be made within thirty (30) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. 4. TERM This Agreement shall commence on the date first written above and terminate on June 30, 2008, unless terminated earlier in accordance with Section 132, below. The term of this Agreement may be extended upon a writing executed by the City Manager and the City Attorney. 5. INDEPENDENT CONTRACTOR Consultant shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an emp]oyer~employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Consultant performs the services which are the subject matter of this Agreement; however, the services to be provided by Consultant shall he provided in a manner consistent with all applicable standards and regulations governing such services. Consultant shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. INSURANCE Prior to undertaking performance of work under this Agreement, Consultant shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Due to the nature of services provided, Commercial General Liability Insurance is not required. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non-owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the 2 performance of the work under this Agreement, Consultant agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. 7. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. 8. CONFIDENTIALITY If Consultant receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Consultant agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent ofthe other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful possession of the Consultant without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Consultant without reference to information disclosed by the City. 9. CONFLICT OF INTEREST CLAUSE Consultant covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 3 10. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M-30) P.O. Thereafter, all communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 4 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Consultant, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Consultant. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Consultant, Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other consultants retained by City. 13. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant compensation for all services performed by Consultant prior to receipt of such notice of tennination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Consultant to deliver to the City all work product completed as of such date, and in such case such work product shall be the property ofthe City unless prohibited by law, and Consultant consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals ofthis Agreement. 14. DISCRIMINATION Consultant shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Consultant affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 5 15. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 16. PROFESSIONAL LICENSES Consultant shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Consultant shall notify the City immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 17. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each ofthe terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. Santa Ana will spend approximately $100 million, over five years, to repair and improve the condition of over thirty miles of residential streets citywide. The process will help protect the streets that are in good condition and improve the condition of streets that are deteriorating. As a part of this project, the City of Santa Ana will develop and implement a comprehensive citywide public information program to inform the community about the nature of the work and its work schedule. Executive Summary Verches Associates proposes to augment the City of Santa Ana's public information program for this project by providing strategic outreach and media relations to not only furnish information about the project, but to acknowledge Santa Ana's effort to beautify its city, enhance its image, and improve the quality of life in the community-at-large. Based in Santa Ana, Verches Associates has an extensive relationship with many of the key stakeholders in the city. These stakeholders are not only an asset to the city but can have value-added in their support of this project and other projects and programs in the city. While the city may have similar relationships with many of the same stakeholders, taking advantage of both relationships only helps to maximize the opportunity to secure support and recognition from key stakeholders. EXHIBIT A - Scope of Work Verches Associates, working with the City of Santa Ana, shall develop and implement a fluid strategic outreach and communications plan related to the project. The plan will not only provide on-going information about the project, but will also incorporate key messaging that amplifies the city's efforts to strengthen its positive image and improve the relationship with its businesses, residents, and visitors. The outreach effort will primarily target those ethnic media outlets, key individuals, business groups, community-based organizations, and others that can help to maximize Santa Ana's positive branding and credibility relative to its extraordinary efforts in improving the quality of life in the city. Verches Associates can also provide critical field intelligence as it relates to identifying any specific issues and concerns brewing in the community, and advising the city as to the level of sensitivity required in responding to the same. 1. Media Outlets Because of the ethnic and cultural diversity in Santa Ana, ethnic media is very important in reaching the Latino, Vietnamese, and Cambodian communities and are read extensively. The ethnic media outlets, including five Spanish language newspapers; and one Vietnamese newspaper, can serve both as an information tool regarding project information and can serve as an advocate through the placement of key stories and other correspondence. Verches Associates has worked extensively with the ethnic media in reaching the immigrant community and consider the ethnic media outlets that serve the Santa Ana communities as a key component of the outreach plan and a critical resource within the community. · The Excelsior is a "daily" and is the most widely read of the local Spanish language newspapers. The placement of key correspondence in Excelsior can help to offset the criticism often received from its parent publication, The Orange County Register. Julio Saenz is the new editor. Ron Gonzalez has been promoted as re-assigned, but still maintains a presence in OC. · Miniondas, Remores, and Union Hispana are the three other local Spanish language newspapers serving the Latino community of Santa Ana. These are "weeklies" and have good local readership. Just as important is the fact they are always looking for content and are an easy feed for stories and inexpensive ads. Verches Associates has worked with all of these newspapers before and has a working relationship with their editors and writers. · La Opinion is the largest "daily" Spanish language newspaper in the country. They are widely circulated in Santa Ana but have not found a strong readership compare to Excelsior and the other local newspapers. They do not have an Orange County office or assignment desk, but from a regional perspective, can serve as a strong advocate from the editorial side and have an impact on local Latino stakeholders and elected officials. · The Nguoi Viet News is extensively read and is a "must" in outreaching to the city's Vietnamese community. The N guoi Viet News can be utilized to distribute information, for the placement of stories, and to buy inexpensive ad space. Verches Associates has worked with its editor and the staff in developing content and ad placement. 2. Other individuals or groups of individuals that serve as key stakeholders or represent key stakeholder agencies, businesses, or organizations in Santa Ana and the surrounding area. There are a substantial number of key individuals and organizations that possess a sphere of influence in the City of Santa Ana. The city may already have a strong relationship with many of these key stakeholders but the additional relationship with Verches Associates can be of substantial benefit given the impacts of the project and the value added that needs to be achieved; -Communications and consensus building channeled through existing - relationships often tend to flow more efficiently and expediently. Those identified in this section are significant but only a partial list of key stakeholders that can be directly accessed should there be a problem, issue, or concern that needs immediate attention. · County of Orange PublicW orks Agency Verches Associates has worked with Ignacio Ochoa, Director of Public Works and his office on other projects in the county. Mr. Ochoa and his office can he of great benefit to the project should there be issues related to other public works projects or related work in the area. · Orange County Transportation Authority (OCTA) The Santa Ana street improvement project is focused on the residential streets in Santa Ana, but it may have some impact on bus routes and other commuter services. Mr. Paul Taylor, deputy CEO, served as a transportation consultant prior to working for OCT A, and worked with Verches Associates on a number of transportation projects throughout Southern California. Mr. Taylor and OCTA could lend strong support to the project and be of significant assistance should there be an issue concerning their system or rider-ship. · Orange County Business Council (OCBC) OCBC serves as the advocate for corporate business in Orange County. Verches Associates served as a consultant to OCBC and has a very strong relationship with Lucy Dunn, other key staff, and equally important, many of its key board members including Dan Miller, Chairman of the OCBC Board and the Irvine Company, Peter Villegas with Washington Mutual, Tom Phelps with Manatt Phelps" and Ron di Luigi and Chris Leo with St Joseph's Hospital Systems. · The Santa Ana Chamber of Commerce The Santa Ana Chamber of Commerce represents business interests-at-large in Santa Ana and plays a major role in a number of community projects and activities throughout the city. Verches Associates has a strong relationship with Mr. Porras, the current chair, the chamber staff, and many of its current and past executive board members. The Chamber can serve asa conduit for information and is a formidable ally on city related issues, · Hispanic Chamber of Orange County (HCOC) HCOC represents over 500 small and large Hispanic businesses in Orange County and especially Santa Ana. V erches Associates has a strong and active TOle with the Chamber and many of its board members including 'the current chair, Reuben Franco. Many of the board members also serve on other organizations in Santa Ana and are key links into the community. · Santa Ana Rotary Club The Santa Ana Rotary is one of the oldest and most active civic organizations in Santa Ana. Verches Associates has been involved in a number of Rotary activities focused on the under- served neighborhoods of the city. Wayne Olmstead and the Rotary Club's continued activism through the cities underserved communities serve as a strong influence in these communities. · Los Amigos and L ULAC of Orange County Los Amigos and LULAC are the oldest local Latino advocacy groups in the county and are very involved in the central Orange County area including Santa Ana. Many of the board members, including Amin David, are longtime community activists and have deep roots in Santa Ana's Latino neighborhoods. Verches Associates often consults with Los Amigos and LULAC and has a very strong relationship with both organizations and many of its members. · Vietnamese Community of Orange County (VCOC). Mai Dong's organization is based in Santa Ana and is one of the largest community based organizations serving the Vietnamese community in Orange County. Verches Associates has worked with VCOC in the past as an outreach channel into the Vietnamese community and as an advocate on other issues. The Vietnamese community continues to grow in size and stature in Santa Ana and the VCOC has strong influence in its community. · The Cambodian Family Center (CFC) The CFC serves the Cambodian community in Santa Ana similar to the VCOC and Vietnamese community. It also serves the neighboring Latino immigrant community. Because the Cambodian community does not have a local media outlet, CFC is an important link in reaching out to this community. Verches Associates currently serves as a consultant (pro bono) to Rifka Hirsch and the CFC. · Rancho Santiago Community College District (RSCCD) Santa Ana College, one of two RSCCD campuses, is fully integrated into the . Santa Ana community and serves as necessary community resource. Many of the SAC students and staff live' and work.,.jn Santa Ana,- .and use Santa Ana's community facilities. '. Verches Associates isa consultant to RSCCD and works extensively with the Dr. Hernandez and the Chancellor's office on government relations, public affairs, and community relations matters. Verches Associates also serves on a number of community organizations that include many of the RSCCD board members. This is a "must" resource for outreach and advocacy on Santa Ana related projects. · Santa Ana Unified School District (SAUSD). As the fifth largest school district in the state with over 55,000 students, SAUSD is fully integrated into the lives of the families living in Santa Ana. SAUSD serves as an important link for any neighborhood project or activity. As an example, the immigrant Cambodian community has no local media outlet but most families have a number of children. Using the district to distribute information would be a distinct advantage in outreaching into this community. Verches Associates has worked with the Superintendent's office in the past and currently serves on two other Santa Ana based community organizations with SAUSD board members. 3. Local, state, and federal elected officials that represent all or a majority of Santa Ana. Close interaction with, and support from key elected officials and their staff can prove very useful as a source of outreach regarding the project, when there are issues and concerns, or there's a need for consensus building. Each office has a full line of communications tools including a website and newsletter that can be utilized to communicate information on a regular basis about the project. Verches Associates' strong relationship with these elected officials and key members of their staff only improves the ability to gain swift access and/or response as required or necessary. Verches Associates proposes to meet or communicate with elected officials on at least a monthly basis and as often as necessary to provide information and updates on the project. · Office of U.S. Representative Loretta Sanchez Direct communications with Congresswoman Sanchez or Raul Luna, her district director · Office of California State Senator Lou Correa Direct communications with Senator Correa or Tammy Tran, his district director Office of California State Assembly Member Jose Solorio or Juan Flores, his district director · Office of Orange County Supervisor Janet Nguyen or Andrew Do, her chief-of-staff, or Monica Banken, deputy chief-of-staff Compensation Verches Associates proposes to provide the consulting services specified above for a period of six consecutive months, beginning September 2007, for a monthly fee of $2500.00 per month. Said fee shall include all labor in accordance with the scope of work and all direct costs related to the same. No additional costs shall be incurred unless expressly approved, in advance, by the City of Santa Ana. The scope of work and work plan shall be divided accordingly, maximizing efficiency and the benefit for the City of Santa Ana. Verches Associates shall meet regularly with the City of Santa Ana to receive updated information on the project and review the outreach program. Verches Associates shall submit a monthly report summarizing it activity and meetings for the month along with its invoice.
