RECITALS: A. The parties entered into Agreement # N-2007-107, dated August 15, 2007, (hereinafter "said Agreement") by which Consultant has provided structural engineering services related to parking garages. B. In accordance with the terms and conditions of said Agreement, the parties wish to expand the Scope of Services to provide for civil engineering, architectural and landscaping services required to prepare contract documents, and to increase the compensation to pay for the additional services. WHEREFORE, in consideration ofthe covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall perform civil engineering, architectural and landscaping services to prepare contract documents, including plans, specifications and cost estimates, for various Public Works projects, on an as-needed basis. The Executive Director of Public Works, (hereinafter "the Executive Director"), or his designee, will request a Scope of Work and Fee Proposal for each project. Consultant will submit a Proposal, which the Executive Director may accept, amend with the consent of Consultant, or decline. Consultant may commence work upon receipt of a written authorization executed by the Executive Director or his designee. The structural assessment and recommendations for repair of the parking garage located at 300 E. Fifth Street shall be included within the Scope of Services." 2. Section 3.a., COMPENSATION, shall be amended to increase compensation by $10,000.00 for a total not to exceed amount of $17,000.00. Said section shall read as follows: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A-1, attached hereto and incorporated by this reference, as more specifically set forth in each Project Proposal submitted by Consultant. City agrees to pay, and Consultant agrees to accept as total payment for its services related to the Fifth Street parking garage, a flat fee of $7,000.00, which shall include all services and costs. The total sum to be expended under this Agreement shall not exceed $17,000.00 during the term of this Agreement." 3. Section 4, TERM, shall be amended to extend the termination date to the date that allocated funds have been expended. 4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
