HomeMy WebLinkAboutCOMMUNITY REDEVELOPMENT AGENCY (43)EJC: adg 10/8/79 AGREEMENT BETWEEN THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA AND THE CITY OF SANTA ANA FOR EXCHANGE OF PROPERTY THIS AGREEMENT, made and entered into this 15+k day of 1979, by and between the Community Redevelopment Agency of the City of Santa Ana, a public body, corporate and politic, hereinafter referred to as "Agency," and the City of Santa Ana, a municipal corporation of the State of California, hereinafter referred to as "City," Recitals : W I T N E S S E T H A. Agency owns an approximate seventeen thousand eight hundred fifty (17,850)sq. ft. parcel of unimproved real property generally located on the northwest corner of Third Street and Birch Street, Santa Ana, more particularly described in "Exhibit A," attached hereto and incorporated herein by reference, which it desires to exchange for real property hereinafter described owned by City in order to effectuate that certain agreement between Agency and Steven J. Keiser and Paula B. Keiser, dated January 15, 1979, entitled "Participation Agreement," as amended by the "First Amendment to Participation Agreement," dated September 17, 1979, for the development of property therein described. B. City owns an approximate twenty-one thousand eight hundred and eighty-one (21,881) sq. ft. parcel of improved real property generally located on the northeast corner of Third Street and Ross Street, Santa Ana, more particularly described in "Exhibit B," attached hereto and incorporated herein by reference, which it desires to exchange for the above described property owned by Agency on the terms and conditions hereinafter stated. C. In conjunction with the hereinabove referenced exchange of property, Agency desires to install parking lot improvements on the real property described in "Exhibit A" and on an approximate eight thousand nine hundred twenty-five (8,925) sq. f t. parcel of property presently owned by City described in "Exhibit C," attached hereto and incorporated herein by reference. WHEREFORE, in consideration of their mutual covenants and agreements hereinafter contained and made, and subject to the terms and conditions hereof, the parties hereto do hereby agree as follows: 1. Agency agrees to convey, by good and sufficient grant deed, and City agrees to accept that certain real property located in the City of Santa Ana, County of Orange, State of California, hereinafter referred to as "Parcel A," more fully described in said "Exhibit A," and City agrees to convey, by good and sufficient grant deed, and Agency agrees to accept that certain real property located in the City of Santa Ana, County of Orange, State of California, hereinafter referred to as "Parcel B," more fully described in said "Exhibit B," such conveyances to be for and in consideration of each other and on the terms and conditions set forth herein. 2. Agency agrees at its sole cost and expense to construct or cause to be constructed in accordance with the technical specifications, standards and practices of City, parking lot improvement on Parcel A more fully described in said "Exhibit A," and on that certain real property adjacent to Parcel A presently owned by City and more fully described in said "Exhibit C." It is estimated by the parties that said construction shall cost approximately fifty-five thousand dollars ($55,000.00), and it is.agreed that it shall be completed on or before August 31, 1980. 'I'l-M COMMU- N I'l " 7Y REDEVE.T..,OPMZ1qT AGENCY OF THE CITY OF SANTA ANA AND THE CITY OF SANTA ANA FOR FXCHANGE OF PROPERTY". BACKGROUND: ,i,he Redevelopment Agency and City Council, at their meetings of January 15, 1979, approved an Owner Participation Agreement with Steven J. and Paula B, Keiser for the development of property fronting on Fourth Street for a dis- tance of 275 feet easterly from Ross Street and for a parking area fronting Third Street for a distance of 150 feet easterly from Ross Street. In order to provide the parking portion of the sales parcel, which is cur- rently owned by the City and utilized for senior citizen parking, the Agency agreed to acquire privately owned property at the northwest corner of Third and Birch and improve it to City parking lot standards for exchange with the City,, I7-1he Redevelopment Agency and City Council., at their meetings of September 17, 1979 amended the Owner Participation Agreement with Dr. Keiser to provide [or the sale of approximately 6,000 additional square feet for parking purposes. The Agency has acquired the necessary exchange property, and will iTT-1prove it to City parking lot standards prior to August 31, 1980. In addition, as part of this project, the Agency will improve an additional 8,925 square feet owned by the City which will complete the improvement of tile entire parking area between Ross and Birch Streets. An agreement covering this exact terms and conditions of the exchange has been prepared by the City Attorney and is brought to you for approval. The agree- ment will also be presented to the Redevelopment Agency at its meeting of October 15, 1979 for a similar action. VIM
