("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under Constitution and laws of the Stat of California ("City"). N-2007 -068-01 - RECIT ALS: A. The parties entered into Consultant Agreement N-2007-068 dated May 31, 2007, (hereinafter "said Agreement") by which Consultant has provided organizational development and teambuilding services for the City Attorney's Office. B. Due to a continued need for Consultant's services, the parties wish to amend the Scope of Services, extend the term and increase compensation to pay for additional services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Amendment to Agreement, the parties agree as follows: I. Section 1, SCOPE OF SERVICES, shall be amended to allow Consultant to provide additional teambuilding services for the Santa Ana City Attorney's Oflice following the process set forth in Exhibit A to said Agreement. Said services shall be provided based on a written Proposal, approved in writing by the City Attorney_ 2_ Section 2, COMPENSATION, shall be deleted in its entirety and replaced with the following: "a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges as agreed at the time City accepts Consultant's Proposal( s). The total sum to be expended under this Agreement shall not exceed $25,000.00 during the term of this Agreement. b. Payment by City shall be made as set forth in each Proposal accepted by City. 3. Section 3, TERM, shall be amended to extend the termination date to December 3 I, 2009. 4. Except as herein amended, all terms and conditions of said Agreement shall remain in full force and effect.
