FIRST AMENDMENT TO
FEE AGREEMENT
THIS FIRST AMENDMENT TO FEE AGREEMENT, is entered into on May 29,
2008, by and between JAMS Orange Resolution Center ("JAMS") and the City of Santa
Ana, a charter city and municipal corporation of the State of California {"City").

RECITALS:
A. The parties entered into Agreement # N-2008-037, dated Apri17, 2008, (hereinafter
"said Agreemenf~ by which JAMS has provided neutral evaluation hearing officer
services for the City.
B. Due to a lengthier than expected hearing, the fees for services provided exceed that
approved by the City.
C. The City desires to increase Compensation to pay the increased fees.
WHEREFORE, in consideration ofthe covenarrts contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
First Amendment to Agreement, the parties agree as follows:
1. Total Fees shall be amended to increase the total fee available for neutral evaluation
services to an amount not to exceed $5,000,00.
2. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WFIEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.

The above referenced matter has been submitted for neutral evaluation with Hon. Jack
Mandel (Ret.). It is my understanding that the parties have agreed upon a hearing date of
Mav 14. 2008 at 10:00 AM for 2 hours in our JAMS Orange Resolution Center Resolution
Center.
JAMS requires the attorneys to sign and return the following fee agreement in order to
confirm the terms in the agreement as well as details listed above. Upon receipt of all
agreements I will forward hearing notices, briefing instructions and invoices to all parties.
I understand the fees will be 100% to the City of Santa Ana.
The fees are as follows:
Hearing fee:
$500lhr. x 2 = $1,000 (total)
Reading & Prep:
$500lhour-2 hours Retainer = $1,000 (tolal)
estimate for potential reading,
hearing overrun and
assessment of CMF
Case Management Fee = $550 (total)
$275 per party [Non-refundable)
initial and reassessed;

Scale. 10% for over 30 hours
TOTAL FEES = $2550 (total)
