RECITALS: A. The parties entered into Agreement A-2007-159, dated June 18, 2007, (hereinafter "said Agreement") by which Consultant has provided environmental consulting services. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Agreement and amend the Fee Schedule to reflect increased fees during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, is amended to replace Exhibit A, with Exhibit A- 1, attached hereto and incorporated to said Agreement by this reference. 2. Section 3.a., COMPENSATION, shall be amended to replace the Fee Schedule attached to said Agreement as Exhibit B, with a new Fee Schedule attached hereto as Exhibit B-1 and incorporated to said Agreement by this reference. 3. Section 3, TERM, shall be amended to extend the termination date to June 30, 2009. 4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. The City's scope of work may include any and all work efforts related to analysis of a proposed project for compliance with CEQA and NEPA guidelines. KOA Corporation (KOA) is proposing to provide consulting services for the line item "TRAFFIC STUDY." KOA is highly qualified to provide the required services. Mr. Rock Miller manages our firm's Orange County Office. Mr. Miller served as the City Traffic Engineer for the City of Costa Mesa for over eight years, and he has gained an additional 18 years of experience in traffic engineering consulting since leaving that City. Additional planning staff, including Min Zhou, P.E., Ronn Knox, and Joel Falter has combined experience of over 55 years for municipal experience in our firm also adds to our general knowledge. The firm specializes in transportation planning, traffic engineering, street and roadway design. We are a regional firm, based in and work primarily in the State of California. Our project experience ranges from pedestrian safety analysis, bikeway planning/design, project impact traffic studies, to the design of on- and off -site facilities including freeway interchanges, traffic signals and access roads. KOA maintains a fully developed CAD capability for both AutoCAD and MicroStation. Our professional planning and engineering staff members are available to provide the City of Santa Ana with the following professional services. KOA CORPORATION PLANNING & ENGINEERING 6 I n L_.l 7 j a r STATEMENT OF QUALIFICATIONS TO THE CITY OF SANTA ANA FOR ENVIRONMENTAL CONSULTANTS -TRAFFIC STUDY KOA has analyzed traffic circulation patterns and parking demand as part of the environmental review process, and analyzed parking lot design as part of the preliminary and final design process. Our clients in this area are made up of private developers, educational and medical institutions, and City governments. KOA is familiar with the standard requirements of traffic impact report preparation and environmental analysis. We are capable of preparing an independent review or serving as support to an environmental firm on an initial report. We have also prepared parking lot demand studies, and lighting and signing and striping plans. TRAFFIC FORECASTING Government agencies and private owners are often required to forecast the numbers and driving habits of drivers on area streets and highways. This information is used to update signal, road, and signing and striping design as well as aid in the development of policy and growth management plans. KOA routinely provides forecasts for a variety of clients. Using the latest software equipment and traffic forecasting techniques, our engineering staff can predict and provide analysis and mitigation measures for future utilization. TRAFFIC ENGINEERING DESIGN KOA is well known for applying the specialized attention needed for proper traffic signal and lighting design. Our emphasis is to collect accurate "as -built" information, by means of meticulous field investigations. The principals of the firm- have been responsible for the design of over 2500 intersections in Southern California. Our firm sends experienced field personnel to the job site to do an inventory of existing signal equipment, existing geometric roadway information, location of above -ground and subterranean utilities, location of possible electrical service points, and location of existing or proposed traffic signal interconnect. Past traffic signal designs have conformed to the standards used by most Southern California regulatory agencies and city and regional governments. KOA has prepared signing and striping plans for all types of highways, ranging from rural roads to freeways. Our staff conducts extensive field investigations and gathers "as -built" information prior to any signing and striping design work. We then review the traffic study for the project, if available, to determine the appropriate lane configuration, reassessing the lane requirements as needed. A registered civil or traffic engineer checks final plans, specifications, and estimates before being submitted to the agency or client. Our firm has been a frontrunner in performing signing and striping design using AutoCAD (Computer Aided Design). Our customized CAD menus are compatible with agency requirements such as those set by Caltrans. Study Orientation and Scope Refinement , KOA senior staff would meet with City staff to discuss the project, the proposed method of analysis, and other relevant considerations. We will verify our approach and any additional specific study requirements prior to any data collection. We will discuss potential traffic issues with the City's personnel to identify any additional concerns and recommendations. Data Collection & Field Review Morning (7-9 am) and Evening (4-6 pm) peak period intersection turning movement counts would be collected for all intersections meeting the criteria as determined in "Study Orientation and Scope Refinement" task. If necessary, 24-hour traffic counts will be obtained at potentially impacted street segment locations throughout the project vicinity. A traffic count specialist will conduct the counts. These counts would be billed on a time -plus -expenses basis. KOA will review the location and intersections in the field to observe and inventory roadway geometrics, existing traffic operation, and relevant information during peak hours. Conclusions The following terms define elements of the work approaches: I Existing Conditions Existing traffic conditions include establishing the circulation characteristics within the study area including mid -block lane configuration, intersection geometry/controls and pedestrian, bicycle, parking and transit facilities. The study area shall include all the streets and intersections. KOA will obtain and review recently completed traffic impact studies and other pertinent information for projects in the areas surrounding the Project. Mid -Block Locations Analysis All mid -block segments associated with the intersections listed in Task 2 shall be included in the analysis. Cumulative Project Analyses Traffic analyses include traffic forecasts for foreseeable cumulative projects plus ambient traffic growth. The cumulative projects list will be developed by the City of Santa Ana Planning & Building Agency (PBA). KOA will generate project traffic and cumulative project traffic using ITE trip generation rate. Trip tables will be reviewed by the Public Works Agency (PWA) prior to the subsequent stages of the analysis. The trips will then be distributed and assigned to the circulation network. Ultimate Project Build -Out Scenario Ultimate project build -out assumes full build -out of the Project. The latest version of OCTAM will be used to generate, distribute and assign traffic. Traffic impact Analysis Traffic Impact Analyses include the calculation of Level of Service (LOS) for each of the study road segments, intersections, and ramp locations. The road segment LOS will be determined using the methodology presented in the County CMP. The LOS for signalized intersections at Caltrans ramps will be based on the Highway Capacity Manual (HCM) methodology. The LOS for unsignalized intersections will be based on the HCM methodology. LOS for local streets will be based upon an ADT/speed methodology approved by the City. Project -related traffic impacts based on a comparison of the results of LOS analyses between the applicable scenarios listed above will be identified. Project impacts will be based on City standards and will be identified based on the various project phases and the full build -out scenario. KOA CORPORATION PLANNING & ENGINEERING 14 STATEMENT OF QUALIFICATIONS TO THE CITY OF SANTA ANA FOR _ ENVIRONMENTAL CONSULTANTS -TRAFFIC STUDY Mitigation Measures As appropriate, mitigations measures designed to reduce potential circulation impacts to acceptable levels will be identified. Evaluation of potential mitigation measures and an analysis of their effectiveness will be provided. The mitigation measures section should include potential impact on adjacent properties; schematic drawings illustrating said impacts and the possibility of property takes, if applicable. If necessary, KOA can develop and provide conceptual mitigation measures through restriping, signal modifications, or turning lanes. Any mitigation measure will include a discussion regarding feasibility of the implementation of said measures including potential right-of-way acquisition, parking prohibition/restriction, specific movement restrictions, and cost estimate of said measures. Mitigation measures will be shown on a scale graphical drawing. It is expected that the City of Santa Ana would not need full-scale drawings, but would need conceptual figures in sufficient detail to relay visual looks to the reader to understand the exact nature of the mitigation measure (i.e. drawn on an aerial photo). If mitigation requiring physical road construction at any location is required, field surveys and site -specific civil engineering feasibility studies will be required. These may be prepared by KOA or others and are excluded from our scope of services. 91 Specific Analysis Specific analyses section shall provide appropriate mitigation measures for the following issues: • General project access assessment • Geometric configuration/striping • On Street parking impacts • Truck access, if applicable • Neighborhood impacts • Pedestrians accessibility • Signal warrants analysis, if needed (all applicable warrants shall be considered) •1 ! Location of entry gates and emergency vehicle access points General Issues General issues for implementation throughout the study include: • The final number of intersections and segments will be determined based on sensitivity analysis. • The traffic study should include the provision of conceptual layout plans for proposed improvements / mitigations. This is essential to validate the feasibility of implementing improvements. • Determination of whether streets within site will be private or will be designed to City of Santa Ana Standards for street design. • The study should include locations of possible signals or signal modifications. • Specific assessment of project access shall be prepared. KOA CORPORATION PLANNING & ENGINEERING 15 STATEMENT OF QUALIFICATIONS -_ TO THE CITY OF SANTA ANA FOR .i ENVIRONMENTAL CONSULTANTS -TRAFFIC STUDY • Specific traffic assessment must be conducted to address the impact on adjacent residential streets and neighborhoods (if necessary). • The traffic analysis will assess traffic conditions and the ramifications of adding traffic from the project �1 as well as other conflicting volumes. Submittal and Review of Report The traffic study will be submitted to the EIR Consultant for review and forwarding to the City. Up to three bound copies and one unbound copy of the study will be furnished on each submittal. Additional copies can be furnished at our expense of reproductions. Any proper or reasonable revisions will be incorporated into the traffic study in order to be fully responsive to the Scope of Services. Reasonable revisions include any corrections to the report within the general scope of work, but exclude any traffic data collection or analysis at any locations except as specified d� in our proposal. ®� Project Support (BILLED ON A TIME -AND -MATERIAL BASIS NOT -TO -EXCEED) ll KOA will furnish the following additional services: �I • Estimates of project related traffic and daily traffic increases will be made available as soon as possible. This will facilitate Air Quality and Noise Analysis. Ill • We will assist as required to incorporate our report into the EIR. ®l • We will assist in addressing EIR comments that relate to traffic and circulation issues, following circulation of the screen check or the draft EIR. However, if the number of comments is excessive and/or additional analysis is required, additional compensation may be required beyond the amount �l indicated. • KOA will be available to responsible parties to discuss traffic aspects of the project from our offices, as needed throughout the project. Exclusions These exclusions describe the situations that most frequently result in the need for extra work and additional compensation. • Attendance at meetings is billed up to $225 per hour for a Firm Principal, with a four-hour minimum for night meetings. it• Excluded are any costs or fees charged by any public agency(or private entity) for providing traffic �J modeling services, additional, or new traffic model runs by any Agency. • KOA reserves the right to request extra work fees if the Agency comments exceed the original scope of services and/or what is reasonable. Unreasonable comments, include (but are not limited to) any �1 traffic data collection, analysis, or surveys at any locations except as specified in our proposal, added meetings, excessive surveys and qualifications of said surveys, gratuitous delays in processing study or report, and unwillingness to work with Consultant in reaching a consensus of comments.
