Perks ReC _ (;)-) ca y THIS THIRD AMENDMENT TO AGREEMENT is made and entered into this 291 day of May, 2008 by and between the City of Santa Ana, a charter city and municipal corporation of the State of California ("City") and RAYMUNDO SUAREZ ( "Consultant "). RECITALS: 1. City and Consultant entered into Agreement N- 2005 -101, dated June 1, 2005, (hereinafter "said Agreement ") by which Consultant has instructed self defense classes through the City's leisure class program. 2. In accordance with the terms and conditions of said Agreement, the parties wish to renew the said Agreement for an additional one -year period. WHEREFORE, in consideration of the mutual and respective covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, City and Consultant agree as follows: Section 1, SCOPE OF SERVICES, shall be amended to reference a new Exhibit A -1, attached hereto, and incorporated by reference to said Agreement. 2. Section 2, COMPENSATION, shall be amended to increase compensation by $10,000 to pay for services provided during the term commencing July 1, 2008. 3. Section 3, TERM, shall be amended to extend the term of said Agreement through June 30, 2009. 4. RE City Manager CONSULTANT EXHIBIT A -1 SCOPE OF SERVICES Consultant will prepare and instruct students in martial arts techniques with an emphasis on Judo - Jujitsu, for children and adults, 6 and older, as follows: • Each monthly session will consist of two weekly two -hour classes at which Consultant shall instruct using accepted safe and healthy techniques. Participants will learn basic hand/eye coordination movements and martial arts skills in mock attack situations, including how to fall properly, basic constricting techniques and defense against staged punches and kicks from a mock attacker. • The classes will be held at Jerome Recreation Center at a date and time to be agreed between Consultant and City. Consultant may, with the approval of City, adjust the schedule, based on the availability of rooms in the City's facilities. • Consultant shall, with the approval of City, determine which holidays will be observed. • Each class shall have a minimum of 5 and a maximum of 30, registered and paid participants. • If the minimum registration has not been reached by the first class, the class may be cancelled by mutual agreement of Consultant and City, with no compensation owed Consultant for any cancelled class session. FEES • Each participant shall pay a registration fee of $10.00 per month. • No refunds will be made to participants after the first class unless the class is cancelled by the Parks, Recreation and Community Services Agency. • City shall collect registration fees from each participant. Consultant shall refer interested students to City for registration. • Consultant shall receive seventy percent (70 %) of total fees collected for the classes within fifteen (15) working days after completion of each class session. City shall retain thirty percent (30 %) of the fees collected. • Consultant agrees that City shall be entitled to audit Consultant's records and classes to ensure compliance with this Agreement and that all participants are registered. • Consultant may not waive class participation /registration fees. • City shall prepare class rosters and provide a copy to Consultant.
