Za 2t'~ THIS FIRST AMENDMENT TO AGREEMENT is entered into on December 29, 2008,
` ` by and between Public Financial Management, a Pennsylvania corporation {"Consultant")
~` ~ ,J ~ , and the City of Santa Ana, a charter city and municipal corporation organized and existing under
uG~U •Q the Constitution and laws of the State of California ("City").
RECITALS:
A. The parties entered into that certain Agreement N-2008-126, dated May 2Q, 2008,
(hereinafter "said Agreement") by which Consultant has provided financial analyses
regarding the viability of various financing options for City cell towers.
B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the
term of said Agreement.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all
the terms and conditions of said Agreement, except those amended in this First Amendment to
Agreement, the parties agree as follows:
1. Section 4, TERM, shall be deleted in its entirety and replaced with the following:
"This Agreement shall commence on the date first written above and terminate on
expenditure of allocated funds, unless terminated earlier in accordance with
Section 13, below. Services provided by Consultant since February 25, 2008
shall be included within the Scope of Services of this Agreement."
2. Except as hereinabove amended, al] terms and conditions of said Agreement shall remain in
full force and effect.
