AY 2 0 2009 o: cgA~C~ b L h N-2008-109-01 FIRST AMENDMENT TO AGREEMENT G~ `~ DYE e' THIS FIRST AMENDMENT TO AGREEMENT is entered into on March 14, 2009, by and between Display City, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement N-2008-109, dated July 22, 2008, (hereinafter "said Agreement") by which Consultant has provided flag and banner installation on 4`'' Street. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Service, increase compensation to pay for additional services from January 1, 2009 through June 30, 2009. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to include additional flag and banner installations as set forth in Exhibit A-1, attached hereto and incorporated by this reference. 2. Section 2.a., COMPENSATION, shall be amended to increase compensation by $8,500.00 for a total not to exceed amount of $18,500.00 during the term of said Agreement. 3. Except as herein amended, all terms and conditions of said Agreement shall remaining full force and effect.
