Authorize the City Manager and the Clerk of the Council to execute the
attached agreement with GeoSpatial Technologies, Inc. for the purchase of
GeoSpatial GST CrimeMap Software suite and program maintenance for a one-
year period, in an amount not to exceed $71,593.75, subject to non-
substantive changes approved by the City Manager and City Attorney.
DISCUSSION
On December 17, 2008 Council approved the Police Department's purchase of
the Automatic Vehicle Location (AVL) and Mobile Mapping System from
GeoSpatial Technologies. The CrimeMap Analysis and Reporting System is an
additional proprietary software tool provided by GeoSpatial Technologies
that utilizes database querying and analytical tools specifically for
public safety agencies. CrimeMap will enable users the ability to
geographically view and analyze data, searching for incidents that occurred
on any time/date range. These applications will enable the Police
Department to support mission-critical operations in a user interface
environment.
FISCAL IMPACT
Funds are available in the DOJ Cops Technology Grant Account (no. 127-356-
6661).

CONSULTANT AGREEMENT
THIS AGREEMENT, made and entered into this day of , 2009
by and between GeoSpatial Technologies, Inc. (GST}, a corporation, (hereinafter "Consultant"},
and the City of Santa Ana, a charter city and municipal corporation organized and existing under
the Constitution and laws of the State of California (hereinafter "City").
RECITALS
A. The City desires to retain a consultant having special skill and knowledge in the field of
providing the City with computer software, professional services, training, and technical
support of crime mapping, analysis, and repotting solutions for law enforcement
agencies.
B. Consultant shall submit an invoice for such services.
C. Consultant represents that Consultant is a61e and willing to provide such services to the
City.
D. In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.
NOW THEREFORE, inconsideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Consultant shall perform those services as set forth in Attachment 1 to this Agreement.
2. COMPENSATION
a. City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit G to Attachment 1. The total surn to be expended
under this Agreement shall not exceed $71,593.75 during the term of this Agreement.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.
3. TERM
This Agreement shall commence on the date first written above and terminate upon the
expenditure of funds, unless terminated earlier in accordance with Section 12, below. The term

of this Agreement maybe extended upon a writing executed by the Chief of Police of the Santa
Ana Police Department.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create anemployer-employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Consultant performs the services which are the subject matter of this Agreement; however, the
services to be provided by Consultant shall be provided in a manner consistent with ail
applicable standards and regulations governing such services. Consultant shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. INSURANCE
Prior to undertaking perfoirnance of work under this Agreement, Consultant shall
maintain and shall require ifs subcontractors, if any, to obtain and maintain insurance as
described below:
a. Commercial General Liability Insurance. Consultant shall maintain commercial
general liability insurance naming the City, its officers, employees, agents, volunteers and
representatives as additional insureds) and shall include, but not be limited to protection against
claims arising from bodily and personal injury, including death resulting therefrom and damage
to property, resulting from any act or occurrence arising out of Consultant's operations in the
perfo~rnance of this Agreement, including, without limitation, acts involving vehicles. The
amounts of insurance shall be not less than the following: single limit coverage applying to
bodily and personal injury, including death resulting therefrom, and property damage, in the total
amount of $1,000,000 per occurrence. Consultant shall supply City with a fully executed
additional insured endorsement in substantially the form attached hereto as Attachment 2 upon
execution of this Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non-owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against
liability for worker's compensation or to undertake self-insurance. Prior to commencing the
perfotrnance of the work under this Agreement, Consultant agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.

d. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:
{i) Consultant shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
e. If Consultant fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not affect Consultant's right to be paid for its
time and materials expended prior to notification of termination. Consultant waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.
6. INDEMNIFICATION
Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special counsel, and representatives from liability: (1) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims
for personal injury, including health, and claims for property damage, which may arise from the
direct or indirect operations of the Consultant or its contractors, subcontractors, agents,
employees, or other persons acting on their behalf which relates to the services described in
section 1 of this Agreement; and (2) from any claim that personal injury, damages, just
compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects
arising from this Agreement. This indemnity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to
have been suffered, by reason of the events referred to in this Section or by reason of the terms
of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold
harmless, and pay all costs for the defense of the City, including fees and costs for special
counsel to be selected by the City, regarding any action by a third party challenging the validity
of this Agreement, or asserting that personal injury, damages, just compensation, restitution,
judicial or equitable relief due to personal or property rights arises by reason of the terms of, or
effects arising from this Agreement. City may make all reasonable decisions with respect to its
representation in any legal proceeding.
7. CONFIDENTIALITY
If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees
that it shall not use or disclose such information except in the performance of this Agreement,
and further agrees to exercise the same degree of care it uses to protect its own information of

like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Conf dential information disclosed to either party by any subsidiary and/or agent of the other
party is covered by #his Agreement. The foregoing obligations of non-use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available sources; (b} is,
through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful
possession of the Consultant without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or (e) is independently developed by the Consultant without
reference to information disclosed by the City.
8. CONFLICT OF INTEREST CLAUSE
Cansultant covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.
9. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be property given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any communication shall be addressed and transmitted to the new address. If sent by mail,
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsirnile, communication shall be effective or
deemed to have been given twenty-four (24) hours after the time set forth on the transmission
report issued by the transmitting facsimile machine, addressed as set forth above. For purposes
of calculating these time frames, weekends, federal, state, County or City holidays shall be
excluded.
10. EXCLUSIVITY AND,AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Consultant. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant or
the City. Each party to this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which is not embodied herein.
11. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcantract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other consultants retained by City.
12. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days wxitten notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of termination,
subject to the following canditions:

a. As a condition of such payment, the Executive Director may require Consultant to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited bylaw, and Consultant consents to the City's use thereof
for such purposes as the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
13. DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Consultant affitrns that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
14. JURISDICTION -VENUE
This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
15. PROFESSIONAL LICENSES
Consultant shall, throughout the teem of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
heretuider and required by the laws and regulations of the United States, the State of California,
the City of Santa Ana and all other governmental agencies. Consultant shall notify the City
immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals,
waivers, and exemptions. Said inability shall be cause for termination of this Agreement.
16. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Attachments referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.

SCOPE OF SERVICES

PURCHASE CONTRACT FOR
A CRIME MAPPING, ANALYSIS, AND REPORTING SYSTEM
THIS CONTRACT is made and entered into this day of , 2009, by and
between the CITY OF SANTA ANA, CALIFORNIA, hereinafter referred #o as "CITY", and
GeoSpatial Technologies, Inc. (GST), located at 3130 S. Harbor Bfvd. Suite 430, Santa Ana, CA
92704, hereinafter referred to as "CONTRACTOR".
PURPOSE
CONTRACTOR is in the business of providing computer software, professional services, training,
and technical support of crime mapping, analysis, and reporting solutions for law-enforcement
agencies. CITY hereby purchases from CONTRACTOR its latest crime mapping, analysis, and
reporting system according to the term and conditions specified in this contract.
TERM AND CONDITIONS
1. PURCHASE ITEMS
The following items are included in this PURCHASE CONTRACT:'
(1) GST CrimeMap Sui#e Software Licenses
A site license of GST CrimeMap Suite software products, including GST CrimeMap,
GST CrimeMap Lite, and GST CrimeMap Mobile for CITY Police Department. With
this site license, CITY Police Department may install any number of each of the
fisted software products within the Police Department without limitation. EXHIBITS
A, B, and C show the functional specifications of GST CrimeMap, GST CrimeMap
Lite, and GST CrimeMap Mobile, respectively.
(2) GST CrimeMap Remote Implementation
CITY shall provide all the computer hardware needed for installation of the
purchased GST software. CITY shall provide CONTRACTOR with remote access to
the computers. The implementation includes setting up GST CrimeMap Database
on a server computer, installation of one copy of GST CrimeMap 5.0 and one copy
of GST CrimeMap Lite on workstations, installation of one copy of GST CrimeMap
Mobile on a Mobile Data Computer, and connection between GST CrimeMap SQL
Server Database to CITY Police Department's CAD/RMS Database.
(3) GST CrimeMap On-site Training
CONTRACTOR shall provide on-site software training of GST CrimeMap at CITY
Police Department for two days.
(4) GST CrimeMap Software Annual Maintenance
This purchase includes GST CrimeMap SoftwareAnnual Maintenance forone year.
The maintenance includes technical support through a-mail and telephone between
9 am and 6 pm, Monday through Friday except holidays, ail bug fixes and software
upgrades during the year, 50% discounts of GST training programs held at
CONTRACTOR'S facility, and 30% discounts of GST software customization
services. Details of GST Software Annual Maintenance Program are described in
"EXHIBIT D, Software Annual Maintenance Agreement". In addition to the standard
software maintenance, CONTRACTOR shall also customize GST CrimeMap
program to generate weekly reports and monthly reports requested by the Police

Department. The weekly reports and monthly reports are listed in "EXHIBIT E,
SAPD Customized CrimeMap Reports". "EXHIBIT F End User License Agreement"
shows CONTRACT's standard software license agreement.
2. PRICING
Price for the purchase items listed in this contract shall be in accordance with "EXHIBIT G:
Quote for Santa Ana Police Department" provided by CONTRACTOR dated June 4, 2009, and
in accordance with the required specifications set forth in Item (1}. CITY shall pay no other
compensation to CONTRACTOR unless an Amendment has been agreed upon in writing and
signed by both parties.
3. MILESTONES AND PAYMENT SCHEDULE
CITY shall pay CONTRACOTR for the specified percentage of total purchase price at each
milestone according to the project milestones specified below.
{1) Delivery of GST CrimeMap Software Products (50%}
Within 15 days from contract signing or by June 30th, 2009, CONTRACTOR shall
deliver a set of CD/DVD's of each of GST CrimeMap, GST CrimeMap Lite, and GST
CrimeMap Mobile software products to CITY Police Department.
CITY shall pay CONTRACTOR 50% of the total purchase price within 30 days from
receipt of the CD/DVD's.
(2) Remote Implementation of GST CrimeMap Software (25%)
Within 15 days from delivery of GST CrimeMap Software, and provided that CITY
Police Department has identified the server computer, two workstation computers,
and a Mobile Data Computer, and provided CONTRACTOR with remote access to
the identifies computer hardware, CONTRACTOR shall implement GST CrimeMap
SQL Server Database and install one copy of GST CrimeMap, one copy of GST
CrimeMap Lite, and one copy of GST CrimeMap Mobile on the designated
computers.
CITY sha(I pay CONTRACTOR 30% of the total purchase price within 30 days from
the date the purchased software is implemented.
(3) On-site Training of GST CrimeMap Software (15%)
Within 30 days from the implementation of GST CrimeMap Software, and provided
that CITY Police Department's schedule allows, CONTRACTOR shall provide two
days on-site software training of GST CrimeMap, GST CrimeMap Lite, and GST
CrimeMap Mobile at CITY Police Department.
C1TY shall pay CONTRACTOR 15% of the total purchase price within 30 days from
the date the two-day training is completed.
(4) GST Software Annual Maintenance (10%)
Upon completion oftwo-day GST CrimeMap software training, CONTRACTOR shall

provide the annual software maintenance services. Within 3 months from the start
of software annual maintenance, CONTRACTOR shall complete the customization
of CrimeMap weekly reports and monthly reports.
CITY shall pay CONTRACTOR 5% of the total purchase price within 30 days from
the date GST has completed the customized weekly and monthly reports.
4. INDEPENDENT CONTRACTOR
CONTRACTOR shall be considered an independent contractor and neither CONTRACTOR,
its employees, nor anyone working under CONTRACTOR shall be considered an agent or an
employee of CITY. Neither CONTRACTOR, its employees, nor anyone working under
CONTRACTOR shall qualify for workers' compensation or other fringe benefits of any kind
through CITY.
5. WARRANTY
CONTRACTOR expressly warrants that the goods/services covered by this contract are 1) free
of liens and encumbrances, 2) merchantable and good for the ordinary purposes for which
they are used, and 3) fit for the particular purpose for which they are intended.
6. COPYRIGHT INFRINGEMENT
CONTRACTOR shall, at its cost, defend or, at its sole option, settle any claim or suit brought
against CITY on the issue that any software program provided by CONTRACTOR through this
contract infringes a United States copyright, provided that CITY (a} notifies CONTRACTOR
promptly in writing of any such claim or suit; {b) gives CONTRACTOR full information and
assistance in settling and/or defending the suit; and (c) gives CONTRACTOR full authority and
control of the defense and/or settlement of any such action. CONTRACTOR shall not be liable
for any costs or expenses incurred {a) by CITY without CONTRACTOR's prior written
authorization; (b}for any claim based on the use or combination of the software with any other
software not provided by CONTRACTOR; (c) for any claim based on C1TY's modification of
the software; {d) from use of other than the latest available version of the software; or (e) any
transaction entered into by CITY relating to the software without CONTRACTOR`s prior written
consent. If a software program becomes subject to a claim of infringement for which
CONTRACTOR may become liable, CONTRACTOR may at its option {a) obtain the right to
continue using the software program; (b) replace or modify the software program to make it
non-infringing sa long as the replacement or modification meets substantially similar
specifications; or {c) terminate the licenses and refund the license fees paid. EXCEPT FOR
THESE REMEDIES, CONTRACTOR SHALL HAVE NO LIABILITY TO CITY FOR
COPYRIGHT INFRINGEMENT, AND SHALL iN NO INSTANCE HAVE ANY LIABILITY TO
CITY FOR DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES FROM INFRINGEMENT.
7. INSURANCE
CONTRACTOR shall procure and mainfain at CONTRACTOR'S expense for the duration of
this CONTRACT the following insurance against claims for injuries to persons or damages to
property which may arise from or in connection with the performance of the service by the
CONTRACTOR, its agents, employees or subcontractors:

CONTRACTOR represents and warran#s that services to be provided under this CONTRACT
shall fully comply, at CONTRACTOR'S expense, with all standards, laws, statutes, restrictions,
ordinances, requirements, and regulations (collectively "laws"}, including, but not limited to
those issued by CITY in its governmental capacity and all other laws applicable to the services
are provided to and accepted by CITY.
9. CONFIDENTIALITY
CONTRACTOR agrees to maintain the confiden#iality of all CITY acid CITY-related records
and information pursuant to all statutory laws relating to privacy and confidentiality that
currently exist or exist at any time during the term of this CONTRACT. All such records and
information shall be considered confidential and kept confidential by CONTRACTOR and
CONTRACTOR'S agents and employees.
10. INDEMNIFICATION
CONTRACTOR agrees to indemnify, defend and hold harmless CITY, its officers, agents and
employees against any and all liability, claims, actions, causes of action or demands, arising
from or related to the services, products or other performance provided by CONTRACTOR
pursuant to this CONTRACT whether or not caused in part by a party indemnified hereunder,
except for CITY's sole active negligence or willful misconduct.
11. CHANGE OF OWNERSHIP
CONTRACTOR agrees that if there is a change or transfer in ownership of CONTRACTOR'S
business prior to completion of this CONTRACT, the new owners shall be required under
terms of sale or other transfer to assume CONTRACTOR'S duties and obligations contained in
this CONTRACT and complete them to the satisfaction of CITY.
12. FORCE MAJEURE
CONTRACTOR shall not be assessed with liquidated damages or unsatisfactory performance
penalties during any delay beyond the time named for the performance of this CONTRACT

caused by any act of God, war, civil disorder, employment strike or other reasonable control,
provided CONTRACTOR gives written notice of the cause of the decay to CITY within 36 hours
of the start of the delay and CONTRACTOR avails himself of any available remedies.

GST CrimeMap S is user-fiiendly tool that utilizes database querying and analytical tools
specifically for public safety agencies. The program enables the user to view location-specific
crime data though the ESRI AreMap interface and perform various types of analyses and report

GST CrimeMap Mobile, an add-on module of GST Mappeifl MDC, is designed fox
public safety and law enforcement agencies to support mission-critical operations in a
mobile environment. Provided that broadband wireless communication is available and
GST CrimeMap® database server is accessible this extension provides mobile crime-
mapping functions on the MDC.
Incident Selection: The user may select any type of incident from the crime database, and
CrimeMap Mobile will show the selected incidents on the map along with their key
attribute information.
DaylTime Range: The user may search for incidents that occurred on the current day,
yesterday, last week, Last month, or ui any time/date range. The selected incidents will be
ret<•ieved from the database and displayed on the map.

Search from Vehicle: The user may search crime incidents based on the current location of
the vehicle if a GPS device is installed. For instance, the user may search robberies that
have occurred within 1 mile from the vehicle's current location.
Search from Incident: The user may search crime incidents based on the location of the
current incident that the unit is responding to, provided that the CAD interface on the
MDC is available.
Search from Address; The user may enter an address or cross streets to search for
incidents within a specified distance from the entered location, e.g., all the robberies that
occurred within 1 mile from a given address.
Search from Known Locations: The user may select any entry from a.list of known
locations to show all the incidents that occurred within the specified distance from that
location.
Search Range: The user may search incidents within 500 ft, 1,000 ft, 2,000, 4,000 ft, or
from apull-down list of different distances. Incidents that occurred withni the selected
distance from the specified location will be identified and displayed.
Search Limitation: The user may set a limitation on search distance and the maximum
number of records to be transmitted from the server. This is to prevent the unintended
attempt to retrieve a huge amount of data from the server, which will slow down the
wireless conununication.

Software Annual Maintenance Agreement
GeoSpatial Technologies, Inc. (hereinafter referred to as GST) shall provide maintenance and support
services under this Software Annual Maintenance Agreement {hereinafter referred to as Agreement) for
City of Santa Ana Police Department (hereinafter referred to as Customer} during tl~e period
approximately .2009 through , 20_, with options to extend for addition 4 years,
upon payment of the amiual maintenance fee for the products listed hi the Purchase Contract.
I. PRODUCTS COVERED
GST maintenance and support services are provided only for the software products listed in the Purchase
Contract or Pwchase Order with the entire amount of Software Amuial Maintenance Fee paid in full on or
before the commencement of each 12-month period.
II, MAINTENANCE AND SUPPORT
GST shall provide maintenance and support services to the End User. Maintenance and support services
shall include, but not limited to:
(a) Telephone and E-mail Support: GST will provide telephone and a-mail assistance. You must provide
GST with remote access through the Internet to the computers installed with GST software. By
calling the GST technical support member, you will reach a trained support analyst of whom you may
ask questions or seek advice relating to the use of GST software. The analyst will assist you in
utilizing your GST software, and in identifying and providing a work around, if possible, for any
software problems found with GST software. GST support services do not include hardware,
network, operating systems, ar third party software.
Support tivill be provided weekdays from 9:00 a.m. to G:00 p.m. Pacific Standard Time, excluding
weekends and holidays.
(b} Response Times: In the event that the End User experiences a critical system failure, which shall be
deemed to have occurred if the system is down or inoperable, meaning that the End User cannot use
the System and/or the System is off-line, for Ionger than''/s hour, GST shall respond and look into
correcting the problem immediately upon receipt of a call for service and following the receipt of
notification and relevant documentation of the problem. For all other non-critical failures, GST shall
respond and attempt to correct the pibblem within four (4) hours upon receipt of a call for service and
following the receipt of notification and relevant documentation of the problem. If problems cannot
be resolved within four (4) hours, the problem will be automatically escalated to Application
Technical Lead or the VP of Product Management for resolution. After consultation between the VP
of Product Management and support staff, GST will provide a plan of action for resolution to the End
User.
(c) Bug-fixes and Upgrades: GST ~vili provide bug-fixes and upgrades to the GST software when they
are available at no additional charge during the term of the maintenance program.

(d) Corrective Maintenance: GST will provide corrections to the supported sofl~vare using Internet
connections, provided you have ahigh-speed Internet connection on your system allowing GST
remote access, during standard support hours.
(e) GST Training: The End User under software annual maintenance program receives 50% discounts for
all training programs held at GST's facility.
(f} Software Customization and Enhancement: The End User under the software annual maintenance
program receives a 20% discount for any software customization services. End User requested
enhancements or modifications of GST software are not included in the support plan price. GST
agrees to review requests from the End User and to provide a quote for the requested enhancement
based on time and cast anticipated.
(g) Excluded Service: The maintenance and support described herein does not include the correction of
software failures due to causes beyond the control of GST and occurring without the fault or
negligence of GST such as, but not limited to acts of God, catastrophe, fault, or negligence of the End
User, operator error, manipulation of the object or source coda (unless approved by GST in writuig
prior to such manipulation), improper use or misuse of the system or any part thereof. Any such
excluded service, whether on-site or off-site, will be provided at the request of the End User at GST
per call rates and terms then in effect.
(h) Support of Old Software: Users are required to install all updated software and any bug fixes in a
timely manner, including operating system software. If you fail to keep your system current, GST
may no longer support your system. GST will support old releases of a product for two years after
new releases become available. For subsequent years after ne~v releases becomes available, if
requested by End User, GST may continue to support such old releases for an annual increase in
support fee of 40%.
(i) Lapsed Support: If the End User intends to renew maintenance after the previous maintenance
program has expired for over two (2) months, a supplemental fee of 50% of the annual maintenance
shall be due GST for the first year of maintenance following your need for maintenance again, in
addition to the maintenance fee already due herein.
(k) On-site support: On-site support is not covered by the standard software maintenance support. Per
End User's request, GST will provide on-site support if GST determines that such support is required
to resolve the reported problem. In this case, GST will dispatch one or rnore members of its support
staff to your site who will attempt to recreate and resolve the problem(s) reported. During this time it
is expected that members of your staff will be available to answer questions and provide information
regarding your system, if required. On-site support will he charged at GST per call rates and
terms then in effect, plus travel and per diem for GST staff sent on-site.
III. SYSTEM MODIFICATION
(a) GST generated modifications: Changes or replacement of the computer equipment, operating system
and its related software, or other third party software may require GST software support and/or

software modification to allow GST products to work with the new equipment, operating system,
and/or third party software. These support and/or modification services will be provided by GST at
the End User's request at our then cgioted prices.
(b) End User-generated modifications: GST will not be responsible for any damage to your GST
software or data caused by upgrades to the operating system or replacement of hardware without
GST's prior written concurrence that said upgrade would function properly. Services required as a
result of modifications to GST's systems made by the End User are not considered normal
maintenance and are not provided as cart of GST's Software Maintenance Pro rg am
(c) External System Modifications: In the event any external system is modified beyond that anticipated
by the terms of the underlying End User License Agreement, the End User shall notify GST of such
changes immediately upon receipt of notification from the respective entity/entities and request that
GST prepare a proposal to include a time and cost estimate, for the work to be performed which
constitutes a change from the originally agreed upon configuration and work description as presented
in the underlying End User License Agreement. GST shall, within thirty (30) days after receiving
said notice, fiunish a written proposal to the End User provided the recpiired modifications are
commercially, technically and practically feasible. Upon receipt of GST's proposal, the End User
shall deternune whether it desires the work to be performed, and if so shall issue a Notice to Proceed
within ten (10} days, at which time GST will perform the necessary modifications for thze additional
mutually agreed upon compensation.
IV. END USER RESPONSIBILITIES
(a) Software Problems and Reporting: The End User agrees to limit use of GST maintenance service to
occasions when GST system software fails to operate in accordance with the product specificathons
as defned ui the original purchase contract. To facilitate the problem solving process, the End User
agrees to assist GST in their efforts to duplicate the software problem by providing a written problem
report. Additionally, GST may ask that you fi~rnish a listing of software problems rather than calling
on each hndhvhdual item over a short period of thme so that our support team can better assist you.
(b) Pavment: The End User is responsible for ensuring that all amounts payable under the software
annual maintenance program are received by GST on or before the cortunencement of the
mahntenance program. The End User's failure to remit payment to GST far such maintenance
services provided or to be provided shall entitle GST to deny fiirther maintenance services to the End
User.
(c) U dates: The End User and all users of GST softtivare are responsible for installing atl updates to
software, hardware, and fixes in a timely manner. Failure to keep your system updated can, at GST's
sole discretion, result in the immediate discontinuation of maintenance support.
(d) System Administration: The End User hs responsible for identifying a System Administrator, as well
as a back-up System Admiivstrator, who whll function as GST's primary and secondary contact for
any maintenance services to be provided under the software maintenance program. Such System
Administrator, or, in the absence of the Systems Administrator, the back up, shall be GST's sole
contact for technical assistance. The System Administrator and backup System Administrator must

be trained in the administration of computer hardware, operating system, networking, and database.
GST support staff will assist you in identifying system problems as a function of maintenance
support. However, if a problem is identified as a system administration responsibility, further
assistance from GST support staff is billed at our then current hourly rates and terms.
V. tiVARRANTIES
(a) Limited Warranty for Services Any services being provided to the End User in accordance with
the softtivare maintenance program are offered on abest-efforts basis only, GST may not be able to
resolve every service request made. Although GST will attempt to provide some guidance and
direction, GST is not responsible for resolvutg issues related to networks, operating systems, back-
end databases or hardware. It is the End User's responsibility to keep adequate data backups. GST
will not be responsible for any lost data.
ALL OTHER WARRANTIES EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY
WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE, ARE
HEREBY EXCLUDED.
VI. LIMITATION OF LIABILITY
The End User's sole and exclusive remedies for any damage or loss in any way connected with any
software or services fitrnished by GST, after acceptance of the GST software system, whether by GST's
breach of warranty, negligence, or any other breach of any other duty, shall be, at GST option,
replacement of the software or re-performance of service or return or credit of an appropriate portion of
any payments made, or to be made, to GST with respect to such software or services. Under no
circumstances. shall GST be liable to you or auy other person for any special, incidental, indirect or
consequential damages of any character, including, without limitation, damages for loss of good will,
work stoppage, computer faihire or malfimction, or any and all other commercial damages or losses, even
if GST has been advised of the possibility of such potential loss or damage.
VILCHOICE OF LAW
Interpretation of this Agreement shall be governed by the laws of the State of California.
VIII. STATUTE OF LIMITATIONS
No action or claim relating to or arising out of the software annual maintenance program may be
instituted snore than one (1) year after the event giving rise to such action or claim.

UNTIL YOU HAVE READ AND AGREED TO THIS LICENSE AGREEMENT.
This is a license agreement (Agreement) between ~rou (Licensee), and GeoSpatiai Technologies, Ina (GST'). By installing the software
application, you are consenting to the ternts of this License. If you do not agree to the terms of this non-exclusive License Agreement, DO
NOT 1NSTALL THE 50FTWARE. For a full refund, return the Software and all acrnmpanying materials within seven (7) days to the
location where you obtained them,
RESERVATION AND pWNERSHIP AND GRANT OF LICENSE
GST retains exclusive title and ownership of the Software application licensed under this Agreement and, hereby, grants to Licensee a
petsonal,oon-exclusive, non-transferable license right to use fire Software application based on the terms and conditions of this Agreement.
From the date of receipt, Licensee agrees to use reasonable effort to protect the Software application from any unauthorized use,
reproduction, distribution, or publication. All rights not specifically granted in this Agreement are reserved to GST.
USES PERIVIITTED
Licensee may use the number of copies of the Software application for which license fees have been paid on each Software application.
USES NOT PERMITTED
• Licensee shall not sell, rent, lease, sublicense, lead, assign, tune-share, or transfer, in whole or in part, or provide unlicensed third
parties access to prior or present versions of the Software application, any updates, or Liccrtscc's rights under this Agreement.
• Liceusee shall not reverse engineer, de-compile, or disassemble the Software application, or make any attempt to unlock or bypass the
software key-code and /or hardware key used, as applicable, subject to focal law.
• Licensee shall not make additional copies of the Software application beyond that described in the Uses Pemritted section above.
• Licensee shat[ not remove or obscure any GST copyright or trademark notices.

The Agreement shall automatically terminate without notice if Licensee fails to comply with any provision of this Agreement. Licensee
shall then return to GST the Software application, updates, and any whole or partial copies, codes, modifications, and merged portions in

remedy as to the Software application or related materials shall be, at GST's option, either (a) return of the paid lice»se fee or (b)
replacement of the Software application. The Software application is provided "as is". GST does not warcant, guarantee or make ratty
representations regarding the use, or the results ofuse, of the Software, data, or reiafed materials in terms of correctness, accuracy,
reliability or otherwise. Neither GST nor anyone etse who has been involved in the creatimy production, or delivery of the Software
application shall be liable for any direct, indirect, consequential, or incidental damages (including damages for toss ofbusiness profit,
business imtemtption, loss ofbusiness information, and the like) arising ottt of the use, rttisuse, or inability to use a GST product even if
GST has been advised of the possibility of such damages. Because some states do not allow the exclusion or limitation of liability for
consequential or incidental damages, the above limitation may not apply to purchasers in such states.

INDEb1NIFICATION

out of or related to Licensee's violation of the terms of this Agreement or the violation of fire terms of tl»s Agreement by arty person who
has access to the software application through Licensee.
ENTIRE AGREEMENT
The parties agree that this constitutes the sole and entire agreement of the parties as to the matter set forth herein and supersedes any
previous agreements, understandings, attd arrangements between the parties relating hereto and is effective, valid, and binding upon the
parties.

This endorsement modifies such insurance as is afforded by the provisions of Policy

1. The City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California 92701; its
officers, employees, agents, volunteers and representatives are named as additional insureds
("additional insureds") with regard to liability and defense of suits arising from the operations
and uses performed by or on behalf of the named insured.
2. With respect to claims arising out of the operations and uses performed by or on
behalf of the named insured, such insurance as is afforded by this policy is primary and is not
additional to or contributing with any other insurance carried by or for the benefit of the
additional insureds.
3. This insurance applies separately to each insured against whom claim is made or
suit is brought except with respect to the company's limits of liability. The inclusion of any
person or organization as an insured shall not affect any right which such person or organization
would have as a claimant if not so included.
4. With respect to the additional insureds, this insurance shall not be cancelled, or
materially reduced in coverage or limits except after thirty (30} days written notice has been
