~ INTERACTIVE TRAINING

-(~ p P ~ 1. This serves as an agreement between the City of Santa Ana ("City) and IES
~J'S~~Q , Interactive Training, Inc. ("Producer") in connection of the production of a training video
~~ ~~I for judgmental scenarios involving the use and deployment of K9s.
L- ~ ~~ ~ ~ 2. The City hereby authorizes Producer to film activities and personnel as permitted
by the Santa Ana Police Department on or off its premises for the creation of a Program.
The City's Officer in Charge has the right to refuse to continue if he/she determines that
the Producer's activities would result in damage to the City or its officers.
3. The rough cut of any footage to be used for the video that the Producer intends to
use shall be submitted to Commander John Gabelman of the Santa Ana Police
Department. The City shall have editing rights and final right of refusal for the use of
the video. Once approved the Producer shall not make any changes to the video.
4. The Producer agrees that the City shall not be identified in any manner in the
training video. Any words or symbols identifying the Santa Ana Police Department in
the video shall be obliterated.
5. Producer agrees to indemnify and hold harmless the City in connection with any
and all claims arising out of the actions of Producer's personnel, agents, employees,
contractors or authorized third parties in connection with the filming and/or production of
the Program.
6. Producer acknowledges that police canines, while trained, can bite. Producer
hereby assumes the risk and will indemnify and hold harmless the City in connection
with any canine bite to Producer's personnel, agents, employees, contractors or
authorized third parties in connection with the filming and/or production of the Program.

8. Producer's personnel, agents, employees, contractors or authorized third parties
shall sign Santa Ana Police Department authorized "Ride-A-Long" waivers if they will
be in any City vehicles.
9. Producer represents the person executing this agreement has the authority to sign
and bind Producer's personnel, agents, employees, contractors or authorized third parties.
10. This agreement shall be governed by the laws of California. This agreement
cannot be changed, modified, or altered, without the written consent and signature of both
parties.
11. In the event a canine is injured during the filming of the video, the Producer
agrees to indemnify the City for any and all associated costs, including but not limited to,
veterinarian costs and remedial training costs.
12. In the event that any term or provision of this agreement shall be held invalid by a
competent court or governmental agency, the remainder of this agreement shall not be
affected thereby, and the parties hereto shall continue to be bound by the remaining
terms.
